That no transfer will reduce the ownership of ilipinos citi-ens to less than the re7uired percentage of
capital shall be recorded in the paper boo8s of the partnership.

ARTICLE VII. That the profits and losses shall be divided pro9rata among the partners.

ARTICLE VIII. That should there be an+ additional contribution made b+ a limited partner, such must be

agreed upon b+ all the partners in writing and dul+ recorded at least two 4; da+s after signing of same
agreement. &uch contribution shall amend rticle $I of the rticles of Partnership and in no case shall such
amendment be done less than one ); +ear after the original recording of said partnership b+ the &ecurities and

ARTICLE I). That the contribution of each limited partner ma+ be returned to him< her three 1; +ears

ARTICLE ). That the limited partner ma+ be given the right to substitute an assignee as contributor in
his place, provided that he has dul+ notified his partners in writing, stating the reasons therefor, five 5; da+s before
effectivit+ of said substitution, provided further that such limited partner has alread+ settled his obligations to the
partnership prior to the notification of substitution.

ARTICLE )I. That a partner ma+ admit an additional limited partner, provided that the other partners
have been dul+ notified in writing five 5; da+s before effectivit+ of admission and dul+ concurred b+ all the
partners in writing.

ARTICLE )II. That the remaining general partner or partners shall have the right to continue the
business in cases of death, retirement, civil interdiction, insanit+ or insolvenc+ of a general partner.

ARTICLE )III. That the firm shall be under the management of 0imberl+ T.Mendo-a, as /eneral
Manager and as such she shall be in charge of the management of the affairs of the partnership.
