CONTRACT OF LEASE

THE PUBLIC IS INFORMED:

I, Pedro C. Tabaquin, President of Vidad Realty Corporation (VRC), do


hereby LEASE a 400 sq. meter parcel of land and its improvement, located
at Puerto Princesa City, to Caron Quiambao, Filipino, married, of legal age,
a resident of 620 Quirino Highway, Bagbag, Novaliches, Quezon City, for a
period of 12 MONTHS from signing of this contract.

The LESSEE promises, as follows:

1. To pay rentals on or before the fifth day of each month , without need
of demand;

2. To keep the premises in good and habitable condition , making the


necessary repairs inside and outside the land; and

3. Not to make any major alterations and improvements without the


written consent of the LESSOR.

EARNEST MONEY RECEIPT AGREEMENT

THE PUBLIC IS INFORMED:

This agreement is executed between Howard C. Jose and Ferdinand Mase.


Howard Jose offered to sell his real property, located at Thrush Street,
Countryside Village, Phase III, Parañaque City, for Php 3,200,000.00.
Ferdinand Mase expressed his willingness to purchase the real property.
However, Ferdinand lacks sufficient funds to cover the whole amount.
Consequently, the parties mutually agree as follows:

1. The sum of Php 200,000.00, representing EARNEST MONEY for payment


of the real property, shall be given to Howard Jose.

2. The balance and full payment shall be paid on or before February 7, 2020.

3. Upon full payment, Howard Jose shall execute a DEED OF ABSOLUTE


SALE in favor of Ferdinand Mase, conveying the subject property with full
warranty of a legal and valid title as provided by law, free and clear from
any liens and encumbrances.

4. In case Ferdinand Mase fails to comply with his obligations mentioned,


then Howard Jose shall have the right to terminate this agreement in which
case the EARNEST MONEY in the amount of Php 200,000.00 shall be
forfeited in favor of Howard Jose.

COMPROMISE

THE PUBLIC IS INFORMED:

This compromise is made by and between Bernardo Sales and Seize


Tomorrow Corporation (STC), represented by Atty. B.

Bernardo Sales asserts a claim against STC based on issues arising from the
last company action against him. A complaint based on this claim is now
pending before the arbitration branch of the National Labor Relations
Commission, Regional Office IV, located in Calamba City, Laguna,
docketed as NLRC Case RAIV 82345-07.

Consequently, the parties agree to amicably settle the action and all matters
arising from the dispute.

In consideration of the settlement, the parties agree to the following:

1. STC will pay to Bernardo Sales Php50,000.00 upon the execution of this
agreement;

2. Bernardo Sales will commit not to do any act prejudicial to the interest of
the company, its branches, or its projects arising from or with respect to his
previous employment;

3. Bernardo Sales will execute a quitclaim against the company and its
officers; and

4. This agreement is a compromise of a disputed matter and may not be


construed as an admission of any party's liability.
