The installation work shall be subject to approval of shop drawings and materials approval | from the Client / ADM or Consultant. | The Subcontract Value / Price for Installation (as per GTI Quotation ref. The Total Amount is AED 630,000 + 5% VAT - TOTAL AED 661,550 prices as per site requirement, however, it shall be re-measurable for Supply and Installation of Wet Pour Jogging Track at Al Shahama Municipality Center Limits for Contract $208 to complete all in accordance with Drawings & Specifications. ‘The Payment Terms: ‘* Monthly Interim Payment will be submitted to Project Manager on site for approval which is subject to approval from ADM for installation and other related works. * 20% Advance Payment with the order against security cheque that to be collected back upon completion of the whole work. * 70% through L/C Against completion of installation per area / per park. Each party to‘Subcontract Agreement between RG & GTI ‘© 10% Retention upon issuance of PC of all areas. 3. The Sub Contractor shall provide all materials, labor, tools, and everything required for the execution, completion and maintenance of the Sub Contract Works. 4, The Sub Contractor shall comply with all instructions, decisions and orders of the Main Contractor and/or the Client which are notified and confirmed in writing to him The Sub Contractor shall immediately notify the Main Contractor of any instructions issued directly to him by the Client, thereby not directly involving with Client without Main Contractor's consent. 5. General 5.1. GTIdeclares that they are fully in knowledge of the main contract specification applicable to the full scope of Supply and Installation Supply and Installation of Wet Pour Jogging Track at Al Shahama Municipality Center Limits for Contract $208 5.2, GTIwill keep work areas clean at all times and broom sweep at the end of each workday ‘or completion of work in area. GTI will remove all trash from the days of events to the notified dumpster at the end of each workday or completion of work in area. 5.3. Protect adjacent areas and surfaces and structures from damage from this scope of Work. Protect and preserve all existing and installed above/below grade items to remain from operations under this scope of Work. Protect commenced, ongoing work of this scope. 5.4. GTI recognizes the monetary requisites of the Work anticipated under this Subcontract; no additional compensation via direct payment or billable change order will be authorized by RG for changed conditions, escalations, force-majeure, etc. 5.5. Alldeliveries / manpower allocation to the jobsite must be scheduled with the RG Project Manager no less than 2 (days). 6. Management System HSE Requirements, Quality Assurance & Quality Control of Subcontract Works shall be the terms and conditions shall be applied back to back basis with the Main Contract. 7. Obligations of RG: 7.1. All Civil works shall be carried out by RG 7.2, Removal of existing rubber surface shall be carried out by RG 7.3. Security of the site, GTI works and materials is RG’s responsibility, 7.4. Construction fence around the park area related to GIT’s scope of works to be provided by RG. 7.5. Only at the area where GTI scope of works in a park shall be closed during the works until GTI complete their works. 7.6. Third party permits if required to be made available by RG 8. Obligations of GT! ee‘Subcontract Agreement between RG & GTI 10. 11. 8.1. All material required for installation shall be made available by the GT! 8.2. GTI will be responsible for securing all manpower, tools & resources necessary to execute the fixing work at all times. 8.3. GTI should provide the qualified personnel, equipment and facilities required to do such works with the approval of the client / consultant, 8.4. GTI should follow RG and the client / consultant safety regulation and other recommended safety and security measures especially for safety and security works, 8.5. GTI should ensure that their personnel at work site wearing the specified uniform and safety dressing, 8.6. GT's site representative should report to RG’s site representative and he should be always available at the site area during installation work and when it is necessary for specific / related purpose. 8.7. RG has the right to remove any of GTI employees from the site on written or oral instruction when employee is found to be incompetent in his trade or misbehave with RG and the client / consultant or found a non-grata person. He shall not be employed on this agreement in any other capacity. GTI shall be responsible to arrange food, transportation and accommodation for their staff on their cost. 8.9. GTI shall provide Documentation/details required before and during installation of the materials 8.10. GTIwill coordinate with RG for working in day and night shifts as per site conditions and priorities set by the Main Contractor. Warrantee after Completion 8.1 Warrantee for materials and quality of installation works shall be in place for 10 (ten) years back to back Main contract after completion period and GT! shall provide Material Warrantee Certificate from Manufacturer. Variation If the Subcontract Works may be varied by way of alteration, addition, or omission as a result from a variation instruction issued by the Employer / Consultant, then such variations will be subject to the assessment and approval of the Consultant/Client which shall be back to back to main contract. ‘Schedule of Works and Delay Penalty 11.1. Installation schedule for both areas will be coordinated with site accordingly 11.2. GTI will do this work in accordance with ADM’s requirements, 11.3. Any delay of works by GT! will be subjected to penalty cost of AED 1000 per day or 10% of Contract value ~ Cont! S208 Meters 8 Ree St Hrs Lance a‘Subcontract Agreement between RG & GTI 11.4, GTI must commence the Subcontract Works within two calendar days from the date of receipt of RG's Notice to Commence and carry out all activities associated with the Subcontract Works in accordance with the agreed Program of Works. The agreed Program will be an extract from the Main Contract Program of Works and will be updated accordingly, 12. Ter ion RG shall have the right to terminate this Agreement, without obtaining a court order or in case one of the following situations arises: 12.1. IF RG believes that GTI shall not be able to carry out his obligations under this Subcontract agreement, or. 12.2. If GTI fails to commence the Subcontract Works within 2 days from the date of receipt of the RG's Notice to Commence, issued following to the conclusion of this Agreement. 12.3, If GTI suspends work at site in part or all of it without any valid reasons, or 12.4, If GTI becomes bankrupt. 12.5. If any delay of works from GTI side 12.6. If GT! shall not bring manpower 12.7. If GTI shall be terminated due to the above factors, GTI shall be responsible for any cost and penalty that born due to remaining works from part of his relevant scope of works. 13, The Disputes: ‘Any dispute between both parties arises out of this Agreement shall be solved according to Alternate Dispute Resolution or the laws of Abu Dhabi court.
