Holder as Mr. Gambhir Chordia S/o Mr. Sampathmal Chordia aged about 38 years (hereinafter called the ‘LOAN LICENSOR’) on the first part, and M/s Mankind Pharma Limited, a public limited company duly incorporated under the companies Act, 1956, having its registered office at 236, Okhla Industrial Estate, Phase-3, New Delhi-110020, represented by its authorised signatory Mr. Akhlas Ahmed, S/o Mr. Khaleeq Ahmed aged about 34 years, (hereinafter called ‘THE LOAN LICENSEE’) Whereas the Loan Licensor has represented to the Loan Licensee that they are having their world class manufacturing facilities at No. 34-B Industrial Area Malur- 563130 in compliance with all applicable laws, equipped with sufficient resources, capacity, technical experience and expertise as may be requisite for manufacturing of medicines of different hue and descriptions AND WHEREAS the Loan Licensor has agreed with the Loan Licensee to produce the formulations of LOAN LICENSEE under the job work at the predetermined rates as may be mutually agreed by and between the parties from time to time, for each category of formulations and in the method and manner as may be prescribed vides work order from time to time on the terms and conditions hereinafter contained NOW IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES AND PARTIES WITNESSESTH THE TERMS AND CONDITIONS AS FOLLOWS: 1. In consideration of the agreement the Medopharma shall prepare a budget for Raw Materials, Packing Materials as may be required to produce the products in accordance with the job work order issued by Mankind and submit the same to Mankind for the supply of the same. Mankind may either supply such Raw Material and Packing Material on its own or advice the Loan Licensor to purchase the same from such vendors as may be approved by Mankind for the purpose at its own cost against each work order. The Loan Licensor shall produce the products with such quality specifications, norms and by applying such methods and procedures as may be set forth there in each work order. Loan Licensor shall be responsible to execute and complete the said job works within stipulated time and strictly adhere to the methods and Procedures set forth there in each order. In case of failure to deliver the products within the stipulated time and/or deviation from the agreed quality specifications, norms, methods and procedures the Loan Licensor shall compensate the Loan Licensee with such amount as may calculated mutually after considering the anticipated loss to the Loan Licensor on account such failure and/or deviation as the case may be. 2. The said conditions shall bind on the LOAN LICENSOR for their performance, stipulations, requirements, complaints and the LOAN LICENSOR shall comply with all applicable provisions of various laws including the Drugs and Cosmetics Act 1940, Food Safety and Standards Act, Rules, Regulations and other Directions as may issued there under from time to time and applicable on the production and sale of subjected products under this agreement. CONDITIONS OF CONTRACT: 4. a The Loan Licensee shall apply to the concerned Drug Department/Authority for issuance of the permission/license and approval in its own name at the address of the above said of Loan Licensor as M/s MEDOPHARM for the purpose of production of agreed pharmaceutical formulations and other food products, if any. . The Loan Licensee shall supply the Raw Materials, Packing Materials etc., to Loan Licensor's at their facility as above subject to the conditions stipulated here in above in Clause 1 of this agreement. The Loan Licensor shall ensure that the Raw Material, Packing and other Materials supplied by Mankind shall be exclusively used for the purpose of production of the product's belongs to Mankind only and none else. . The Loan Licensor shall be responsible for the safe custody of the Raw Materials, Packing Materials, Rubber Stoppers, Aluminium seals and labels given to them by the Loan Licensee for the said job work and the Loan Licensor will be responsible for any deterioration, loss or shortage of materials as supplied and also for the finished products after job work is done from whatsoever cause arising while the same are in his custody and charge. . The Loan Licensor shall with its own men, machinery and the raw materials supplied to them by the Loan Licensee from time to time execute the job work order of the Loan Licensee in strict conformity with the standards of the Pharmacopoeia which may be applicable as well as the approved standards of the Regulatory Authorities of the overseas State (in case of Export) for each individual product as per the Schedule agreed by both of them. In case of any deviation, change, alteration from the specification is necessary; the Loan Licensor shall obtain prior written approval from the Loan Licensee }. The Loan Licensor shall be solely responsible for the entire production carried for and on behalf of the Loan Licensee at its above said facility(ies) and for quality, specifications, norms, methods and procedures of the production and labeling of the finished products not only during the tenure of this agreement but also during the self life of the product. With the prior permission of the Loan Licensor, the Loan Licensee or their authorized representatives shall have free access at all time to the place where the job work is being executed and inspect the progress of the work, 10.The Loan Licensor shall be responsible for sampling, testing and internal release of Intermediate, Bulk drug and ensure the quality of the products prior to its release to the Loan Licensee. The Loan Licensor shall follow proper release procedure and shall release goods after through scrutiny of the batch manufacturing record. The release order copy should go to Loan Licensee's warehouse along with the delivery of the goods. 11.In case the finished products do not conform to the specified standards due to negligence or error committed by the Loan Licensor, then the Loan Licensee shall recover the cost of Raw Material, Packing Material involved for such goods from the Loan Licensor besides all other risk/liability which may arise in future for this non-standard products including the cost of transportation and other incidental expenses, if any. 12, The Loan Licensor shall keep under its safe custody in such conditions as may be prescribed for the same all control samples for all batches manufactured as above and send one control sample of each lot (duly marked as control sample) to the Loan Licensee along with the supply mentioning separately as control sample. 13. The Loan Licensor shall produce a statement of account showing receipt of all Raw Materials, Packing Material, the consumption of such material and the closing balance on hand. The batch wise details of each Finish Product released should also be submitted. 14. The Loan Licensor agrees to deliver the goods as per the schedule mutually decided with the Loan Licensee at agreed destination and through approved mode of transport as may be authorized by the Loan Licensee from time to time. 16.In the event of any question, dispute or difference arising out of the contract between the parties with regard to the interpretation of this contract or the rights, liabilities or duties arising out of it or otherwise in connection with this contract, the matter shall be referred to an Arbitrator under provisions of the Indian Arbitration Act 1940 as amended from time to time. The decision of the arbitrator shall be binding on both the parties herein; cost of such arbitrator shall be borne by both the parties equally. 16.In the event of any dispute between the parties hereto in respect of any of the terms & conditions of the Agreement the jurisdiction shall be of the appropriate Courts at Delhi only, and will not come under jurisdiction of any other court anywhere else. 17. This agreement shall be in force from 28" July, 2012 to 27" July, 2015 and can be renewed for such period and upon such terms and conditions as may be agreed by and between the parties with mutual consent. dee modopharme Page 4 of6 For Magkind Pharma Ltd. This agreement may be terminated by either party without assigning any reasons by giving one month notice to the other. Upon termination of this Agreement for any reason whatsoever the Loan Licensor shall: (a) Forthwith discontinue manufacturing and or packaging of the said products bearing Loan Licensee's trademarks; (b) Deliver to Loan Licensee or such other party or parties as the Loan Licensee may designate in that behalf, the entire quantity of the said products that may then be in possession or custody of the Loan Licensor, or dispose off the same in such manner as the Loan Licensee may specify; and (0) Shall not make any use whatsoever of the labels, containers, packing and packaging material of the said products then in the possession, custody or control of Loan Licensor, and shall hand-over the same to Loan Licensee or shall dispose off or destroy the same in such manner as may be prescribed by Loan Licensee. (d) in the event this Agreement is terminated by the Loan Licensee, Loan Licensee will be required; () To purchase raw and packing material from Loan Licensor at the cost of purchase to the extent of stock purchased against the firm quantities indicated for production supported with authenticated purchase order of Loan Licensor for the above product. (i) To pay alll outstanding and valid invoices raised/issued by Loan Licensor and remaining unpaid in respect of the products supplied immediately on termination. 19. Within the letter and spirit of this agreement both the parties have to mutually discuss and decide on the issues not covered by this agreement. The Loan Licensor shall keep the interest of Mankind in mind while planning its production activity and render sincere services to the utmost satisfaction of the Loan Licensee. Any amendment with regards to this agreement will be valid only when written with mutual consent.
