AND WHEREAS the State Government has acquired land within the designated area of Navi Mumbai and vested the same to CIDCO by an order duly made in that behalf as per the provisions of Section 113 of the said Act AND WHEREAS By virtue of being the development authority, CIDCO has been empowered under Section 113 of the said Act to dispose off any land acquired by it or vested in it is accordance with the proposal approved by the State Government under the said Act. Kamal Vasant Joshi hereinafter referred to as “The Original Licensee”, therein called “The Licensee” in respect of the Plot of Land bearing No. 71, Admg. 1105.87 sq.mtrs., Sector 28, Nerul, Navi Mumbai 400 706, thereinafter referred to as “the said Plot of Land,) the Corporation agreed to grant a Lease of the said Plot of Land to the original Licensee under 12.5% Gaothan Expansion Scheme of the said Corporation as per the terms and condition mentioned in the said Agreement to lease and after construction of the buildings on the said plot of land, the said Corporation shall execute the lease deed in favour of the Original Licensee granting the lease of the said plot of land in the nsee for a period of 60 (sixty) years from the date of said agreement to Sub- Registrar of Assurances ai Thane-6 made Doc. S.No. TNN- 6/06467/2007 dated 19.12.2007. AND WHEREAS on payment of the entire lease premium the said Corporation handed over the possession of the said plot of land to the Original Licensee. AND WHEREAS By virtue of a Tripartite Agreement dated 11.01.2008, the said Original Licensee had sold transferred and assigned all right, title, interest and benefits of the said plot of land bearing No. 71 in favour of M/s Kamainath Universal Pvt. Ltd. represented by its Director Shri. Jaywant Kashinath Patil therein referred to as “the New Licensees” as per the terms. and conditions mentioned therein and CIDCO vide its letter bearing reference no. CIDCOMVASANT/12.5% SCHENE/ NERUL/ 987/ 2008 dated 21.01.2008, has substituted the New Licensees M/s Kamalnath Universal Pvt. Ltd, represented by its Director Shri. Jaywant K. Pati, instead and in place of the aforesaid Original Licensee. Bhavesh Dharmamdas Mehta (therein and hereinafter referred to as “The Subsequent New Licensee” as per the terms and conditions mentioned therein and CIDCO vide its letter bearing reference no. CIDCO/VASANT/12.5% SCHEME/ NERUL/ 987/ 2010 dated 16.07.2010, has substituted the subsequent New Licensees M/s Shelton Infrastructure Pvt. Ltd. instead and in place of the aforesaid New Licensee. The said Tripartite Agreement is duly registered before the Sub-Registrar of Assurances at Thane-6, under Doc. Sr.no. TNN3- 04465/2010 on 06.07.2010. AND WHEREAS pursuant to the above, the New Licensees have _ handed over the possession of the said plot of land to the M/s Shelton Infrastructure Pvt. Ltd. thereinafter referred to as “the said Builders”. AND WHEREAS By virtue of the said Agreements, the Builder are fully seized and possessed of and well and sufficiently entitled to the said plot of land and have sole and exclusive right to alienate, sell and or dispose off ‘the Plot and other units in the proposal buildings to be constructed on the said plot of land and to enter into agreements with the purchaser of the said flat and other units therein and receive the sale price in respect thereof. AND WHEREAS the Builders proposed to construct the residential building(s) as per the plans sanctioned and the development permission granted by the Town Planning authority of Navi Mumbai including such additions, modifications, revisions, alternation therein if any, from time to time as. af be approved by Bp Phonning authors. AND WHEREAS The Navi Mumbai Municipal Corporation by its development permission-cum- commencement certificate bearing Ref. No NMM/TPD/BP/CASE No. A-12146/4154/2010 dated 23.09.2010 granted its permission to commence the construction work on the said plot of land ‘subject to the terms and conditions as contained therein it has been proposed that shops shall be constructed on the ground floor and residential on the upper floors in the proposed building. AND WHEREAS the said Builders, expressed their intention to dispose off the flats and other units in the proposed new building to be known as “SHELTON VISTA CO-OP. HOUSING SOCIETY LTD.” to the prospective buyer's. AND WHEREAS A copy of the certificate of title in respect of the said Plot of land has been issued by Advocate Sunil Garg, on 26.12.2011 AND WHEREAS the Mr. Sanjay Dinkar Baikerikar therein had examined and approved the building and floor, construction and fittings, fixture, facilities per the general specification. AND WHEREAS Mis Shelton Infrastru Flat bearing No. 1702 on the 17" floor in the said building known as "SHELTON VISTA CO-OP. HOUSING SOCIETY LTD” to Mr. Sanjay Dinkar Baikerikar constructed on the said plot of land bearing approximate Carpet area of 51.91 sq.mtrs. inclusive of enclosed balcony in the said building on i f ownership basis as agreed to by and between them which is hereinafter referred to as “the said flat premises”. AND WHEREAS The Agreement for Sale dated 29.03.2013 executed between Mr. Sanjay Dinkar Baikerikar with M/s Shelton Infrastructure Pvt. Ltd., is duly registered before Joint Sub-Registrar Thane-3, on 30.03.2013 having Reg.No. TNN-3/2794/2013. AND WHEREAS Mr. Sanjay Dinkar Baikerikar sold the said Flat and entered into a Sale Deed dated 20.12.2014 with (1) Mr. Vivek Tripathi (2)Mrs. Ritu Tripathi for a Flat No. 1702 on the 17 floor, Admg. 51.91 ~ Sq.mtrs. Carpet area in the said building known as “SHELTON VISTA CO- OP. HOUSING SOCIETY LTD.” ” being constructed on Plot No. 71, Sector 28, Nerul , Navi Mumbai 400 706. The said Sale Deed was Registered on 20.12.2014, bearing Registration No. TNN-11/6692/2014. AND WHEREAS The Owners have agreed that they are lawfully entitled to sell and transfer the said premises and that the Owners (1) MR. VIVEK TRIPATHI (2) MRS. RITU TRIPATHI are not in capacitated from joing so by act or omissiofM¥r encumbrances on the Owners having agreed he said premises free from all encumbrances jurchaser. The Owners shall at the request and costs of the Purchaser sign and execute from time to time the applications for effective transfer of the said flat provided that all costs, charges and expenses in this connection shall be bome and paid by the Purchaser alone. 12. It is agreed that the Purchaser shall pay and discharge all taxes and outgoing including Municipal taxes and all other revenue, taxes or charges, rates, cess, taxes that may be levied by the Housing Society and Navi 13. a) The Owners are otherwise well and sufficiently entitled to the said Flat described in the schedule hereunder written. His title to the said property is free and marketable subject to rights of existing occupants as aforestated, 4) No other person except the Owners has any right, claim or demand in respect of the said Flat or any part thereof: c) That the Owners are entitled to enter into this Agreement with the Purchaser and they have full right and authority to sign and execute the same. n wo er) oti — fie™ d) That the Owners have not agreed, committed or contracted or entered into any Agreement for Sale or lease of the said Flat or any part thereof to any person of person other than the Purchaser and that they have not created any mortgage, charge or any other encumbrances on the said Flat as mentioned herein. ) That the Owners have not done any act, deed, matter or thing whereby or by reason whereof, the said Flat may be prevented or affected in any manner to transfer in favour of the Purchaser. f) The Owners has not created any sale, gift, mortgage, charge, lien, lease or any other adverse right or any other encumbrance whatsoever or howsoever on the said Flat and the said flat & Share Certificate is not subject to any claim or demand, encumbrance, attachment or any process issued by any Court or Authority and the Owners hereby declares that they shall hereafter not create any third party rights of whatsoever nature in respect of the said Flat. 9) There are no proceedings instituted by or against the Owners in respect of the said Flat and pending in any Court or before any authority and the said Flat is not under any lispendens; h) No Notice from any Government, Municipal Corporation or any other public Body or authority or any notice under any law including the Land Acquisition Act, the Land Requisition Act, the Town Planning Act, the — Municipal Corporation Aét, or any other statute has been received or in respect of the said Flat or any part thereof the development of the said property; and Ast Wer J
