(A) Delivery Table:
The second party is committed to deliver the requested masteries as
per provided samples and mentioned clearly in the annex within ….
working days and the contract will be expired in ……….
(B) The above-mentioned price includes the value of requested
materials involving the cost of transportation, loading and offloading
separately to the delivery point as mentioned above. Delivery shall be
within the specified period mentioned above. In case of delay, the first
party has the right to deduct 5% as penalty from the total amount of
this contract on the second party for each week after the expiry date.
(C) In Case the required materials are not matching the agreed
specifications as mentioned clearly in the annex of this contract and
after notifying the second party of replacement, the first party has the
right to deduct 10% as penalty from total amount of the contract and
the payment will be made according to the market value of the
provided items without any objection from the second party. In case if

the amount of the alternatives items is less than the required items in
price and quality

Term (2)
The required requested materials must be identical to the quantities and
specifications listed in the annex of this contract and all delivered
quantities will be accepted from the second party after examining from
the First party when receiving the quantity. The second party also have
to provide an executive guarantee of 10 % of the total value of the
contract. In case supplier fails to follow agreed TORs, IRY reserves
the right to seize bank guarantee and/or decide not to do any further
business with them for an unlimited or certain period, minimum three
months.

‫يجب ان تكون المواد المطلوبة مطابقة للكميات والمواصفات المذكورة في‬
‫الملحق المرفق لهذا العقد ويتم االستالم بعد فحص العينات في حين وصول‬
‫الكمية من قبل الطرف االول ويلتزم الطرف الثاني بتقديم ضمان تنفيذي‬
‫ من اجمالي قيمة العقد وفي حالة فشل الطرف الثاني في‬%10 ‫بمقدار‬
‫االلتزام بشروط العقد يحق للطرف االول مصادرة الضمان البنكي او اتخاذ‬
‫االجراء الالزم بما يراه الطرف االول في ايقاف التعامل لمده معلومة التقل‬
‫عن ثالثة أشهر او وضعة في القائمة السوداء‬

Terms (3) )3( ‫مادة‬

Terms (4)
)4( ‫مادة‬

All the taxes, custom clearances fee and duties -if any will incur- shall
be paid by suppliers (second party) as well as the full insurance on the
requested Food Commodities, the second party has no right to claim
any differences in prices for any reason
‫على الطرف الثاني االلتزام بالقوانين الضريبية من خالل حصوله على‬
‫ وأي مستحقات‬،‫ وسداد كافة الضرائب‬،‫البطاقة الضريبية سارية المفعول‬
‫والتأمين‬.‫ قد تكون مرتبطة بهذا العقد‬،‫عامة للدولة أو ألي طرف اخر‬
‫الشامل على المواد المطلوبة الى حين تسليمها للطرف االول وال يحق‬
.‫للطرف الثاني المطالبة بأي فوارق في االسعار الي سبب كان‬

Term (5) )5( ‫مادة‬

The second party will take the responsibility of transportation of the
requested materials to the distribution points as mentioned above. In
case of any damage to the requested materials before it is reaching the
destinations specified by IRY, the supplier shall be the responsible to
compensate the first party (IRY) by replacing the damaged food
supplies with new ones within the delivery period as mentioned in
Term #(1) clause (A).
The Second Party is also guarantee the provision of its comprehensive
insurance service, including the materials and its employees, against

anything, including against the claim of any third party, and the First
Party shall not be liable in the event of any damage.

Term (6)
The second party shall indemnify and hold harmless to the IRY (first ‫على الطرف الثاني تعويض واعفاء الطرف االول عن كافة المطالب‬

Term (7) )7( ‫مادة‬

Term (8)
The second party undertakes to comply with all applicable laws and to )8( ‫مادة‬

Term (9)
Any right or claim of the Second Party relating to this Contract is
terminated on the expiry date and within a maximum limit of 30 days
from the expiry date or the date of completion of the Contract

‫ ولن يقبل الطرف األول أي مطالبة من الطرف‬،‫المتعاقد عليها ايهما اسبق‬

whichever is earlier. The First Party shall not accept any claim from
the Second Party.

Term (10) )10( ‫مادة‬

This contract shall be regulated and interpreted under the laws of
Yemen. In the case of ambiguity, any provision of this contract shall
be settled amicably between the two parties.

Term (11)
)11( ‫مادة‬
All clauses of the contract are applicable for normal country
‫تستثنى جميع بنود هذا العقد من حاالت الظروف القاهرة والغير‬
