CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This Deed, made, executed and entered into by and between:

CAMMILE BANZUELA, single, Filipino, of legal age, with


postal address at Calibutbut, Bacolor, hereinafter referred to
as the “SELLER”;
- and -
 
SEAN ARCILLA, single, Filipino, of legal age, with postal
address at Sto. Domingo, Angeles City, hereinafter referred to
as the “BUYER”
 
WITNESSETH: That

WHEREAS, the SELLER is the absolute and registered owner of a condominium


unit more specifically described as Unit 4c, Casa Henerosa with a floor area of
50 square meters, more or less, covered by Condominium Certificate of Title
(CCT) No. 123456 hereinafter referred to as the SUBJECT PROPERTY. (A copy
of CCT No. 1234567 is hereto attached as ANNEX "A" and made an integral part
hereof.)

WHEREAS, the SELLER has agreed to sell the SUBJECT PROPERTY to the
BUYER, and the BUYER has agreed to purchase the same under the terms and
conditions specified herein;

NOW THEREFORE, for and in consideration of the foregoing premises which


are essential conditions of this Deed, and the sum of One Million and Two
Hundred Thousand Pesos (PhP 1,200,000.00 ) Philippine currency, [inclusive of
value added tax (VAT), with computation as follows:

SELLING PRICE : 1,200,000


Add: 12% VAT : 144,000
TOTAL SELLING PRICE : 1,344,000

Receipt of which in full and to her complete satisfaction is hereby acknowledged


by the SELLER, the SELLER hereby CEDES, SELLS, TRANSFERS and
CONVEYS unto the BUYER, and by virtue of these presents has SOLD, CEDED,
TRANSFERRED and CONVEYED unto and in favor of the BUYER, their assigns
and successors-in-interest, the SUBJECT PROPERTY and all the SELLER’S
rights, title and interests to such SUBJECT PROPERTY, under the following
terms and conditions;

1. TAXES AND EXPENSES:

1.1. The SELLER shall be liable for payment of the [Capital Gains Tax (CGT),
The CWT shall be deducted and withheld by the BUYER from the full
balance payment and paid directly to the Bureau of Internal Revenue in
favor of the SELLER.

1.2. The BUYER shall be liable for payment of Documentary Stamp Tax,
Transfer Tax, Registration Fees, and other incidental expenses related to
the transfer of the title to the name of the BUYER.

2. WARRANTIES AND REPRESENTATIONS: The SELLER hereby specifically


warrants the following, that:

2.1. The SELLER is the absolute and registered owner of the SUBJECT
PROPERTY and that the SUBJECT PROPERTY is without tenants and/or
occupants;

2.2. The SUBJECT PROPERTY is free and clear of any liens or encumbrances or
unpaid taxes of whatever nature, assessments, or of any unpaid claim of
creditors, or third parties;

2.3. All other charges against the SUBJECT PROPERTY, including but not
limited to real estate taxes and utility accounts have been settled and updated
by the SELLER up to the date of execution of this Deed of Absolute Sale;

2.4. The association dues, assessments, and any penalties imposed by the
Management of Casa Henerosa have been settled and updated by the SELLER
up to the date of execution of this Deed of Absolute Sale.

2.5. The SELLER has complied with any and all restrictions or rules and
regulations imposed by the Management of Casa Henerosa and are not aware of
any violation or restrictions which may in any way hamper the immediate
transfer of the SUBJECT PROPERTY in the name of the BUYER;

2.6. The SELLER has the perfect right to convey and transfer the SUBJECT
PROPERTY;

2.7. The SELLER will defend the rights of the BUYER against anybody and shall
hold the BUYER free and harmless from all claims of any third parties, and/or
collectors.

2.8. The SELLER is not bound by any first option agreement extended to any
third party on the SUBJECT PROPERTY.

2.9. The SELLER warrants and undertakes to prepare, execute, and deliver all
documents required and/or necessary to enable the BUYER to transfer title
over the SUBJECT PROPERTY to the BUYER including, but not limited to the
following:

(a) Original CCT No. 1234567 issued by the Register of Deeds, Angeles City,
free from liens, charges and encumbrances;
(b) Latest and updated tax declaration in the name of the SELLER;
(c) Latest and updated real estate tax receipts;
(d) Latest and updated receipts for Association Dues and other fees imposed
by the Management of Casa Henerosa.
(e) Original Tax Clearance for the full year [2019];
(f) Previous Certificate Authorizing Registration (C.A.R.) issued by the B.I.R.;
(g) Passport copy or any government Valid I.D’s.

All the foregoing representations and warranties made by the SELLER have
been relied upon by the BUYER, and are material considerations for the BUYER
in having agreed to purchase the SUBJECT PROPERTY.

3. BINDING EFFECT: This Deed of Absolute Sale shall inure to the benefit of
and shall be binding upon the heirs, executors, successors, administrators and
assigns of both parties.

IN WITNESS WHEREOF, we have hereunto signed our signatures on the 18th


day of August, 2020 at Angeles City.

This instrument refers to the Deed of Absolute Sale of a Condominium Unit which
consists of four (4) pages including this page where the acknowledgment is written
and signed by the parties and their instrumental witnesses on the signature page
and on each and every other page thereof.
