To establish schools for imparting Primary, Elementary, Secondary, Higher Secondary and Collegiate as well a Religious and Moral Education to boys and girls without distinction of caste or creed and to bring education within the reach of all classes of Society and thus promote the physical, moral and intellectual development of the children residing in the entire area of operation of this Educational Society. To establish schools, Nursery, Kindergarten, Primary, Elementary, Upper Primary, Secondary, Higher Secondary and similar schools for preparing pupils for higher studies at such place or places as the council of Management may deem essential. To Start the Junior Colleges, Degree Colleges, M.C.A Colleges, M.B.A. Colleges, Pharmacy Colleges, Physiotherapy Colleges, Polytechnic Colleges, Para-Medical Colleges, Engineering Colleges, Dental Colleges, Medical Colleges, Law Colleges for the benefit of students irrespective of caste, creed and religion. To organise conferences, meetings, debates, tournaments, games meet, ‘Yogasanaas etc. according to the desires of the various types of school children, for the promotion of education in all directions. ‘To enter into any agreement with the Government or other Institutions, public or otherwise that may seem conducive to the objectives of the Association and obtain all rights concessions, privileges, recognition, aid ctc., which the Association deems desirable. I. NAME OF THE ASSOCIATION Il. SITUATION OF REGISTERED OFFICE ‘The Registered office of the Educational Society shall be for the time being be located at Plot No-17,Sri Nagar Colony, Royal Nagar, R.C.Road, Tirupati — 517 501, Chittoor District, Andhra Pradesh, in South India. Subsequent change or changes in the situation of the Registered Office of the Association will be intimated to the authorities concerned as and when decided to do so by the Governing Body of the Educational society. Ill AIMS AND OBJECTIVES OF THE ASSOCIATION The aims and objectives will be the same as those noted and set out in the Memorandum of Association of SHREE EDUCATIONAL SOCIETY at Plot No-17,Sri Nagar Colony, Royal Nagar, R.C.Road, Tirupati — 517 501, Chittoor District, A.P and this Association shall always be purely a non-communal, non-sectarian and non-political body. The main aim is to bring education within the easy reach of the needy residents of the area of operation and at the same time to have a sound and systematic education and also to mould the character of the pupils to the maximum extent possible. IV. ORIGIN AIM AND FUNCTIONS OF THIS DEVELOPMENT COMMITTEE The Educational Institution under the name and style of SHREE EDUCATIONAL SOCIETY at Plot No-17,Sri Nagar Colony, Royal Nagar, R.C.Road, Tirupati — 517 501, Chittoor District, A.P . It was established to help mainly rural and deserving children to have aces to regular and continuous education. The aims of the society are to import sound baring, building of character and spread of spiritual knowledge. The school treats every child as a lamp to be lighted and not a vessel to be filled in. It endeavors to shape and mould pupils in the intellectual Physical and spiritual development and to help for living and serving in the world manfully. The said committee registered under the provisions of the societies Registration Act, 35J2001,Central Act No.XXI of 1860 by the District Registrar of Sri Balaji Registration District, Tirupati and then to take steps to dhe p> (T.DAMODARAM) .V.RAMANA) PRESIDENT SECRETARY 8 improve the education and then to approach the concerned authorities for necessary aid and recognition. They have also decided to take up evening training classes to the failed students and to appear for the next exniinations and also start various developmental activities as noted in the Memorandum of Association. In accordance with the said decision the members present then clected the office bearers and they in their turn elected the PRESIDENT and the Secretary. There upon the committee members entrusted the PRESIDENT and the Secretary to‘go ahead with the registration of the Committee. The Committee members are also taking steps to first gather necessary statistics about the children population in the area and also try to open the educational institutions/branches of these Society convenient and suitable places and thus spread education among the poor and weaker sections people of the area at a cheaper rate. Vv. RULES AND REGULATIONS, The Rules and Regulations of this Association are as detailed here under and for the present and if any change or changes are required it will be carried out following the rules and regulations in the societies registration Act, 35]2°ct Central Act XXI of 1860. A copy of the modified rules will also be sent to the concerned authorities for record in their respective offices and also a copy of the same will be published in the notice board of the office of the Association for ready reference to the members for information. Rule No.1: Area of operation — (Jurisdiction): The Association shall be a state organisation for the present and its operations may also be extended to the neighbour states in India in future. But the head office will always remain at Tirupati, Chittoor District, Andhra Pradesh. Rule No.2. Definitions The rules and regulations, unless otherwise mentioned in the Memorandum of Association are as follows. a) Educational Societies or Society means the SHREE EDUCATIONAL SOCIETY, Plot No-17,Sti Nagar Colony, Royal Nagar, R.C.Road, Tirupati — 517 501, Chittoor District ,A.P. b) “ACT” means the societies Registration Act, 35[2001,Central Act No.XXI of 1860. Rule No.3: Membership 1. Any person above twenty-one years of age shall be eligible for membership provided that he is recommended by two members of the Association and it will have to be decided and admitted as a member by the Governing body. 2. Non -Residents of India can also become members of this Association if they are willing to abide by the Rules and regulation and also interested in the implementation of the aims and objectives of the society, 3. There is also no restriction regarding the total number of members. Rule No.4: Classification of members: Membership of this Association shall be divided in to three classes and they are: 1. The minimum subscription for life membership shall be a sum’ no R5,300k (Rupees Five hundred only) paid in lump sum. See 3. The minimum subscription for a patron membership shall be a sum of Rs. 1,000/- (Rupees one thousand only) paid in lump sum or in two or three or four installments with in a period of one year. 4, All Donors who pay a donation of Rs. 500/- or even more shall be eligible to apply as life members of this Association within three months from the date of such payment. . All Donors who pay a donation of Rs. 1,000/- (Rupees one thousand only) or more, to the Association or any of the institutions sponsored by the Association shall be eligible to apply as patron members of the Association within a period of three months from the date of such payment. ES . The Governing body of the Association shall, however, have power to elect as honorary patrons of the Association any person who has contributed substantially either in money or by service to the cause of the education and / or to the Association. . Subscription shall be paid yearly in advance and whenever it is paid, the same will ensure for the official year in which the person concerned is admitted to the membership of the Association. Subscriptions are payable on or before the 1* of June of the year to which the subscription relates in the case of Annual subscribers. If the subscription is not paid on or before the 1° of June, a notice shall be sent to the concerned member and if the arrears are not cleared by the 1* September, the Executive Committee shall have the power to remove the member concerned from the membership of the Association without further notice. The Secretary shall commence to communicate such removal to the person concerned without fail. 9. No member who has not paid his/her subscription on or before the last day of June of the year to which it relates shall exercise any right or privilege or membership subsequent to that date so or as the subscription remains update. 10. Every application for life or patron membership shall be accompanied by the subscription for such membership as provided for under these rules and regulations of this Association. 15. Every application for membership, ordinary, life or patron complying with the requirements of the rules and regulations received seven days prior to the date of meeting of the Executive committees at the after said meeting for consideration and the Executive committee shall be at liberty to admit or reject any application with out assigning any reasons therefore. 16. The Secretary shall communicate the admission or re-reaction to the applicant concerned, and in case of reaction shall also return the admission fee and advance subscription received from the applicant. 17.In addition to the three categories of members as noted in the Rules and Regulations above i.e. in Rule no.4, the Executive committee has powers to admit as an honorary members any person or persons having a record of professional. Persons admitted as life or patron members shall not be under an; any annual subscription. A Rule No.6. Resignation: ‘A member may resign his membership by a notice in writing addressed £9 the Secretary of the Association provided however, that a resigning member shall be'liable to pay the subscription due for the year, which the notice of resignation is received together with arrears of subseription ete. if any. Rule No.7. Re-admission of members: ‘Any person who has resigned or been removed from the membership of the Association, may at any time be re-admitted at the discretion of the Executive Committee on a fresh application being made therefore and the payment of arrears, if any in full, Members so re-admitted shall be treated as new members for the purpose of Rules of clection of this Society. Rule No.8 Removal of Members 1. Any member who is in arrears of subscription shall be removed from the role with due notice by the Secretary. He will, however, be re-admitted only on the payment of all the arrears due by him. . Any member who is of unsound mind, and who is the view of the executive committee conducts himself in a way which is prejudicial to the interest of the association shall be liable to be removed by the Executive Committee. Rule No.9 Rights and Privileges of the Members . All members shall be entitled to be elected to the Executive Committee of the Association and to vote. 2. Every member of the Association shall have one vote only. 3. No right or privilege of any member of the Association shall be in any way transferable or transmissible but all such right and privileges shall cease upon the member of the Association ceasing to be such, whether by death, retirement, dissolution, up or otherwise in the case of the firms companies under these rules. 4. Rule No.10 Management of the affairs of the Association |. The affairs of the Association shall be controlled and managed by an Executive nv Committee consisting of: . The President . The Joint Secretary The Treasurer and Six (6) Executive Committee Members meaese The total strength of the committee members shall be 11 (Eleven) and they shall be elected by the General Body at the Annual Meetings when due according to the Rules of this Association. . The members of the Executive Committee shall hold office ordinarily for a period of three years or until their successors are elected. But, the first members of the Governing body as noted in the memorandum of association will continue to hold the office for a period of three (3) years commencing from the I" day of June following the date of the registration of this association under the provisions of the Societies Registration Act 35\2001,Central Act No. XXI of 1860 — to overcome the teething troubles in the society. There after, the next body will continue to hold office only for a period of three (3) years. . Retiring members of the Executive Committee shall be eligible for re-election. The election shall be by ballot in case of contest. . Any casual or interim vacancy in the committee may be filled up by means of co- option by the committee and the member of co-opted shall held the office only until such times as the person in whose place the member so co-opted would have held the office. . A member, who desires to retire from the committee, may do so by sending a written resignation letter to the President. The Executive Committee shall prepare and submit to the General body of the Association at each annual general body meting a report on the working of the Association together with an audited statement of accounts for the proceeding year, and may make suggestions or recommendations for the consideration of the General body. 3. The Executive Committee shall have power to deposit, withdraw, purchase, sell, redeem, consent, consolidate, subdivide, renew or other wise deal with the Association’s Government of India securities or other securities or funds in any scheduled bank. 4, The Executive Committee shall have the power to receive gifts, to purchase, sell, mortgage, lease, exchange or otherwise deal with the movable and immovable properties owned by the Association for the implementation of the various aims and object more fully desorbed and set out in the Memorandum of Association. df. a (7.DAMODARAM) (P-V.RAMANA) PRESIDENT SECRETARY Rule No.12 Official year of Accounting | The official year of accounting of the Association shall be fromthe day of June.” to the 31" day of May of the succeeding year according to the English’calendar year. 7 ¢. The Secretary shall be the convener of all sub-committees, shall maintain the minutes of the proceedings of each sub-committee and place its recommendations before the Executive Committee and the general body at its next ordinary meeting for consideration etc., Rule No.14 Functions of the office bearers THE PRESIDENT . The President shall preside at all the meetings of the Association and the meetings of the Governing Body or the Executive Committee as well. In the absence of the President, the Vice-President and the members present at the meeting may choose or elect a President from among the members present, decisions shall be by majority or votes and in the case of a tie or equality of votes for the against a particular subject the President of the meeting shall have a casting vote. . The President may of his own accord, and shall on the written requisition of eleven members of the Executive Committee specifying the subject or subjects to be discussed, convened a meeting of the Governing Body. . The President may in any emergency pass temporary orders in writing suspending the action taken or orders passed by any of the office bearers and himself take such further action as he considers urgent and necessary and all orders passed and action so taken by him shall be placed before the Governing Body for its consideration and final orders within a period of ten or fifteen days thereafter. Prepare the annual report of each year, obtain the approval of the Governing Body there etc., and submit it to the General Body at its annual meeting together with the audited statement of accounts. Prepare the budget estimate for the coming year and after obtaining the approval of the Governing body place for sanction at the General Body meeting, k The Secretary shall deal all money transactions such as rising of funds, issuing receipts and signing cheques together with Treasurer jointly. 1) To also have power to appoint, punish, suspend or dismiss servant employed in the conduct of the affairs of the Association subject, in case of dismissal only, to @ right of appeal by the dismissed servant to the Governing Body whose decision shall be final. ) a wih (T.DAMODARAM) 4 iA) PRESIDENT SECRETARY THE JOINT SECRETARY The Joint secretary shall have to perform such functions as'may be allotted tot by the governing body and such other functions as are delegated t them by the Secfetdy. tHE TREASURER “ae In the absence of the specific directions of the Governing Body otherwise, the surer shall: a) Collect subscriptions, donations, rents and such other moneys as may be due to the Association and deposit the same in the Association’s name. b) Keep account of income and expenditure and place them before the governing body at the meeting, ©) Make all disbursements only through the secretary of the Educational Society. ) See that all vouchers are properly prepared and signed, and supported by sanction and by the counter signature of the secretary. ©) See that all vouchers are properly prepared and signed and obtain the services of the servants of the Association under the orders of the Secretary in the transaction of the Association’s affairs. i) Be the custodian of all money and all accounts and other documents connected there with. 4) The treasurer shall after obtaining the authorization of the Governing Body, open a current account in the name of the Society in any scheduled Bank. Provided that nothing there in contained shall prevent the payment of money in good faith remuneration to any employee or servant of the Association or to faith other person in return for his services actually rendered, provided further that no member of the Executive Committee shall be appointed to any salarised office of the Association or shall be countered to any fees except the repayment of the expenses incurred by him for the work for this Association. 1. ‘The Executive Committee shall work gratuitously. The Committee may debit to the Association’s account any expenditure actually incurred by them in doing the work of the Association in the manner indicated below: 4) Postal charges supported by proper vouchers and correspondence. b) Traveling expenses of members of the Executive Committee for official visits made by them in connection with the work of the Association, ©) Contributions to institutions engaged in the rural uplift or social upliftment works within the limits sanctioned by the General Body for each year or on any special or specified occasion. d) Establishment charges of the permanent or a temporary character sanctioned by the General Body. c) House-rent, cost of furniture, cost of stationary articles, electric current charges and other defined charges within the annual budget grant or allotment sanctioned for each year by the General Body. The Executive Committee shall not incur any other item or items of expenditure than those specified above without the previous sanction of the General Body of the Association. Rule No. 17. Special Duty of the Secretary |. All the staff members shall assist the secretary in the discharge of her / his duties. In virtue of their offices the President and ary shall be members of the various Committees formed out the Association as Ex-officio members. All money to be disbursed by the Treasurer should first be passed and counter signed by the Secretary to become valid payments. the Treasurer cannot make any payment without the approval of the Secretary. Rule No. 18 Quorum for the meeting |, Ihe quorum for the Executive Committee meeting shall be six (6) members for the committee present personally and also entitle to vote. "2, the quorum for the General Body meeting of the committee shall be fifty (50) percent of the (otal number of members on the rolls exactly prior to the date of the meeting or the presence of 50 (fifty) persons personally and also entitled to vote, which ever is less. ~ [ttile No, 19 Auditor and the audit of accounts The accounts of the Association shall be audited by the Auditor appointed by the _ General Body at its annual General Body meeting and such other audited accounts shall jw submitted to the General Body. If for any reason the auditor appointed by the General _hiody is unable to carry out the duties entrusted to him, it shall be then competent for the {)xecutive Committee to appoint another person to complete the audit of the accounts for {hat particular year only. A eae Rule No, 21 Elections pm abbed, When the members of the Governing Body have to be elected then the Gen€ral rules regarding the elections will be secured and preserved in the library and will be scrupulously followed when there is keen contest and the elected members will have to {sume office on the first day of June. The annual General Body meeting of the year which takes place on the 15" May will be utilised for the conduct of the elections. Rule No. 22 Office working hours ‘The Association will generally open its office at 8.00 or 8.30 a.m. and will work till 12,00 noon and again start its work at 4.00 or 4.30 p.m. and will continue to work till 9,00 or 9.30 p.m. every day according to the convenience of the members and also at the discretion of the members conveyed through the Secretary of the Association. When staff members are appointed a weekly holiday will be arranged and notified ‘on the notice board for ready reference to the members. Rule No. 23 Common Seal The Society shall have a common seal of such type and design and as decided by the members. The seal so prepared should be the personal custody of the President or the Secretary Society should be sealed with the said common seal. All arrangements entered into should also be sealed with the said seal also. Rule No. 24 Deputations Alll deputations concerning the affairs of the Association shall be made by the President and the Vice President and the Secretary and such other members as they may co-operative. Rule No. 25 No-Confidence More than one half of the members of the Association may at any time move a no- confidence motion against the President or Vice President or any other office bearers. Such resolution will be put to vote in the General Body meeting and shall be declared as passed by a vote of two thirds of the members voted. But it should not be done within six months from the date of election of the Governing Body. _ (T.DAMODARAM) :V.RAMANA) PRESIDENT SECRETARY gf Rilo No. 26 Indemnity Such of the member of the Association shall always stand ifidemnified in respect of all financial transactions, entered into by them jointly or severally or authoriged*by the Governing Body or the Executive Committee for and on behalf of the Asso¢iatiofi with any individual, Bank or any other authority, against all affairs, claims; Tosses and damages, if any suffered by the said members. Provided that such indemnification shall be form and out of the movable and immovable property assets belonging to the Association and possessed by or managed by the Association. Rule No. 27 Miscellaneous . All legal proceedings on behalf of or against the Associations shall be taken by or in the name of or against the Association represented by its President for the time being. 2. The Association members must try to motivate people for self help. This is the proper time for us to unite together and to put our joint efforts in solving the various educational problems confronting the people. Therefore let us act now with courage and face all the obstacles boldly and cheerfully and thus over come all the difficulties which stand in the way or progress of education to the children of the area. Let us perfect the means, the end will take care of itself. For the world can be good and pure only if our lives are good and pure. Therefore let us purify ourselves first. Let us make ourselves perfect. - . Purity, patience and perseverance are the three essential to success and above all love, truth, purity and unselfishness whenever these are present, there is no power in the universe to crush or possess or take away these from any individual. . Arise, Awake and stop not till the goal is reached should be the motto of our Association. We want Great Spirit, tremendous energy and boundless enthusiasm. No need of looking behind. March forward with full faith in the Lord of Seven Hills and the success in our attempts will be the result of the Lord’s blessings. Rule No. 28 Amendments or alternation etc. No amendments or alternation shall be made in the purpose of the Association unless it is voted by 3/Sths (Three-fifths) of the members present at a meeting specifically and specially concerned for a the purpose and confirmed by 3/" (Three-fifths) of the members present at a second special meeting as provided for in the societies Registration Act, Central Act No. XXI of 1860. ee (T.DAMODARAM) .V.RAMANA) PRESIDENT SECRETARY Rule No. 29 Winding up procedure In case the association desires to wind up its activities, then thé, propé funds of the association that will remain, after the full satisfaction of the liabilities of the association, will be transferred or paid to some other institution or institutions With / similar aims and objectives only. This will be determined by the votes or 3/5" (Three? fifth) of the members of the association present personally or by proxy at the tithe of the dissolution of the association. The detailed instructions on the subject contained in the relevant sections of the societies Registration Act 35|2004Central Act No. XXI of 1860, will be scrupulously followed. Rule No. 30 Income Tax Act . The funds of the Society would be invested as per section 11(5) of the Income Tax Act. 1961 . The Society is irrevocable 3. The accounts would be maintained regularly and would be audited by a Charted Accountant. (Expn. to section 288(2). 4, The funds of the Society would be utilized only towards the objectives and no portion would be distributed in any manner to the Trustees or persons defined in section 13 (1) (0) of the Income Tax Act 1961. . In the case of winding up/ dissolution, the net funds would be transferred to society having similar objectives and enjoying exemption Uis 11 & 80G of the Income tax Act 1961. 6. The benefit of objectives would be available to the general public irrespective of Caste, Creed, Religion or Sex. 7. Any amendment to the society would be carried out only with the approval of the CIT, Tirupati. . The charitable activities would be confined to the territory of India. 9. The activities would be purely Charitable and religious in nature not motivated for profit, 10.Not more than 5% of the income of the Society would be applied for any religious purpose or given to religious institutions.
