SUB: Consent to negotiate sale of my shares in United Agencies

In the Video meeting held on 10 July 2020 at 8.30 pm, it was

unanimously resolved to sell the Enterprise known as UNITED AGENCIES
(Dealers Bharat Petroleum Corporation Limited, Kanhangad, Kasargod
District, Kerala state, in its entirety to any Prospective third party
Buyer.

Further, Shri. K. Gajanan Shenoy, Shri. K. Ramnath Shenoy, Shri. K.

Sarvottam Kamath, Shri. K.Gurudatt Kamath, are hereby authorised to
invite Bids, Discuss, Negotiate and Finalise with the Prospective
Buyer subject to the approval of the Partners. They will try to get
the maximum value for the partners.

Further, they are authorised to share with the Prospective Buyers all
documents such as the Company's Balance Sheet, P&L Account, Land Lease
Agreement with BPCL, Agency(DPSL)Agreement with BPCL or any other
information related to the business and essential to decision making
by the Prospective Buyer.

The process of sale will start immediately"

The above resolution is passed unanimously by those present and also

endorsed by those not present, the individual consent is given
hereunder.
