This is a license, not a sale. Softw
wareCasa EC CS SL. (hencceforth “SofftwareCasa”, owner of
Callouts.com) contin nues to own alla graphics, video clips,, audio clips, photographhs, music, soound
effects, stingers, mottion callouts,, icons and other
o media ccontent (“Sttock Files”). Subject to yyour
acceptance of the term ms of this ag
greement (“L License Agreeement”) SooftwareCasa hereby grannts to
you a non n-exclusive, non- transfeerable, world dwide right tto use the Sttock Files ass follows: Yoou
may use the Stock Fiiles for nearlly any projecct, includingg feature filmms, broadcastt*, commerccial,
industrial, educationaal video, prinnt projects, multimedia,
m games, and the internet,, as long as tthe
Stock Filles have been n incorporatted into any work
w with suubstantial vaalue added bby you. Thuss, you
could inccorporate Stoock Files in promotional
p l materials, ppackaging, wweb page dessign, broadcast,
products for sale, electronic and print
p publicaation, compss, and layoutts.

2. Limitation

The Stocck Files may not be sold as stand alon ne clips/stocck files, or inncluded in anny other
media/stoock product,, library, or collection
c fo
or distribution or resale. T The Stock FFiles may nott be
used, in part
p or in wh hole, as a trademark or seervice mark,, nor may yoou claim anyy proprietaryy
rights of any sort in the
t Stock Filles, or any part thereof. Y You may noot make availlable some oor all
of the Sto
ock Files on a web page or other disp play as a sepparate or dow wnloadable rreusable filee, or
disassemmble, decomp pile, reverse engineer, traanslate, or ottherwise deccode the Stock Files for any
reason whatsoever.
w Iff you providde Stock Filees or Derivattive Works tto a client as part of yourr
work prooduct, the cliient may not reuse the Sttock Files orr Derivative Works for aany purposess
other than a review of
o your work k product witthout purchaasing a separrate license.

Files not expressly grranted by thee License Grrant above. S Such rights aare protectedd by the Uniited

nd Internationnal Copyrighht laws and international
i l treaty provvisions. You may be heldd
legally reesponsible fo
or any copyrright infringeement that iss caused or eencouraged bby your failuure to
abide by the terms off this agreem
ment.

5. No Warrranty

SoftwareeCasa makess no represen ntation or waarranty with respect to thhe use of nam mes, trademaarks,
logos, reggistered or copyrighted
c designs
d or works
w of art ddepicted in aany Stock File, and you m must
satisfy yo
ourself that all
a necessary y rights, moddel releases, consents or permissionss as may be
required for your inteended usage are secured. All SoftwaareCasa Stocck Files are pprovided “ass
is.” Softw
wareCasa maakes no reprresentation or o warranty eeither expresss or impliedd including bbut
not limiteed to any immplied warran nties of mercchantability,, fitness for aany particulaar use, qualitty of
image, orr compatibility with any y computer hardware
h or oother equipmment, operatiing system oor
software program. Neither Softw wareCasa norr any of its ddirectors, offficers, emplooyees,
subsidiarries, affiliates, or agents shall be liab
ble for any daamages, wheether direct, incidental, oor
consequeential, or oth her damages arising out of o the use off, or the inabbility to use, the Stock Fiiles.

6. Remedy

informatiion, or otherr pecuniary loss) arising out of A) thhe use of or innability to uuse the Stockk
Files or B)
B the inability to obtain n additional rights
r to the images (inclluding making additionaal
copies) even
e if Softw
wareCasa hass been adviseed of the posssibility of ssuch damagees. In any event,
the limit of liability of
o the copyriight owner ofo the Stock F File, their reepresentativee, and
SoftwareeCasa, shall be b the fee paaid for the Sttock File to SoftwareCassa.

8. Termination

The licen
nse contained
d in this Agrreement willl terminate aautomaticallyy without nootice from
SoftwareeCasa if you fail to comp
ply with any provision off the Agreem ment. Your indemnity annd
payment obligations and SoftwarreCasa’s righ hts in conjunnction with tthose obligattions shall
  
survive any
a terminatiion or expiraation of this Agreement. The provisiions of this pparagraph arre in
addition to any otherr remedies an
nd rights SofftwareCasa m may have ass a result of aany breach oof
this Agreeement. Neitther party wiill be entitled
d to damage s as a result of terminatiion of this
Agreemeent as providded herein.

9. Integrattion

SoftwareeCasa reservees the right to

t pursue any y claim or coontroversy rrelating to inntellectual
property rights, not by
b arbitration
n, but by a co ourt located in the regionn of Malagaa, Spain. In thhe
event thaat either a court of compeetent jurisdicction directss us to go to court, or thee matter invoolves
copyrighht, you agree to fully reim
mburse Softw wareCasa forr its reasonaable legal feees, costs, andd
disbursemments if SoftftwareCasa iss successful in the suit. SSoftwareCassa reserves thhe right to seeek
an injuncction to prevent breach of
o your oblig gation to SoftftwareCasa’ss intellectuall property rigghts.
SoftwareeCasa reservees the right to
t withdraw Stock Files from use at any time, foor any reasonn.

10. Genera
al Provisions

If any proovision of thhis Agreement is found illegal

i or uneenforceable, the legality and
enforceab bility of the other provissions of the Agreement
A w
will not be afffected. Youur use of the
Stock Fille(s) must bee in complian nce with all applicable l aw, includinng but not lim mited to, lawws
and regullations relatiing to exportt, currency, and
a the law of moral rigghts. This license will
expresslyy not be goveerned by thee United Nattions Convenntion on Conntracts for thhe Internationnal
Sale of Goods.
G No liccense for usaage of Softw wareCasa’s P Products is ggranted until payment in full
for the Prroduct has been received d by SoftwarreCasa. No ffailure of eithher party to exercise or
enforce any
a of its rig ghts hereundeer will servee as a waiverr of such righhts. This Agreement shaall be
governed d in all respeects by the laaws of the coountry of Spaain, excludinng its’ body of law relatiing
to confliccts of law, annd excluding g the issue of copyright, including itts validity, innterpretationn,
performaance, breach,, or other maatter. Any an nd all disputees arising unnder this agreement, withh the
above exxceptions, shall be settled d by arbitratiion pursuantt to the ruless of Spanish Arbitration.
Judgmen nt upon any arbitration
a aw ward may bee entered in tthe highest ccourt havingg jurisdictionn as
providedd herein. SofttwareCasa reeserves the rightr to pursuue any claimm or controveersy relatingg to
intellectu
ual property rights, not byb arbitration n, but by a coourt located in the regionn of Malagaa,
