CERTIFICATE OF DELIVERY AND ACCEPTANCE

(hereinafter called the “Seller”) do hereby sell, transfer, and assign to ISRAEL
ELECTRIC CORPORATION LIMITED, a company organized and existing under
the laws of Israel with registered office at __________ (hereinafter called the
“Purchaser") all its title, right and interest in and physically deliver one (1) Steel Hull
Mooring Tug Boat (hereinafter called the "Vessel"), as follows:

by Seller and documentary proof of assignment of all Seller warranties pursuant to
the Vessel Purchase and Sale Agreement, the Technical Specifications and Makers
List and Attachments attached thereto executed between Seller and Purchaser and
dated ________. The Vessel is free from all encumbrances, mortgages and maritime
liens, taxes, claims or any other debts whatsoever

THE BUYERS do hereby accept delivery, title and risks in and to the above
mentioned Vessel as being in accordance with the terms and conditions of the
Vessel Purchase and Sale Agreement, the Technical Specifications and Makers List
and the Attachments attached thereto, subject to any warranty claims as may arise
under the agreement.
