ARBITRATION AGREEMENT

I. This arbitration agreement is made between business partners Ms. ARCIAGA, M.C.
RAPHAELA C. and Ms. LAMSIS, FAITH P. residing at the address of MUNTINLUPA
CITY SOUTH GREEN HEIGHTS VILLAGE and MAKATI CITY, PASEO DE ROCES
CONDOMINIUMS and the party of Ms. LEA ROSE SALONGA residing at the address
of PATEROS, METROMANILA and the parties who have enacted the Agreement,
hereinafter shall be referred to as THE PARTIES.

(The address and titles of both parties shall be written in the blank spaces, if the contract is signed
by a real person (sole proprietorship), then the name and surname of that person shall be written.)

II. The parties have agreed on the settlement of any dispute arising out of or in connection
with the business relationship between the parties commenced/dated JANUARY 2, 2018
subjected Agreement by arbitration through the ADR Laws Arbitration Council in
accordance with the ADR Arbitration Rules.

The parties, by reading the Rules, shall declare that they have accepted to comply with its
terms, obligations and consequences beforehand.

III. The parties have decided to have the arbitration conducted at BERSABE CO.
BUILDING, MAKATI CITY, METRO MANILA

IV. The parties have agreed on PHILIPPINE ADR LAW as the applicable law to this
arbitration.

V. The parties each undertake to pay half of the arbitration expenses that shall be notified
subsequent to filing the suit before the ADR Arbitration Council as an advance payment.
Each party also undertakes to pay his share of the total expenses determined within the
Arbitral Award approved by the Council.
VI. The parties hereto agree to refer the following matters and responsibilities to the
Arbitrator:
a. To resolve disputes and differences under the contract
b. To review the terms of the contract and determine the amount payable by one part
to the other (if any)
c. To make provisions for the payment of liabilities and/ or damages.

VII. It is determined by the parties that disputes shall be settled by Mr. BERSABE, RENZ C.
arbitrator(s).

OPTIONAL TERMS

VIII. The parties have agreed on the appointment of a sole arbitrator by the ADR Arbitration
Council.

The parties have nominated, as the sole arbitrator Mr. BERSABE, RENZ C. residing at
the address of KATARUNGAN VILLAGE, MUNTINLUPA CITY

However, in the case where the sole arbitrator is not approved by the ADR Arbitration
Council, then the parties accept that the arbitrator shall be appointed by the Council.

The parties accept to nominate the sole arbitrator by themselves within 30 days from the
notification of the arbitration request to the defendant and the appointment of the sole
arbitrator by the Council if the parties cannot agree on the nomination of the sole
arbitrator or in the case where the nomination of the sole arbitrator by the parties is not
approved by the Council.
IX. The Arbitrator shall not be bound to take oral evidences but if any party or their witness is
examined he will be allowed to be cross examined

X. We hereby undertake to accept and to comply with the provisions of this arbitration
agreement comprising 10 articles as above.
The parties understand that this Agreement contains an agreement to arbitrate. After
signing this document, each party understands that it will not be able to bring a lawsuit
concerning any dispute that may arise which is covered by the arbitration agreement,
unless it involves a question of Constitutional or civil rights. Instead, the parties agree to
submit any such dispute to an impartial arbitrator or arbitrators.
