NOW, THEREFORE, for and in consideration of the terms and conditions mutually agreed
upon by the parties, his heirs, successors and assigns, subject to the following terms and

3. That the parties agree to take part in an exchange of the aforementioned motor vehicle.
4. That the exchange of the vehicle will under “as is, where is” agreement. No further
warranty will be extended.
5. Each Party acknowledges that this Agreement has been fully read, reviewed and
understood by each Party.
6. If any provision of this Agreement is held to be invalid, void or unenforceable, the
balance of the provisions will, nevertheless, remain in full force and effect and will in
no way be affected, impaired, or invalidated.
7. Each Party agrees to execute any additional instruments and take any further actions
as may be reasonably necessary or convenient or as may be reasonably requested by
the other Party in order to consummate and carry out this Agreement.
