Company's Share Capital

The paid-up share capital of the Company, as on 11th December, 2020 is Rupees 1230,50,36,551 (Rs. 1230.50 crores) divided into
1230,50,36,551 Ordinary Shares of the face value of Rupee 1/- each.

8,58,51,54,425 Ordinary Shares of the Company, representing 69.77% of the Company's paid up capital, as on 11th December, 2020
are held in dematerialised form.

Total number of Shareholders as on 11th December, 2020: 19,09,213.

GDRs
The Company's Global Depository Receipts (GDRs) are listed on the Luxembourg Stock Exchange (Code: 004660919), at Societe de la Bourse de
Luxembourg S.A., 35A Boulevard Joseph II, L-1840, Luxembourg.

As on 11th December, 2020, 1,45,02,025 GDRs, representing 1,45,02,025 underlying Ordinary shares of the Company, were outstanding.

The 109th Annual General Meeting (AGM) of the Company was held on Friday, 4th September, 2020 through Video Conferencing /
Other Audio Visual Means.

All the Resolutions for consideration at the 109th AGM were passed by the Members by requisite majority through remote e-voting
and e-voting during the AGM.

Dividend for the financial year ended 31st March, 2020

The Members of the Company, at the 109th AGM held on 4th September, 2020, declared dividend of Rs. 10.15 per Ordinary Share of Re. 1/- each for
the financial year ended 31st March, 2020.

The aforesaid Dividend was paid on Tuesday, 8th September, 2020 to those Members entitled thereto and whose names appeared in the Register
of Members of the Company on 9th July, 2020 or to their mandatees, subject however to the provisions of Section 126 of the Companies Act, 2013.
In respect of dematerialised shares, the dividend was paid on the basis of beneficial ownership as on 7th July, 2020, as per details furnished by
National Securities Depository Limited and Central Depository Services (India) Limited for this purpose.

Unclaimed Dividend

Unclaimed dividend for the years prior to and including the financial year 2012-13 has been transferred to the General Revenue Account of the
Central Government / the Investor Education and Protection Fund (IEPF) established by the Central Government, as applicable.

The dividend for the undernoted years and sale proceeds of fractional entitlements, if remaining unclaimed for 7 years, will be transferred by the

Transfer of Ordinary Shares to the Investor Education and Protection Fund

Pursuant to the provisions of Section 124(6) of the Companies Act, 2013, read with the Investor Education and Protection Fund Authority
(Accounting, Audit, Transfer and Refund) Rules, 2016, Ordinary Shares of the Company in respect of which dividend entitlements remained
unclaimed for seven consecutive years from the financial year 2012-13 have been transferred to the Investor Education and Protection Fund
(IEPF) in September 2020.

The Company had earlier sent individual letters to the concerned Members who had not claimed their aforesaid dividend providing them an
opportunity to lodge their claim with the Company in respect of the same. Notices in this regard were also published by the Company in leading
English and Bengali newspapers.

Claim from the Investor Education and Protection Fund Authority

The concerned Members may claim their shares and/or refund of their dividend from the Investor Education and Protection Fund (IEPF) Authority
by following the procedure prescribed under the IEPF Authority (Accounting, Audit, Transfer and Refund) Rules, 2016 (IEPF Rules).

Mr. R. K. Singhi, Executive Vice President & Company Secretary, is the Nodal Officer and Messrs. T. K. Ghosal and K. S. Madia, Assistant Company
Secretaries, are the Deputy Nodal Officers of the Company under the IEPF Rules. The said officials of the Company may be contacted at the e-
