BOARD RESOLUTION 2020

WHEREAS, the KISSING CLOUD TRANSPORT CORP. is a legitimate

organization duly registered with the Securities and Exchange Commission, with
principal place of business at Purok 5 Dontogan Baguio City;

WHEREAS, in the meeting of KISSING CLOUD TRANSPORT CORP. held at

Purok 8 Dontogan Barangay Hall Baguio City, it was agreed and unanimously approved
by the Board of Directors to give the DOS-TODA President, Mr. George L. Bay-ed
authority to represent the company to register the Corporation in BIR;

WHEREAS, the board further agreed that such authority granted to MR. GEORGE L.
BAY-ED include, among others, to sign and execute documents, to process application
for any BIR requirements;

RESOLVED AS IT IS HEREBY RESOLVED, to give the DOS-TODA President Mr.

George L. Bay-ed, authority to represent KISSING CLOUD TRANSPORT CORP.
pertaining to application of any BIR requirements.
