Part 1

ARTICLE I: NAME

This organization shall be named the Club Med Main Board and shall be shortened to
“CMMB.”

ARTICLE II: MISSION

The Club Med organization’s mission is to promote the health sciences by


organizing fundraising events, activities, speakers, and more pertaining to the
field through branches of high school clubs in different schools. The CMMB is
responsible for overseeing and leading the operations of all chapters of “Club
Med” in order to see this mission through. The board members will develop
leadership skills and use these skills to build professional networks, increase
community awareness of our mission, expand our base, and manage the
organization.

ARTICLE III: MEMBERS

Section 1: Members Serving on the CMMB

A. Members shall consist of:


a. The Governer(s) can decide how many Board Roles they will need.
b. Students from 9th to 12th grade
B. Duration of Membership:
a. Active membership in the CMMB is required for one term of one
school year once selected.
b. Any member may, by giving written notice of resignation to the
Governor, resign from membership.
C. Revoking Membership at the December Reevaluation
a. If a reason arises that may or may not be stated in the Bylaws that
puts a board member’s membership in question, the Governor(s)
must be notified.
b. Any board member may raise concerns about another’s
membership to the Governor(s) through a verbal or written
explanation about the member in question.
c. Governor(s) will decide if the request is valid for a special board
meeting to discuss revoking membership or if the solution is a
simple discussion with the member in question.
d. If this member in question is the Governor, a special meeting may
be called by the member(s) who arose concerns.
e. The governors at the end of the year (December) will reevaluate
board positions and revise according to any concerns brought up
by the board members and/or according to the Governor’s
evaluation.
f. Members should get at least one warning prior to the December
Revaluation before their membership is revoked.
g. Revoked members may reapply if there is a role open in the
December Reevaluation or may reapply during the Spring
Application process.

Section 2: Selection of New Members

A. Rules of Candidates
a. Any high school student in good standing and that was previously a
Club Med Officer or in a higher position for at least one school
semester at their own respective school may apply to be a part of
the CMMB, with the exception of the Governor.
b. All board members must apply each year in the Spring Application
Process regardless if they were selected in years past.
c. All board members may apply as many times as they want
regardless if they have already served on the board.
B. Selection of Members
a. Spring Application Process
i. Members shall be selected for the next term based on an
application process consisting of a written application and an
interview process during the Spring Application process.
ii. Governor (s) select the questions for the written and
interview process and must change the questions that were
on the application the previous year.
iii. Governor(s) shall select positions appropriately.
b. December Reevaluation
i. The governors at the end of the year (December) will
reevaluate board positions and revise according to any
concerns brought up by the board members and/or according
to the Governor’s evaluation.
ii. If roles open up during the December Reevaluation, roles
will be decided by an interview process selected by the
Governors.
iii. At the December Revaluation, double roles can be put in
place if there is a shortage of people who apply for any roles
that open up (Board members and Club Med Presidents/VPs
may have double roles. Other officers may also but it will be
rare).
iv. Double Roles must be approved by the Governors and will
not be a part of the Spring Application Process.

C. Vacancy
a. In the event that a member can no longer serve, the CMMB will
open the position to Club Med Officers (or those in a higher
position) who have held that position for at least one school
semester.

Section 3: Governors

A. Governors will serve one term of one school year (starting fall of 2022).
B. An election will be held to elect new Governors in May. Previous
Governor(s) may run again.
C. Governors may campaign in any way they like.
D. People eligible to vote are Board Members, Presidents/VPs of Branches,
and Other Officers of Branches.
E. There will always be two Governors having equal power.
F. The top 2 people who get the most votes to be Governors will become the
Club Med leaders for that next year.
G. Qualified people to run for Governor are members who have served on the
Club Med Main Board previously.

ARTICLE IV: MEETINGS & EVENTS

Section 1: Regularly Scheduled Meetings

A. The Board will meet every other week at a time decided by all the Board
Members at a location set up by the Governor. Special meetings may be
called when needed
B. Presidents and Vice-Presidents of Branches of Club Meds are invited but
not required to attend Board meetings.
C. Only CMMB members may invite guests vital to the CMMB meeting.
Presidents can invite guests only after approval by a governor.
D. Also, Board Members are required to actively participate in meetings.

Section 2: Absences

A. Attendance should be taken by the Secretary for each meeting.


B. Members cannot miss more than 2 regularly scheduled meetings and 2
unofficial meetings in one school year unless there is some reason
approved by the Governor(s).
C. Members whose absences exceed the above requirement will have their
membership on the board be questioned and possibly revoked.
D. Members are expected to notify the Governors of their known absence at
least 24 hours before the scheduled meetings, with the exception of
emergencies.
E. If a member exceeds the maximum number of absences stated in letter A,
they must contact the Governor(s) and set up a meeting to discuss their
membership.

Section 3: Agenda

A. The CMMB Governor(s) will be responsible for putting together the


meeting agenda for each meeting called.
B. Items may be placed on the agenda by any member of the Board.
C. Items desired to be included on the agenda must be submitted to the
Governor(s) at least 12 hours before the Board meeting at which the
agenda item will be considered.
D. Board members are expected to view and consider the agenda before the
meeting in order to complete the tasks given and bring ideas.

Section 4: Events

A. All members are expected to participate in each event that the CMMB
organizes.
B. Only a viable reason approved by the Governor(s) can dismiss
participation.
C. All members are required to contribute their part in organizing each
event/activity.

Section 5: Voting

A. Each member shall vote on agenda items that require a vote.


B. Agenda items must be approved by most of the Board members present at
the meeting (more than half).
C. Other online voting methods will be instituted if necessary.

Section 6: Minutes

A. Minutes should be taken at every meeting conducted by the board in an


orderly fashion that can be easily followed.
B. The minutes should be taken by the Secretary. In an event where this is not
possible, another member may volunteer to take notes or the job will be
decided by the Governor(s).
C. Minutes should be uploaded to be viewed by the board no more than 48
hours after the meeting.
ARTICLE V: DUTIES OF EACH POSITION

Section 1: Governor(s)

A. Preside over all CMMB meetings


B. Coordinate the work of the board with the other members
C. Give assistance, guidance, and praise when appropriate
D. Act as a facilitator of group discussion by summarizing, clarifying, etc.
E. Maintain frequent contact with board members and higher-level officials
F. Make sure the other officers are following their duties
G. Build an agenda for each meeting
H. Help/Guide individual clubs with required events, activities, etc
I. Oversee all individual chapters
J. Be transparent with all Board members
K. Market the Club
L. Gather speakers as needed

Section 2: Secretary

A. Review, prepare and distribute the agenda for meetings in the style that the
officers selected.
B. Take the roll of attendees at board member meetings and meetings with other
clubs, written.
C. Take minutes of the proceedings of all club meetings.
D. Prepare and distribute the written minutes, with the president’s assistance,
promptly.
E. Maintain a file of original agendas and minutes.
F. Maintain the files of the club
G. Maintain contact names, addresses, phone numbers, and e-mail addresses of
people with whom the club regularly works.
H. Report status to Governors
Section 3: Director of Finance

A. Work closely with the governors in preparing a workable yearlong calendar and
budget.
B. Oversee club expenses and revenues.
C. Maintain an accurate and detailed financial record.
D. Make and interpret monthly financial reports to the membership at the meetings.
E. Meet with the one-on-one sponsor before and after any activity involving funds
or once a month.
F. Strategize fundraising events
G. Report status to Governors

Section 4: Communications Manager

A. Take photos and videos of activities that can then be edited by the Editor.
B. Gain new members through social media and promote our events through it.
C. Make sure to be active through all messages that come through Social Media and
be able to answer those messages.
D. Manage social media accounts and the media of our website and post regularly.
E. Coordinate communication between clubs when needed.
F. Be a representative of the club’s interest during Board meetings.
G. Resolve communication conflicts when needed.
H. Attend indiv branch meetings when needed on behalf of the Board
I. Report status to Governors

Section 5: Designer/Editor

A. Edit videos and photos of activities to create videos and film for CMMB for our
own record or for other purposes.
B. Design any flyers, reports, or other materials as needed by the CMMB.
C. Prepare a historical document such as a scrapbook, Web site, slide show, video,
DVD if needed for your club with the help of the Director of Media.
D. Report status to Governors

Section 6: Director of Membership Services

A. Recruit new members


B. Keep track of members and make sure bylaws are followed for each club and its
members
C. Register new members/clubs as needed.
D. Enforce dues and keep track of dues
E. Resolve member conflicts between any member/club and the main board along
with the Director of Internal Communications if needed.
F. Work closely with the secretary and Director of Internal Communications to
accomplish duties.
J. Report status to Governors

Section 7: Director of Outreach

A. Reaches out to the community to find new ideas for events and causes we can
implement inside the club
B. Comes up with new ways for Club Med to grow
C. Responsible for developing and implementing a multitude of diverse education
and outreach initiatives to achieve our goals
D. Strengthens the relationship between an organization and the community.
E. Responsibilities include organizing outreach campaigns, coordinating events,
and finding speakers
F. Report status to Governors

Section 7: Director of Internal Communications


A. Make sure ALL members of Club Med are notified of events/announcements
B. Manage communications within the Discord
C. Direct Questions or Concerns from members to the Governor of the appropriate
board member.
D. Assist the Director of Membership Services
E. Get opinions from members/clubs for future events/actions

Section 8: Risk and Management

A. Give monetary advice to the club. Prepare cost-benefit analyses of various


endeavors (i.e., will the expense of time, money, or effort be worthwhile in terms
of its benefits of money, improved image, etc.?).
B. Understand the policies schools have regarding the use of student finances and
explain to them when necessary.
C. Know all the legal rules for the Club and what steps to take to avoid legal issues
D. Advise the Board into making the best possible decisions for the situation.

Part 2

ARTICLE Ⅵ: Rules of Each Club Med Branch

- Clubs must at least have meetings every other week with their club.
- Club Officers and Presidents cannot miss 2 monthly meetings with the board in a row
without approval from the governors. If you do, we will need to have a discussion with
you about the consequences.
- Participation is mandatory in all compulsory activities with the entire organization unless
you have a viable reason.
- Fundraise for one cause of the club’s choice that will benefit the community.
ARTICLE Ⅶ: OFFICER DUTIES

Duties of the President:


A. Preside over all club meetings
B. Coordinate the work of the club with the other officers
C. Give assistance, guidance, and praise when appropriate
D. Act as a facilitator of group discussion by summarizing, clarifying, etc.
E. Know the basics of meeting procedures to ensure smooth meetings
F. Maintain frequent contact with faculty, administrators, and board members
G. Meet with the board members when needed
H. Attend group meetings with the mainboard members to serve as the spokesperson for
your club
I. Make sure the other officers are following their duties
J. Participate in club-sponsored activities.

Duties of the Vice President:


A. Work closely with the president
B. Assume the president’s duties if necessary
C. Work with the president and treasurer in preparing the budget and calendar.
D. Assist the president in preparing meeting agendas.
E. Participate in club-sponsored activities.
F. Attend meetings with the board members alongside the president.

Duties of the Secretary:


- Review, prepare and distribute the agenda for meetings in the style that the officers
selected.
- Take the roll of attendees at meetings, either verbal or written.
- Take minutes of the proceedings of all club meetings.
- Prepare and distribute the written minutes, with the president’s assistance, in a timely
manner.
- Maintain a file of original agendas and minutes.

Duties of the Treasurer:


- Work closely with the president and vice president in preparing a workable yearlong

Duties of Grade Representatives (Optional):


- A representative should be elected for each grade of high school
- Regularly report club actions to the constituent group in an accurate, informative, and
interesting way.
- Present to the club, as fairly as possible, students’ ideas and motions of the grade they
represent
- When voting on issues, maintain a consciousness of what is best for the students for your
grade.
- Make special efforts to inform the club of upcoming events that might interest them.
- Take informal polls on how members feel about certain topics.
- Welcome new students to the club and spread awareness of the club and its activities.
- Encourage members to work on committees and events.

ARTICLE VI: SUBCOMMITTEES

A. When deemed necessary by a majority of the Board, subcommittees may be


formed for specific projects related to Board matters.
B. Subcommittees composed of non-members may only be formed with the prior
consent of the majority of members.

ARTICLE VII: BYLAW AMENDMENTS

These Bylaws may be amended by a majority vote of the Board members at any regular
meeting of the Board.

POLICY AGAINST DISCRIMINATION: The CMMB shall not exclude participation,


deny benefits or services, or discriminate against an individual on the basis of race, color,
nationality, origin, religion, sex, sexual orientation, or physical disability or impairment,
under any program or activity it sponsors or conducts.
