PLEASE READ THIS LICENSE AGREEMENT (the “License”) CAREFULLY BEFORE USING THE SOFTWARE.
DO NOT INSTALL, COPY OR USE THE ENCLOSED SOFTWARE, DOCUMENTATION (AS DEFINED BELOW),
OR ANY PORTION THEREOF, (COLLECTIVELY "SOFTWARE") UNTIL YOU HAVE CAREFULLY READ AND
AGREED TO THE FOLLOWING TERMS AND CONDITIONS. THIS IS A LEGAL AGREEMENT ("Agreement")
BETWEEN YOU, EITHER AS AN INDIVIDUAL OR AN ENTITY AND INCLUDING ALL OF YOUR SUBSIDIARIES
AND AFFILIATES, (“YOU”) AND ADVANCED MICRO DEVICES, INC. (“AMD”). IF YOU ACCEPT THESE
TERMS BY CLICKING ACCEPT, OR IF YOU USE THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY
THE TERMS OF THIS LICENSE.

IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, DO NOT CLICK ACCEPT OR USE THIS
SOFTWARE OR ANY PORTION THEREOF. BY ACCEPTING THESE TERMS YOU ALSO ACKNOWLEDGE
RECEIPT OF AND AGREEMENT TO ALL DISCLAIMERS AND WARNINGS PROVIDED TO YOU BY AMD
REGARDING THE SOFTWARE.

1. DEFINITIONS.

a) “Documentation” means install scripts and online or electronic documentation and guidelines associated, included, or
provided in connection with the Software, or any portion thereof.

b) “Intellectual Property Rights” means all copyrights, trademarks, trade secrets, patents, mask works, and all related,
similar, or other intellectual property rights recognized in any jurisdiction worldwide, including all applications and
registrations with respect thereto.

2. LICENSE. The Software accompanying this License, regardless of the media on which it is distributed (if any), is licensed to
You by AMD for use solely in conjunction with systems or components (including without limitation, graphics boards or
motherboards) that include or incorporate an AMD APU, CPU or GPU processor, as applicable, (collectively, “Hardware”). You
own the medium on which the Software is recorded, but AMD and AMD's licensors retain title to the Software. Subject to Your
compliance with the terms and conditions of the License, AMD hereby grants You a non-exclusive, royalty-free, revocable,
limited, copyright license to:

a) use the Software solely in conjunction with the Hardware on a single computer; and

b) make one copy of the Software in machine-readable form for backup purposes only, provided that You must
reproduce on such copy AMD's copyright notice and any other proprietary legends that were on the original copy of the Software.

If the Software is supplied in media form, You may transfer all Your license rights in the Software provided that You also transfer
a copy of this License, the backup copy of the Software, the Hardware and the related Documentation, and only provided the
other party reads and agrees to accept the terms and conditions of this License. Upon such transfer Your license is then
terminated.

3. RESTRICTIONS. Except for the limited license expressly granted in Section 2 herein, You have no other rights in the
Software, whether express, implied, arising by estoppel or otherwise. Further restrictions regarding Your use of the Software are
set forth below. You may not:

a) decompile, reverse engineer, disassemble or otherwise reduce the Software to a human-perceivable form;

b) modify, network, rent, sell, lend, loan, publish, sublicense, distribute or create derivative works based upon the
Software in whole or in part;

c) electronically transmit the Software from one computer to another or over a network or otherwise transfer the
Software except as permitted by this License;

d) alter or remove any copyright, trademark or patent notice(s) in the Software; or

e) use the Software to: (i) develop inventions directly derived from Confidential Information to seek patent protection;
(ii) assist in the analysis of Your patents and patent applications; or (iii) modify existing patents.
4. FEEDBACK. You have no obligation to give AMD any suggestions, comments or other feedback (“Feedback”) relating to
the Software. However, AMD may use and include any Feedback that it receives from You to improve the Software or other
AMD products, software and technologies. Accordingly, for any Feedback You provide to AMD, You grant AMD and its
affiliates and subsidiaries a worldwide, non-exclusive, irrevocable, royalty-free, perpetual license to, directly or indirectly, use,
reproduce, license, sublicense, distribute, make, have made, sell and otherwise commercialize the Feedback in the Software or
other AMD products, software and technologies. You further agree not to provide any Feedback that (a) You know is subject to
any Intellectual Property Rights of any third party or (b) is subject to license terms which seek to require any products
incorporating or derived from such Feedback, or other AMD intellectual property, to be licensed to or otherwise shared with any
third party.

5. TERMINATION. This License is effective until terminated. You may terminate this License at any time by destroying the
Software, related Documentation and all copies thereof. This License will terminate immediately without notice from AMD or
judicial resolution if You fail to comply with any provision of this License. AMD may also terminate this License for any reason
upon ten (10) days prior notice. Upon termination You must destroy the Software, related Documentation and all copies thereof.
All provisions of this License survive termination except for Section 2.

6. EXPORT RESTRICTIONS. You shall adhere to all applicable U.S., European, and other export laws, including but not
limited to the U.S. Export Administration Regulations ("EAR"), (15 C.F.R. Sections 730 through 774), and E.U. Council
Regulation (EC) No 428/2009 of 5 May 2009. Further, pursuant to Section 740.6 of the EAR, You hereby certify that, except
pursuant to a license granted by the United States Department of Commerce Bureau of Industry and Security or as otherwise
permitted pursuant to a License Exception under the EAR, You will not (1) export, re-export or release to a national of a country
in Country Groups D:1, E:1 or E:2 any restricted technology, software, or source code You receive from AMD, or (2) export to
Country Groups D:1, E:1 or E:2 the direct product of such technology or software, if such foreign produced direct product is
subject to national security controls as identified on the Commerce Control List (currently found in Supplement 1 to Part 774 of
the EAR). For the most current Country Group listings, or for additional information about the EAR or Your obligations under
those regulations, please refer to the U.S. Bureau of Industry and Security's website at http://www.bis.doc.gov/.

7. NO SUPPORT OR UPDATES. AMD is under no obligation to provide any kind of support under this Agreement. AMD
may, in its sole discretion, provide to You updates to the Software, and such updates will be covered under this Agreement. 

8. U.S. GOVERNMENT RESTRICTED RIGHTS. The Software is provided with "RESTRICTED RIGHTS." Use,
duplication, or disclosure by the Government is subject to the restrictions as set forth in FAR 52.227-14 and DFAR252.227-7013,
et seq., or its successor. Use of the Software by the Government constitutes acknowledgement of AMD's proprietary rights in
them.

9. NO OTHER LICENSE. No rights or licenses are granted by AMD or its licensors under this License, expressly or by
implication, with respect to any proprietary information or patent, copyright, trade secret or other intellectual property right
owned or controlled by AMD, except as expressly provided in this License.

10. ADDITIONAL LICENSES. USE OF THE SOFTWARE WITH AN OPERATING SYSTEM MAY REQUIRE
ADDITIONAL LICENSES FROM THE OPERATING SYSTEM VENDOR.

11. DISCLAIMER OF WARRANTY ON SOFTWARE; ASSUMPTION OF LIABILITY. YOU EXPRESSLY

ACKNOWLEDGE AND AGREE THAT USE OF THE SOFTWARE IS AT YOUR SOLE RISK. THE SOFTWARE AND
DOCUMENTATION ARE PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND AND AMD EXPRESSLY
DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY INCLUDING, BUT NOT LIMITED TO, ANY
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT
OR WARRANTIES ARISING FROM CUSTOM OF TRADE OR COURSE OF USAGE. AMD DOES NOT WARRANT THAT
THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE
OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE
SOFTWARE WILL BE CORRECTED. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE
SOFTWARE IS ASSUMED BY YOU. FURTHERMORE, AMD DOES NOT WARRANT OR MAKE ANY
REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE OR RELATED
DOCUMENTATION IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, CURRENT-NESS, OR
OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY AMD OR AMD'S AUTHORIZED
REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY.
SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU (AND NOT AMD OR AMD'S AUTHORIZED REPRESENTATIVE)
ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. THE SOFTWARE IS NOT
INTENDED FOR USE IN MEDICAL, LIFE SAVING OR LIFE SUSTAINING, NUCLEAR OR WEAPONS RELATED
APPLICATIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE
ABOVE EXCLUSION MAY NOT APPLY TO YOU. YOU ASSUME LIABILITY FOR ALL DAMAGES CAUSED BY OR
ARISING OUT OF USE OF THE SOFTWARE, INCLUDING, WITHOUT LIMITATION, ANY DAMAGES TO THE
HARDWARE OR ANY OTHER COMPONENTS (E.G. MEMORY) OF THE COMPUTER SYSTEM INTO WHICH
THE HARDWARE IS INCORPORATED, SYSTEM INSTABILITIES OR FAILURES, DATA LOSS OR
CORRUPTION, REDUCTION IN SYSTEM PERFORMANCE, AND SHORTENED LIFE OF HARDWARE OR
SYSTEM. YOU FURTHER ACKNOWLEDGE THAT USE OF THE HARDWARE OUTSIDE OF OFFICIAL AMD
SPECIFICATIONS OR FACTORY SETTINGS, WHETHER BY USE OF THE SOFTWARE OR OTHERWISE, ARE
NOT COVERED UNDER ANY AMD PRODUCT WARRANTY AND MAY NOT BE COVERED UNDER THIRD
PARTY BOARD OR SYSTEM MANUFACTURER’S WARRANTIES.

12. LIMITATION OF LIABILITY AND INDEMNIFICATION. UNDER NO CIRCUMSTANCES INCLUDING

NEGLIGENCE, SHALL AMD, ITS LICENSORS OR THEIR RESPECTIVE SUBSIDIARIES, DIRECTORS, OFFICERS,
EMPLOYEES OR AGENTS, BE LIABLE TO YOU FOR ANY INCIDENTAL, INDIRECT, DIRECT, PUNITIVE, SPECIAL
OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS
INTERRUPTION, LOSS OF BUSINESS INFORMATION, LOSS OF DATA OR RECORDS AND THE LIKE) ARISING OUT
OF YOUR OR ANY THIRD PARTY’S USE, MISUSE OR INABILITY TO USE THE SOFTWARE OR RELATED
DOCUMENTATION, BREACH OR DEFAULT OF THESE TERMS, AND INFRINGEMENT OR ALLEGED
INFRINGEMENT OF ANY PATENT, TRADEMARK, COPYRIGHT OR OTHER INTELLECTUAL PROPERTY RIGHT, BY
AMD OR THE SOFTWARE, EVEN IF AMD OR AMD'S AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR
EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR
EXCLUSION MAY NOT APPLY TO YOU. In no event shall AMD's total liability to You for all damages, losses, and causes of
action (whether in contract, tort (including negligence) or otherwise) exceed the amount of $100 USD. You agree to defend,
indemnify and hold harmless AMD and its licensors, and any of their directors, officers, employees, affiliates or agents from and
against any and all loss, damage, liability and other expenses (including reasonable attorneys' fees), resulting from Your use of,
misuse of or inability to use the Software or Your violation of the terms and conditions of this Agreement.

13. GOVERNING LAW. This Agreement is made under and shall be construed according to the laws of the State of Texas,
excluding conflicts of law rules. Each party submits to the jurisdiction of the state and federal courts of Travis County and the
Western District of Texas for the purposes of this Agreement. You acknowledge that Your breach of this Agreement may cause
irreparable damage and agree that AMD shall be entitled to seek injunctive relief under this Agreement, as well as such further
relief as may be granted by a court of competent jurisdiction.

14. COMPLETE AGREEMENT. This License constitutes the entire agreement between the parties with respect to the use of
the Software and related Documentation, and supersedes all prior or contemporaneous understandings or agreements, written or
oral, regarding such subject matter. No amendment to or modification of this License will be binding unless in writing and
signed by a duly authorized representative of AMD.

If You agree to abide by the terms and conditions of this Agreement, please press "Accept." If You do not agree to abide by the
terms and conditions of this Agreement and press "Decline," You may not use the Software.
