CONFIDENTIALITY AGREEMENT

This Confidentiality Agreement (“Agreement”) is made effective as of October 19,

2020 by and between MABALACAT CITY COLLEGE, Rizal St., Brgy. Dolores,
Mabalacat City, Pampanga, and the undersigned, ROEL FELIPE D. TORRES with
residence address at 54 Prk 4, San Juan Nepomuceno, Betis, Guagua, Pampanga, San
Juan.

As used in this Agreement, the term “Confidential Information” means any

information, ideas, plans, or strategies, personal and sensitive personal information,
in any form, relating to the business of MABALACAT CITY COLLEGE, including
but not limited to business processes, know-how, technical or non-technical data,
information technology plans or systems, regulatory matters, suppliers, students,
employees, contract terms and conditions, and any information relating to the
discussions, negotiations, agreements, dealings, projects or business between
MABALACAT CITY COLLEGE and Undersigned. MABALACAT CITY COLLEGE
desires to provide Undersigned with certain information relating to past and current
records and archives. In the course of providing information about the company,
MABALACAT CITY COLLEGE will disclose to Undersigned, or Undersigned will
have access to, Confidential Information.  Accordingly, the parties agree as follows:

Undersigned shall treat as confidential and shall not, directly or indirectly, cause or
permit to be used (except employees, directors, officers of MABALACAT CITY
COLLEGE sole benefit who have a need to know of it) nor disclosed nor made
available to any other person, any Confidential Information received, learned,
observed, known by or made available to Undersigned, or to which Undersigned
has access, without the prior, written, express, authorization of MABALACAT CITY
COLLEGE. Undersigned (1) shall limit disclosure and availability of the Confidential
Information to  directors, officers, and employees of the Company who need to
know the Confidential Information in connection with his engagement with the
Company, (2) shall exercise reasonable care with respect to disclosure of the
Confidential Information, at least to the same degree of care as Undersigned
employs with respect to his/her own personal and confidential information, (3) shall
inform every person exposed to Confidential Information of, and require them to
comply with, the terms of this Agreement, (4) shall not keep, reproduce, copy or
permit to be kept reproduced or copied Confidential Information in any medium or
form, provided that the Undersigned shall at all times protect Confidential
Information by using the same degree of care to prevent its unauthorized use,
dissemination or publication, and (5) shall return to MABALACAT CITY COLLEGE,
upon its request, all materials containing Confidential Information, in any form, that
are in Undersigned’s possession, custody, or control. MABALACAT CITY
COLLEGE and Undersigned agree that this Agreement shall also apply to all
Confidential Information previously received, learned, observed, known by or made
available to Undersigned. This Agreement shall not apply to Confidential
Information that (1) is or later becomes part of the public domain without breach of
this Agreement and through no act or omission of Undersigned, (2) was developed
independently by and was reduced to writing by Undersigned prior to the earlier of
the date of this Agreement or the date of any access or exposure to any Confidential
Information. 

Undersigned’s obligations under this Agreement shall continue for one (1) year after
termination or severance of contract with MABALACAT CITY COLLEGE, provided
however, that Undersigned’s obligations under this Agreement shall continue
indefinitely with respect to the non-disclosure and non-reproduction of Confidential
Information.

This Agreement does not create in or transfer to any person any ownership, license,
rights, or interest in Confidential Information or the MABALACAT CITY
COLLEGE,’s name or trademarks, and Undersigned shall not use MABALACAT
CITY COLLEGE’s name or any assumed business name, service marks, trademarks,
or logo in publicity or for any other purpose. Undersigned acknowledges that
unauthorized disclosure of Confidential Information will result in irreparable harm
to MABALACAT CITY COLLEGE In the event of a breach or threatened breach of
this Agreement, MABALACAT CITY COLLEGE may obtain equitable relief
prohibiting the breach, without the requirement of posting a bond, in addition to
any other appropriate legal or equitable relief.  This Agreement is governed by the
laws of Philippines. In the event that MABALACAT CITY COLLEGE initiates any
litigation or legal proceeding to enforce or interpret any provision of this Agreement,
the party not prevailing shall pay all costs incurred by the prevailing party in such
litigation or proceeding and any appeal, including expenses and reasonable attorney
fees.
