difference in the corporate governance of an organization?
I believe that the development of secretarial standards will make a difference in
the corporate governance. Secretarial Standards are a codified set of good governance
practices which seek to integrate, harmonize and standardise the diverse secretarial
practices followed by companies with respect to conduct of Meetings and play
indispensable role in enhancing the corporate culture and governance across the
organisations. According to societycorpgov.org, “A key responsibility of the Corporate
Secretary is to ensure that Board members have the proper advice and resources for
discharging their fiduciary duties to shareholders under state law. A Corporate Secretary
is responsible for ensuring that the records, or minutes of the Board's actions during a
Board meeting, reflect the proper exercise of those fiduciary duties.” It means the role of
a secretary is often understated due to poor understanding of many. But what they fail
to know is that secretarial positions hold a vital influence in the corporate governance. A
good handled secretarial standards can attract investors to a company since investors
wanted something trustworthy of their investments. These investors are very much
concerned about good governance practices and sound procedures.
