Sprzedawca – seller

Sprzedający i nabywca niniejszym uzgadniają w umowie- The partie hereby agree as follows

Na co się umawiają:
Na wyprodukowanie towarów w terminie, jakości i ilości zgodnej z zamówieniem-The Seller hereby
Agres to pro duce foods for the Buyer in time, quantity specified in the Purchase order of the
Buyer.
Na sprzedaż i dostarczenie towarów – The Seller undertakes to deliver ang sell foods to the Buyer.

Price

Cena sprzedaży podana przez sprzedającego jest ceną netto, do której należy doliczyć podatek od
towarów i usług zgodie z aktualnie obowiązującą stawką podatku - Sale price given by the seller is

Zapłata za zamówiony towar powinna nastąpić bez potrącen w terminie podanym na potwierdzeniu
Zamówienia lub faktury – Payment for the ordered product should take place without deductions
within the time specified in confirmation of the roder Or the invoice.
Faktury VAT są wysawiane i płatne w polskich złotych. - VAT invoices are issued and payable in
Polish zloty
W przypadku płatności przelewem za dzień zapłaty uważa się dzień uznania rachunku bankowego
sprzedającego – In case of ba transfer, the day of paument Shell be recognized Az the day of
crediting the Seller bank account.

Complaint – reklamacja
 Reklamacja stwierdzono braki/nadwyżki ilościowe albo jeżeli posiadają one wady fizyczne, Kupujący
jest obowiązany przy udziale przewoźnika sporządzić protokół reklamacyjny z dokładnym opisem
rozbieżności oraz odnotować ten fakt również na kopii dokumentu WZ / listu przewozowego.
Kupujący zobowiązany jest przestać protokół reklamacyjny do Sprzedającego na adres dostawy. -
Complaint of delivery. If during collection of the Products quantitative shortages/surpluses have
been diagnosed or if they have physical defects, the Buyer is obliged with the participation of the
carrier, to prepare a complaint certificate with exact description of discrepancy and to note this
fact also on a copy of WZ document /waybill. The Buyer is obliged to send a complaint certificate
to the Seller to (adres)

Force Majeure – siła wyższa

Strona nie odpowiada za niewykonanie któregokolwiek ze swoich zobowiązań, musi udowodnić, że

uchybienie dotyczyło przeszkód od niej niezależnych i że nie należy brać pod uwagę uwaga przeszkód
w czasie zawarcia umowy lub wyboru, czy należy przerzucić ją lub jej następstwa. Wyłączone
ograniczenia obowiązujące w porównaniu z przepisami stosowanymi do okresu, w którym przeszkoda
zaistniała. Nieprzewidziane okoliczności, które należy zgłosić przez Stronę natychmiastową w formie
pisemnego zawiadomienia określającego drugą sytuację, w której muszą być obsługiwane strony z
przyczyn niewykonania - A party is not liable for a failure to perform any of his obligations if he
proves that the failure was due to an impediment beyond his control and that he could not
reasonably be expected to have taken the impediment into account at the time of the conclusion
of the Contract or to have avoided or overcome it or its consequences. The exemption provided by
this Article has effect for the period during which the impediment exists. The non-performing party
shall give prompt written notice to the other party of the reason for its failure to perform and the
extent and duration of its inability to perform.
Arbitration – arbitraż

Wszelkie spory wynikające z niniejszej umowy lub powstałe w związku z umową, których nie można
będzie rozstrzygnąć na drodze polubownej, Strony poddają pod rozstrzygnięcie właściwym sądom.
Ponadto ustalają, że Sądem rozpoznającym spór będzie Sąd właściwy dla Powoda. - Any disputes
resulting from this Contract or arisen in relation with the Contract, which cannot be settled
amicably, shall be referred by the parties to the settlement by the competent court. In addition the
parties resolve that the court competent for arbitration shall be the court of the Claimant.

Standardowe zakończenie

Wszelkie zmiany i dodatki do niniejszej umowy będą ważne tylko w przypadku gdy zostaną
sporządzone na piśmie i podpisane przez uprawnionych przedstawicieli stron. - Any changes and
amendments to this Contract shall be valid only if made in a written form and signed by the
authorised representatives of the Parties.
W sprawach nieuregulowanych niniejszą umową zastosowanie mają przepisy polskiego Kodeksu
Cywilnego. - The provisions of the Polish Civil Code shall apply to the matters not regulated herein.
Niniejsza Umowa jest sporządzona w języku polskim i angielskim 1 oba teksty są Jednakowo wlążące.
- This Contract has been drawn up in Polish and English and both versions are equally binding.
