DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed, made and executed by and between:

_____________________, single, of legal age, Filipino and resident of Brgy. Vibora, City of
Gen. Trias, Cavite, and represented by her Attorney-in-fact,
_______________________________, married, of legal age, Filipino and resident of Brgy.
Vibora, City of Gen. Trias, Cavite, and hereinafter referred to as the “VENDOR”;

- and –

_________________________., a corporation duly organized and existing under the laws of


the Republic of the Philippines, with principal office business address at
___________________________________________, represented by its
_____________________________, ______________________ and _____________________,
_____________________, and hereinafter referred to as the “VENDEE”.

RECITALS

(A) The VENDOR is the legal and rightful owner of a parcel of land, identified as Lot No. 2388
(hereinafter referred to as the “PROPERTY”), containing an area of
_______________________________ (_______________.), more or less, covered by Transfer
Certificate of Title No. _________________ of the Registry of Deeds for the Province of
Cavite;

(B) The VENDOR has offered to sell the PROPERTY to the VENDEE;

(C) The VENDOR represent and warrant that: (i) she is the lawful and absolute owner of the
PROPERTY described in this Agreement; (ii) she has legal and valid title to ownership and
possession thereof; (iii) the title covering the PROPERTY is genuine and they have no
knowledge of any fact which would impair the validity and authenticity of the same; (iv)
there are no arbitration proceedings or proceedings before any court or administrative
tribunal or agency pending or, to the best of their knowledge, threatened against the
Property that if adversely determined might materially impair the validity or enforceability
of this Agreement and related documents and instruments; (v) the title pertaining to the
PROPERTY is not/has not/will not be assigned to any creditors, financial institutions, or
any third party; (vi) the authorized representative has the necessary and expressed powers
as stated in the SPAs issued to the VENDEE. All instructions emanating from the
representative bear the approval of all the VENDOR; (vii) there is no pending or threatened
claim of ownership or possession adverse to the representations made herein; (viii) the
VENDOR warrant that the validity and efficacy of the title it shall convey to VENDEE shall
not be questioned or contested; (ix) the VENDOR further warrant that the VENDEE shall
have peaceful and uninterrupted possession over the PROPERTY; (x) that there are no other
heirs of the Deceased who will be adversely affected by the performance of all the
undertakings herein; and (xi) they shall hold the VENDEE free and harmless from any
claim, suit, or action made by unpaid creditors and excluded heirs, if any, of the Deceased or
for those outstanding obligations incurred by their respective estates. Should there be any
claim involving the property made by unpaid creditors or excluded heirs, the VENDOR
shall shoulder or otherwise reimburse the VENDEE all expenses related to the defense
against such claims on the property of for whatever the VENDEE may pay by virtue of said
claims;

(D) On the basis of the foregoing representations and warranties, the VENDEE agreed to buy
the PROPERTY from the VENDOR.

NOW, THEREFORE, for and in consideration of the foregoing premises, and of the sum of

(___________________________), Philippine currency, receipt of which is hereby acknowledged to her full
satisfaction, the VENDOR by way of this DEED OF ABSOLUTE SALE, hereby SELLS, TRANSFERS and
CONVEYS unto the VENDEE, its heirs, assigns and successors in interest the above-described
PROPERTY, free from all liens and encumbrances.
