RELEASE WAIVER AND QUITCLAIM

I, Roderick M. Untalan, Filipino, of legal age and with residence address Blk 9 Lot 6 and 5
Rocka 3 Guiguinto Bulacan having been sworn to in accordance with law, do hereby depose
and state that:

1. I was employed with MERALCO ENERGY, INC., (“hereinafter, Company”), from

September 9, 2019 up to December 31, 2020. My last position was Leadman 17th &
18th Floor Marco Polo Ortigas Manila, Sapphire Road, Ortigas Center, Brgy. San
Antonio, Pasig City, and effective December 31, 2020.

2. All pertinent notices should be sent to my residential address stated above.

3. During the entire period of my employment, dealings or relationship with the

Company, I received and was accorded and paid all compensations, benefits,
privileges and other entitlements, including allowance, to which I was entitled
under all applicable laws, rules, regulations, jurisprudence, employment contract,
company grant, established company practices/policies or otherwise, the accuracy
of the computation of which I hereby confirm, and if I hereinafter find myself in any
manner to have entitlement to any amount or otherwise, the Total Sum (as defined
below) shall be a full and final payment, settlement, or satisfaction thereof.

4. For and in consideration of the foregoing circumstances and of the total sum of
*** Eighteen Thousand One Hundred Eighty Three & 91/100 *** (18,183.91) that
was paid in full by the Company to me in complete settlement of all compensations,
benefits, privileges and other entitlements, including allowance, to which I am
entitled under all applicable laws, rules, regulations, jurisprudence, employment
contracts, company grants, established company practices/policies or otherwise,
the receipt in full today and sufficiency of which I hereby acknowledge (the “Total
Sum”), I freely, voluntarily and forever release, discharge, acquit, and waive all my
claims against the Company, the parties with whom the Company is doing
business, and the Company’s predecessor-in-interest, stockholders, directors,
officers, agents assigns, successor-in-interest, affiliates and subsidiaries, including
these foregoing person’s and entities’ respective predecessors-in-interest,
stockholders, directors, officers, agents, heirs, assigns or successors-in-interest, as
the case may be, (collectively, the “Releases”), from any and all manner or cause of
action, claims and demands whatsoever in law or in equity, whether civil, criminal,
administrative or otherwise, including for sum of money, damages, labor and/or
other claims, which I or my heirs, successors-in-interest and assigns had, now have,
or shall have against the Company and/or the Releases, whether arising wholly or
partially from my employment, dealings or other relationship with the company or
the Releases, or the cessation thereof, or from any law, rules and regulations,
jurisprudence, employment contract, company grant, established company
practices/policies or otherwise, including, but not pg. 1limited to, unpaid

 wages/salaries, overtime pay, holiday pay, allowances, premium pay and 13 th
month pay (collectively, the “Claims”).

5. In view of the circumstances above and in consideration of my receipt of the Total

Sum, I (a) shall have no claims, monetary or otherwise, against the Company and
the Releases; (b) acknowledge that the total sum shall be considered as full and
complete payment or settlement to me of my claims; (c) undertake not to do or
cause anything prejudicial or detrimental to the interest of the company and the
releases; (d) shall render every cooperation and assistance which the company or
the Releases may require at any time; and (e) unconditionally obligate myself to
turn over and account for to the company all records, books, properties and monies
of the Company and the Releases in my possession.

6. The payment by the Company of the total sum I received above shall not be taken
in any manner as a confession or admission of any liability on the part of the
company and/or the releases, or an establishment or confirmation of any
relationship or contract between the Company and myself.

• For and in consideration also of the total sum, I undertake to consider as

absolutely confidential and proprietary to the Company and/or the releases, as
the case may be, any and all information arising, concerning, resulting or related to,
no matter how remote, the practices, businesses, records, dealings, principles,
trade secrets, assets, liabilities, operations, or clients of the company and/or
releases, disclosed to or otherwise acquired by me wherever, in whatever form,
medium, extent or manner, at any time during the term of my said employment or
relationship with the company, and which is not generally known to the public,
including, without limiting the generally known information about the company and
the releases, and the opinions, processes, services, concepts, purchasing
procedures, accounting and financial matters of the Company and the releases,
including the terms of this Release, Waiver and Quitclaim with confidentiality
Undertaking and the Total Sum I have received above (hereinafter, the
“Confidential Information”),

7. I shall hold all confidential information in confidence and not disclose copy,
distribute, communicate or transmit the same to any person and entity, unless
expressly authorized in writing by the company and the releases or as may be
required by law. I understand that in case of breach or threatened breach of any of
my undertakings herein, I may be held liable for my actions and the Company may
enforce any and all actions to assert their legal rights. I shall also hold the company
and/or Releases free and harmless from whatever damages, liabilities and/or cause
of action that may arise from such breach.

8. I have fully read and understood, and willingly and voluntarily made and this
Release, Waiver and Quitclaim with confidentiality Undertaking, with full
knowledge and understanding of my rights under the applicable laws, rules,
regulations, jurisprudence, employment contract, company grant, established
company practice/policy, retirement plan, collective bargaining agreement or
otherwise, relying solely on my own independent inquiries and evaluation into all
relevant facts, circumstances, rights and defenses, and with full knowledge and/or

 opportunity to obtain such knowledge either through the assistance of counsel of
choice, the labor union, the appropriate government agency, or otherwise. No
warranty, representation, undertaking, promise, or commitment of present of
future fact, opinion or event, except those stated herein or written in any other
document subsequent hereto, has been made by the Company and/or the Releases
to induce this Release, Waiver and Quitclaim with Confidentiality Undertaking.
