III. Commercial Terms

Pricing:
The aforementioned prices are quoted:
 FOB North German seaport according to Incoterms 2010
 including seaworthy packing in shipping line containers
 exclusive of erection and commissioning
 exclusive of calibration and calibration fees
 plus VAT applicable on the day of delivery

Time of delivery:
approx. 6-7 months FOB Hamburg / Germany after receipt of order and clarification of all technical and commercial
details and after receipt of down payment / the Letter of Credit

Commercial frame conditions


Taxes / Fees:
Value-added tax and any other taxes, duties, bank charges, fees, levies and similar charges which may become due
outside the Federal Republic of Germany for material supply and/or technical services are not included in the listed
prices and have to be borne and paid by the buyer.

General:
This delivery is exclusively based on the technical parameters defined in this quotation. In case of alterations the
supplier reserves the right to adjust his quotation with regard to technology, prices and deadlines.

Delivery:
Observance of the delivery period is basically subject to the fulfilment of all obligations of the buyer in due time. Should
the supplier delay the delivery later than the agreed time of delivery for reasons the supplier is solely responsible for,
the buyer is entitled to the exclusion of all further rights and claims resulting from delay to demand liquidated damages at
the rate of 0,5 % for each full week of delay, however, max. limited to 7,5 % of the total value of the contract price of the
delayed part of delivery, provided that damage occurs to the buyer.

In case of a non-take-over of the supplied machinery/equipment or machinery/equipment ready for dispatch by the
buyer, the supplier has the right - commencing 2 weeks after notification of readiness for dispatch - to invoice 0,5 % of
the agreed contract price as storage cost for each week of delay, however, max. 5 % of the total contract price. If after
expiry of a period of 3 months after notification of readiness for dispatch no take-over has been effected, the supplier is
entitled to withdraw from the contract and to claim for his damages resulted therefrom.

Retention of title:
Property in the machinery/equipment shall not pass to the buyer until supplier has received all payments.

Software:
As far as in case of order software is part of the scope of supply of machinery/equipment the supplier grants to the buyer
the non-exclusive right for the use of the software including its appropriate documentation. It is supplied for use only on
the object of delivery for which it is intended. A use of the software on more than one system is not permitted.

The buyer has the right to duplicate or revise the software only to the legally permissible extent. The buyer commits
himself not to remove or to change manufacturer’s data – in particular copyright notes - without prior explicit approval of
the supplier.

Any and all other rights in the software and the documentation including copies remain with the supplier and/or with the
software supplier. The assignment of sublicences is not permissible.

Liability for defects:


The supplier is liable for damages caused to the object of delivery itself only in that way, that all parts which are found to
be faulty or do not meet with the specified requirements due to incorrect design, bad materials or bad workmanship
within the period of liability for defects will be repaired at site or in supplier's workshop or replaced free of charge ex
supplier's works within a reasonable period of time at the discretion of the supplier.

All parts, which have to be replaced due to wear and tear, improper service, maintenance or storage, are excluded from
any liability for defects of the supplier.

Supplier’s liability for defects is subject to the condition, that erection/commissioning is carried out under the supervision
of supplier’s service personnel.

The buyer has to inspect the object of delivery immediately after receipt. The buyer shall without undue delay notify the
supplier in writing of any defect which appears. If, within a reasonable time, the supplier does not fulfil his obligations to
remedy, the buyer may by notice in writing fix a final time for completion of the supplier's obligations. If the supplier fails
to fulfil his obligations within such final time, the buyer may himself undertake or employ a third party to undertake
necessary remedial works at the risk and expense of the supplier.
Where successful remedial works have been undertaken by the buyer or a third
party, reimbursement by the supplier of reasonable costs incurred by the buyer
shall be in full settlement of the supplier's liabilities for the said defect.

Where the defect has finally not been successfully remedied or the supplier fails to comply within the final period to
remedy the defect due to reasons he is responsible for, the buyer has the right to terminate the contract by notice in
writing to the supplier. If the defect is not material the buyer is only entitled to demand a reduction of the purchase price
in proportion to the reduced value of the object of delivery.

When a defect in a part of the object of delivery has been remedied, the supplier shall be liable for defects in the repaired
or replaced part under the same terms and conditions as those applicable to the original object of delivery for a period of
12 months. For the remaining parts of the object of delivery agreed, the warranty period shall be extended only by a
period equal to the period during which the object of delivery has been out of operation as a result of the defect.

The period of liability for defects will be 12 months from the date of commissioning, based on 1-shift working time per
day or maximum 18 months from the date of delivery respectively of the date of readiness for delivery, whichever comes
first, provided that the erection / commissioning is carried out under the supervision of supplier's service personnel.

The rights and remedies of the buyer set forth in this warranty clause are exclusive and in lieu of any and all other
warranties.

Liability:
Any further liability for damages due to the breach of contractual and non-contractual duties, in particular impossibility of
performance, culpability on initiation of the contract and tortuous acts is excluded.

There shall be no liability for the supplier towards the buyer for loss of production, loss of profit, loss of use, loss of
contracts.

This exclusion of liability shall apply unless opposed by statutory legal provisions (e.g. as per the Product Liability Act or
in the event of culpable injury to life, body or health).

In case safety-relevant provisions are made by the buyer, the responsibility for these provisions – except in case of an
explicit specification of these provisions by the supplier – remains with the buyer. In this case the buyer holds the
supplier harmless from all claims, also from claims of third parties.

Arbitration and applicable law:


All disputes arising shall be finally settled under the Rules of Conciliation and Arbitration of the International Chamber of
Commerce by three arbitrators appointed according to these rules. The place of arbitration will be Frankfurt am Main.

The law governing these terms and conditions shall be the Swiss law.

Severability clause:
In case these conditions or single provisions thereof should be void or become invalid, the void or invalid provision(s)
shall be replaced by valid provisions which are closest to the economic purpose of the invalid ones.

Validity of the quotation:


The quotation is valid for 3 months.

Design description

Feeding belt conveyor


Belt width: 650 mm
Centre distance: 13.400 mm

The belt conveyor consists of the drive station, the take-up station and the
conveyor frame.
The idlers are bolted to the conveyor frame.
The supports, the conveyor belt and the drive unit are included in the scope of
supply.
The belt conveyor movable on wheel sets (movement of the entire machine
when switching from 1 row to the next during loading).

Storage line

The storage line can store the bags for a short time during the loading process
in order to guarantee a continious operation of the machine.

The timing belt conveyor is supplied with drive station, take-up station and geared brake

Loading head
The bags are arranged in the loading head according to the packing pattern by
using the components described below. The loading head is fastened to the
hoist system for vertical movement via a parallel main machine frame and can
be displaced transversally by an electric drive to adjust the loading position.

Positioning belt conveyor mounted into the loading head


Belt width: 900 mm
The positioning belt conveyor serves for supporting the bar-type turning device
and is delivered with the drive station and frequency converter, the take-up
station and the geared drive. The conveyor frame is made of steel plate.

Bar-type turning device


The bar-type turning device turns the bags for the formation of packing patterns
and is mounted on the positioning belt conveyor. The turning bar is activated by
a geared drive.

Last feeding belt conveyor


Belt width: 900 mm
The feeding belt conveyor is delivered with the drive station and frequency
converter, the take-up station and the geared drive. The conveyor frame is
made of steel plate.

Pressing roller
For bag flatteningbefore entering the loading table in during gear motor.

The inclined layer table


On the table, the pushing unit arranges the bag rows according to the packing
pattern in order to form a bag layer. For placing the bag layer on the truck, the
table is displaced in the loading head by a geared brake drive with frequency
converter.
The table is equiped with exchangable wear plates.

Pushing unit
The pushing unit is arranged above the table and serves for displacing the
single bag lines according to the selected packing pattern.

Travelling chassis and hoist


The hoist for the loading head is bolted to the travelling chassis. The travelling
chassis is driven by geared brake drive with frequency converter and tooth
belts.

Electric control system


The electric control system is composed of the power section and the control
section and is placed in a control cabinet on the machine.

The coat of paint of the control cabinet corresponds to the one of the machine.

Operation
The system is operated by a touch panel with graphic display 12`` and buttons
for the main functions. The operator panel is positioned in an operator friendly
position for good visibility and observation of the machine.

The flight costs, the accoiodation and also the daily allowance is not included in the daily price

- Erection of custoier provided equipient. Custoiers erection of such equipient iust
be done without any influence on the erection work of H&B delivered equipient.

The time schedule


was iade under the consideration that the installation and coiiissioning can be effected
without any interruption.
If the stay of our personnel on site is longer than scheduled for reasons we are not responsible
for, the additional tiie will be charged at expense on basis of our service conditions.
In case that progress of work is delayed the H&B technicians have the right to request froi
custoier additional, qualified erection personnel. The additional personnel has to be provided

31.00 1 Documentation
Our scope of delivery comprises the documentation in German or English, submitted both
as a single hard copy and as a CD with PDF documents.

The entire documentation is prepared as our standards in accordance with the applicable
regulations.
Additional documents or documentation requirements are available at an extra charge.

In case the customer demands the operating manual to be in the official language of the
operator’s country or a different language than the one agreed upon, the supplier shall
only prepare it against compensation of the translation costs. If the customer does not
place an order for this with the supplier, he shall be obliged to make the translation himself
or have it made, exempting the supplier from any possible claims (including third party
claims).

Conditions/ Functions
Conditions for an optimal function of the HAVER & BOECKER machine/ plant during
and after the commissioning considering the parameters agreed and possible
warranty claims:
- Observation of the HAVER & BOECKER maintenance instructions
- Use of original HAVER & BOECKER spare parts
- Control cabinet doors and maintenance flaps are to be kept closed.
- The specified tolerances are to be kept regarding electrical current and compressed-
air.
- The bag quality must comply with the standards.
- The operating- and maintenance personnel must be trained and able to read

information and instructions on the displays and direction signs.


- During commissioning the instructions given by the HAVER & BOECKER commissioning

- Alteration of settings made by HAVER & BOECKER is only allowed for authorized

- During the stay of the HAVER & BOECKER personnel competent contact persons of the
user must be available.
- Packaging logistics (provision of product to be filled, bags, perhaps empty pallets and
truck to be loaded) are to be organized by the user.
- Provision of usual tools must be ensured by the user until the end of commissioning
or acceptance.

Our quotation does not include:


- building-, foundation- and concrete works
- erection and commissioning
- calibration and calibration fees
- electrical installation on site (the company carrying out the work has to confirm that the
electrical installation is in accordance with the regulations and has been checked)
- cables, leads and assembly material, as far as not specially stated
- dedusting- and compressed-air plants including piping, as far as not specially stated
- internet access (an internet access free of charge has to be placed at disposal of
HAVER & BOECKER within the scope of the commissioning)
