CONSIDERATION.
That by reason of the alliance, an increase in efficiency is sought as an engine for generating
better opportunities and alternatives in the search for investment for the realization of a concert

AGREEMENT.

FIRST  The parties that concur to the signing of this instrument declare, by mutual agreement,
that its terms only commit an economic association in the realization of the objectives in view,
provided that these effectively contribute to the general interest of the parties and within the
scope of the attributions and competences established by the international legal order.

SECOND The de facto commercial partnership between JESUS JACKSON GRACIA MENA
and JEFFERSON NGADIUBA will collaborate with the commercial management of all kinds
of agricultural products, and mining resources, seafood, wood, among others, as well as private
and governmental procedures that allow obtaining benefits for commercial society.

THIRD the parties will have a benefit from each management achieved, which will be defined
in each business, and will be divided by fair portions among the people who participate.
FOURTH Address. The parties set their domicile in the City of LAGOS specifically in
NIGERIA for all the purposes that give rise to this Alliance or Collaboration Agreement.

FIFTH Independent parties. In accordance with this Agreement, the parties will be interpreted
as independent contractors. Nothing in this agreement shall be construed as establishing a “Join
Venture” company, employment agency or other similar relationship between the parties, but
they will act in the African world as a single commercial body.

SIXTH Force Majeure. If the breach of the Agreement or any obligation included herein is
prevented, restricted or interrupted for reasons beyond the control of the affected party, said
party, prior written notice to the other party, will be released from compliance with the scope. of
the impediment, restriction or inference mentioned above.
