The undersigned incorporations, all of legal age and majority of whom are residents of the Philippines,
have this day voluntarily agreed to form a stock corporation under the laws of the Republic of the
Philippines

AND WE HEREBY CERTIFY:

FIRST: The name of said corporation shall be

ST. DOMINIC CONSTRUCTION AND SUPPLIES INC.

SECOND: That the primary purpose for which such corporation is incorporated:
To engage in carry on a general construction, contracting and machinery and supply sales
business in all its phases, including therein constructing, enlarging, repairing, removal or
otherwise engaging in any work upon buildings, roads, highways manufacturing and
industrial plants of a kinds, bridges, piers, waterworks, railways, structures, public works
and all iron steel, masonry and earth construction and to extend and received any
contracts or assignments or contract therefore or relating thereto or connected therewith
and to manufacture and furnish building materials and supplies in connection therewith
and to act as general merchants. To acquire by purchase, exchange, leese, let, develop,
mortrage, , pledge, deal in and with and otherwise operat, enjoy and description except
financial leasing and whatever situated and to the extent permitted by law.

Provided that the corporation shall not solicit, accept or take investment/ placements from
the public neither shall issue investment contracts.

THIRD: That the principal office of the corporation is located in:
