Any dispute, controversy or claim arising out of, or in connection with the

Agreement, whether based on contract or otherwise, including without limitation

the termination, performance or breach thereof, shall be referred to and finally
resolved by arbitration under the Rules of Arbitration of the International
Chamber of Commerce (the “Rules”) in effect at the time of commencement of the
arbitration proceeding by three arbitrators appointed in accordance with the said
Rules.

The place of arbitration shall be Paris, France.

The arbitration proceedings shall be conducted in the English language.

The award rendered shall be final and conclusive and judgment thereon may be
entered in any court having jurisdiction for its enforcement.

The Agreement shall be governed and interpreted in accordance with the laws of
France.
