DIRECT SELLER AGREEMENT ("OS AGREEMENT")

This Agreement Including the Direct Seller (s) Application overleaf (*Agreement) is fully completed, signed and accept volu by the
applicant (s)" Direct Seller (s)" of his / her own free will and sets out the terms and conditions between Disha Total Marketing Sol ,0" vt. Ltd.
and the Direct Seller(s) appointed him / her as an "Direct Seller(s)" of Disha Total Marketing Solution Pvt. Ltd. As an Direct Seller(s) of Disha
Total Marketing Solution Pvt. Ltd. Direct Seller(s) may. on a non-exclusive basis purchase from Disha Total Marketing Solution Pvt. Ltd. resell,
distribute and Market Disha Total Marketing Solution Pvt. Ltd. Products in the territory of India or use them for personal consumption. in
accordance with the terms and condition herein, the Direct Seller(s) hereby voluntarily submits its dependent Distributor(s) affirms that it is
being made an Direct Seller of Disha Total Marketing Solution Pvt. Ltd. Business. conditions at all times, subject to which the Direct Seller(s)
affirm that it is being made an Direct Seller of Disha Total Marketing Solution Pvt. Ltd.

GENERAL-The DIRECT SELLER ("DS") Agreement, the Business Plan and the General Terms and Conditions (forming inseparable part of
one document and entire agreement between the Company and its DSs) explains and governs the relationship between each DS and DISHA
TOTAL MARKETING SOLUITON PVT LTD, Registered office address at Top Floor, Sai Vihar Plaza, State Bank Chowk, CIDCO, Nashik-
422009 (referred to hereafter as the "COMPANY"). Each DS is required to read, understand, and comply with all terms and conditions of the
Agreement. The Agreement shall constitute the entire understanding of the parties. All parts of this Agreement shall apply to the Registered DS.
By submitting the DS Application/Agreement you hereby agree to all of the terms and conditions herein and by reference all legal terms and
conditions. The Agreement is subject to revision by the Company or Govt. Guideline from time to time at its sole discretion. The Agreement shall
govern all aspects ofthe relationships between the Company and its DSs and is available on the DISHA TMSPL website.

To become an DS, a new applicant is required to read and agree to the terms of the Agreement and relevant General
Terms and Conditions of the Company. The application should be accurately completed in its entirety and the applicant(s), including all
partners, shareholders and equity owners, must agree to the relevant General Terms and Conditions of the Company and the present DS
Agreement personally. Electronically submitted applications are considered as a received document. The Company reserves the right to reject
any application at its sole discretion.

DS may only market ONLINE NETWORK system and services or recruit new DSs in those countries officially authorized by
the Company. Upon notification of acceptance by the Company, the new DS will be entered into the Company database. If there are
any errors on an application, DS should verify with the Company Support Department as soon as the error is discovered (within 24
hours) to avoid delays in any rights under the DS Agreement.

Eligibility requirements to become an DS are as follows:. A. Legal Age. Any individual who is of legal age (18years) and residing in India, An
Identification Number is to be inserted on the application. This number should be either the Individual's a Tax Identification Number, if applying
as a business, or a government I.D., such as a passport number. Incorrect Tax I.D. Numbers or other essential information and/or supporting
documentation can result in a Rs.1 000 fine and/or termination, Transfer of an DS position or any rights, direct or indirect, relating to an DS
position may not be transferred by the DS without prior written approval from the Company.
5. The COMPANY warrants thatthe impve stated list of payment methods may be modified from time to time, INCOME
STATEMENT-An DS's success depends in great part upon his or her skills, efforts, dedication, desire & Motivation. Becoming an DS is NOT a
guarantee of income. There is no purchase required of a DISHA TMSPL's product to receive referralsales commissions.

6. To change Sponsor, Distributor must resign his existing Distributorship, be inactive for 3 months and then join under another Sponsor. The new
Sponsor should not have been part of his original line of sponsorship either impve or below him during the past 1 years, After moving to a new
group, a Distributor cannot poach persons from his old group except for Distributors who were inactive for at least 3 Month.

7. Disha Sales & Marketing Plan must not be presented A) as a get-rich-quick opportunity. B) that there is no requirement to Sales Products.

8. In seeking participation of a prospect in the DISHA Sales and Marketing Plan, the sponsoring Distributor must comply with the follo\\.
guidelines:

9. DS shall not use misleading, deceptive or unfair sales practices.

10. Atthe initiation of a sales presentation, DS shall, without request, truthfully and clearly identify themselves; the identity of
their Company; the nature of their Products; and the purpose of their solicitation to the prospective Consumer

11. OS shall offer Consumers accurate and complete product explanations and demonstrations regarding price and, if applicable, credit terms:
terms of payment; a cooling-off period, including retur~ policies; terms of guarantee; after-sal~s service and ~elivery dates. Direct Sellers sh~
give accurate and understandable answers to all questions from Consumers. To the extent claims are made with respect to product efficacy, DI
should make only those verbal or written product. Claims that are authorized by the Company 11.1 - Must disclose Correct Plan and sale\;;
figures, Product Information, Warranties as published from time to time by DISHA. 11.2 - May use those eamings and/or commission
representations based on their own personal experiences, provided that they at the same time disclose the average profits, eamings, and sales
figures and percentages as published from time to time by DISHA. 11.3 - May cite lifestyle examples, e.g. travel, automobile, homes of
successful Distributors, and contributions to charitable causes, provided such benefits were actually accrued as the result of building a
successful DISHA Distributorship. 11.4 - Must not say that there is no requirement for the sale or marketing of products.11.5 - Must not promote
the enjoyment of tax benefits as the best or principal reason for becoming an Disha Distributor. 11.6 - Must not say that Disha is a "get-rich-quick"
. opportunity in which it is easy to achieve success with little or no expenditure of effort or time.

12... Termination and De-sponsorship -Disha can terminate/de-sponsor the Distributorship of a Distributor if he/she Gives

Selling And/or Making Available Disha Products For Sale Through Retail Shops, Unauthorized Channels And Online Stores. DISHA Business
its products through the direct selling channel under which the sale of products byan OS happens inaface - to - face manner with the consumer.
-'~IS sale takes place away from fixed locations like retail shops. Use of any alternate channels by OS, for selling DISHA products, violates the
ndamental principle of Direct Selling and also distorts the level playing field provided to all OS s to do business. DISHA is committed to
" protecting the rights and opportunities of every OS. Hence Rules of Conduct prohibits IMPs from selling products through retail shops,
unauthorized channels and online stores. DISHA has adopted a Zero Tolerance Policy for sale through alternate channels and reserves the
right to take immediate action and / or sanction any DSs on receipt of verifiable information.

14. Additionally, DSs and Leaders need to consider certain aspects as they build their business and help their downlines do the same, Uplines
must educate their downlines on the correct and ethical business building practices with a special focus on the 'Zero Tolerance' policy,
Ordering DSs who place orders for other DSs are responsible for the orders placed by them. Ordering DSs need to be prudent so as to
safeguard their business interest, Uplines should encourage downlines to place their orders independently.

15. TAXES AND GOVERNMENTAL REPORTS Taxes. All DSs are personally responsible for all taxes due on any earnings from the Company or
on sales proceeds or earnings from selling DISHA TMSPL's products. The Company will provide a record of any and all moneys paid by the
Company to each OS and will issue and file such reports to governmental agencies or others as may be required by law. DSs will not be treated
as an employee of the Company for any income tax purposes. To safeguard that no tax evasion can occur, the DS must give the Company
personal identification information in their country of residence to which the Company can make payments through a designated payment
facilitator of any amount due by the Company to the DS.
16. PLACEMENT POLICY An OS is solely responsible for allocating the placement priority of new OS that they enroll i nth e i f S a I e ~
organizations structure. The DS management tool is available in each OSs online back-office. It is critical that the placement of a new OS is
correct at the time ofthe sale/enrollment. THE ORDER/PLACEMENT IN WHICH YOU RECORD THE OS's YOU SELUENROLL IS FINAL. IT
WILL NOT BE CHANGED.

,., BUSINESS PLAN AND TERMS See DISHA TMSPL's web site "BUSINESS Plan" and future additions. The OS acknowledges and agrees that
the Company reserves the unequivocal right to change or modify the Company's General Terms and Conditions, the present OS Agreement
and Global Compensation Plan. The Company will notify the OS imput any changes to the Compensation Plan within a reasonable time.

18. The Company will process the Product return promptly upon verifying that the OS is eligible for a Deduction. In most cases,
The OS hereby confirms that he understands that the Company return policy will NOT cover situations where the OS has already
received commission payouts, or other benefits, as a result of using the DISHA TMSPL'S products. If products are returned by customers
directly to Disha, PV/BV adjustment shall be done from the accou~ & any excess amount paid shall be recoverable from OS.

19. PRODUCT ORDER/SALES & RETURNS OSs are registering with the ONLINE NETWORK as an entrepreneur and not as a consumer
and therefore do not have the statutory right to revoke this agreement. Nevertheless, the Company is voluntarily granting you a right to
rescind this agreement within one weeks.

20. ERRORS OR QUESTIONS If an OS has questions imput or believes any errors have been made regarding commissions, bonuses, sales
group Activity reports, or charges, the OS must notify the Company within ten (10) days of the date of the unreported error or incident in
question. The Company will not be responsible for any errors, omissions or problems not reported to it within 10 days.

21. OBJECTIONABLE ACTIVITY OR CONDUCT DSs may not distribute material, have written correspondence, telephone contact, voice
mail and/or electronic mail tllat is or contains unlawful, harassing, libelous, slanderous, abusive, threatening, harmful, vulgar, obscene,
or otherwise objectionable material or which could otherwise give rise to civil liability or otherwise violate any applicable local, state,
national or international law or regulation.

22. No Warranties The Company Hereby Disclaims All Warranties. The Company Makes No Representations Imput The
Suitability, Reliability, Availability, Timeliness, And Accuracy OfThe Site, The Service Or The Content Contained On The Site For Any Purpose.
To The Maximum Extent Permitted By Applicable Law, The Site And All Such Content, Services And Products Are Provided "as Is," "with All
Faults," And "as Available." We Disclaim All Warranties, Express And Implied, Arising Out Of, Or In Connection With, The Sit e , Service And
Content, Including, But Not Limited To The Warranties Of Non-infringement, Merchantability, And Fitness For A Particular Purpose And Those
AriSing By Law, Statute, Usage Of Trade Or Course Of Dealing And Any Liability With Regard To The Site, Content And Services And Any
i- Actions Resulting From OS Participation InAny Service.

24. The Company Is Not Responsible And May Not Be Held Liable For Any Additional Bank Fees, Taxes And Currency
Exchange Rates, That May Result In Any Amounts To Be Added To The Account Of The Respective OS.

25. The Company Makes No Warranty Or Representation As To The Level Of Success, If Any, Individuals May Achieve By U~S!i

28 All disputes and claims relating to Disha Business this Agreement, the Business Plan, the Policies & Procedures of Disha Business its
products and services, the right and obligation of and DS of Disha Business or any other claims or uses of action related to the per Disha Total
Marketing Solution Pvt. Ltd. Business this Agreement or the, business Disha Total Marketing Solution Pvt. Ltd. Business Procedure shall
settled totally and finally by arbitration admin accordance and Confutation Act 1956. The venue of arbitration shall be Nashik and the
proceedings shall be conducted in English The
decision of their arbitrator shall be final and binding on the parties. Each party to the arbitration shall be responsible for its own cost and
expenses of arbitration, including legal and filling fees. This agreement to arbitrate shall survive any termination or expiration of this
Agreement.

2 . Disha Total Marketing Solution Pvt. Ltd. Business shall not be responsible of delays and failures in performing its obligations due to
circumstances beyond its reasonable control, such as strikes, labor difficulties, riots, war, fire, death, curtailment or interruption of a source of
supply, government decrees or orders or any other force majeure events.

3 [. If any provision of this Agreement as It currently exists or as may be amended is found to be invalid, illegal, or unenforceable for any reason,
only the invalid provision will be severed from this Agreement the remaining terms and
provision shall remain in full force and effect and shall be construed as if such invalid, illegal or unenforceable provision never CP prosed a part
of his Agreement, in the event of any conflict of the terms and conditions of this Agreement and the terms and conditions of the Policies and
Procedures of Disha Business, to the extent only of such terms and conditions, those of this Agreement shall prevail over those of the Poli,\les
and Procedures of Disha Business.

The DS hereby confirms that he/she has enter point this Agreement as an Independent Contractors. Nothing in this Agreement shall establish
and employment relationship, or any other about relationship between their DS and Disha Business and nothing shall establish the DS
position as procurer, broker and commercial agent, contracting representative or other Disha Direct When purchasing and selling. Disha
Business product, the independent. for is shall act as an independent vender acting in his/her own name at his/her own responsibility and for
his/her own account The DS shall be liable to pay all applicable central or state income taxes, including any employment taxes, value added
taxes, services taxes or taxes deducted at source asapplicable under law.

2. The DS acknowledges and agrees that the relation between Disha Business and DS and his/her its activities shall be governed in addition to
this agreement by the Business plan and the Polices Procedures of Disha Business all the times. The
DS Understands and agrees that Disha Business may make modification to the Agreement, Disha Total Mar k e tin g Sol uti 0 nPvt. Ltd. the
policies and Procedure and / or the Price List at sole discretion and that all such changes shall be binding upon the DS All changes of this
agreement, business Plan, the Policies and Procedures and/or the Price List shall become effective upon the Disha Total Marketing Solution
Pvt. Ltd. me being reflected on Disha Business website: or in any information sent to the DS by from Disha Business Shall constitute a deemed
voluntary acceptance of any and all amendments to the agreements, Business plan and or the Policies and Procedures.

The DS may at his discretion terminate this Agreement any time by Disha Total Marketing Solution Pvt. Ltd. Business absolute discre .

Agreement for what soever reason, the OS acknowledge along Disha Total Marketing Solution Pvt. Lt~. entitle to return any product that may
be in his possession nor claim are fund from Disha Business disturb or adversely influence, whatever directly or ndirectly, the existing process
of Disha Business including but not limited to the other distributor and Disha Total Marketing Solution Pvt. Ltd. in any manner whatsoever use
the name of Disha Business in any manner and/or make any false claim against Disha Business an of its employees/reperesentative. If an DS
illing to rejoinhe/she may be readmitted by Disha Business after in completion of a period of six (6) months from the date of termination of this
Agreement.

1) In case of failure to take delivery of goods, Buyer shall be solely liable for all storage, demurrage costs and other expense SHA
shall be entitled to treat such failures as a breach of contract in addition and without prejudice to DISHA's other rights and
remedies.
2) DISHA is not liable for delays or non-delivery of goods by the Carrier due to Force Majeure conditions in Course oftransitldelivery, Short

Disha Product Returns / Refund Policy.
3) Costumer may return the products within 30 days From purchase Date or within 7 days from Product Delivery date, Whichever is First.

manual, warranty card and invoices etc.

Buyer is requested to verify quality and quantity of the goods before accepting delivery. No claim regarding quality/quantity of the goods
will be entertained once goods are handed over to the Buyer/Carriers as the case may be unless promptly notified in the Delivery
Challan.
Any levy/increase in taxes/freight, in respect of goods sold, before/after delivery to the Buyer shall be reimbursed by the Buyer to Dis'" '

policy as laid down by Disha Business.

their products, and the purpose of their business to prospective customers. DS may not use any misleading, deceptive, or unfair sales

price, terms of payment, right of withdrawal, refund rights, guarantees, and after-sales services and delivery. Personal or telephone
contacts shall be made in a reasonable manner and during reasonable hours to avoid intrusiveness. DS must immediately discontinue
a demonstration or sales presentation upon the request of the consumer. DS shall not directly or by implication, denigrate any other
company or product. DS shall refrain from using comparisons which are likely to mislead and which are incompatible to the principles of
fair competition. Points of comparison shall not be unfairly selected and shall be based on facts which can be substantiated. DS shall not
abuse the trust of individual consumers, shall respect the lack of commercial experience of consumers and shall not exploit a
customer's age, illness, lack of understanding or lack of language expertise. DS may not systematically entice or solicit direct sell':'
from other direct selling organizations

18) The Direct Seller (s) shall submit the self attested Permanent Account Number (PAN) card photocopy along with executed Agreement.

Marketing Solution Pvt. Ltd. not obliged to make any online transferor payout.
