BACKGROUND: On May 9, 2017, City Council enacted Ordinance No. 28430, which declared a state of public health emergency. The deciaration was made in response to the growing health and safety concerns resulting from the increasing concentrations of people living in ‘encampments in Tacoma. The state of public health emergency would allow the City to exercise its local authority to suspend certain regulations to execute the emergency management plan to address homeless encampments in Tacoma. A cross-functional team of City staff has been assembled and has developed the Emergency Aid and Shelter Program to promptly address the growing concentrations of people In encampments in Tacoma, The plan wil have three phases to address encampments and provide additional services to people experiencing homelessness while reducing the impacts of homelessness on all citizens, businesses and property owners. The plan will include: ‘+ Phase 1: the deployment of rapid resource pop-ups to mitigate immediate health and safety issues in the encampments while reducing impacts on citizens and businesses, + Phase 2: establishment of temporary transitional centers to rapidly connect individuals with services to create self-sustainability and connect with permanent housing, May 24, 2017 Emergency Declaration Procurement Page 2 ‘= Phase 3: exploring opportunities to expand housing and homelessness services throughout the County. Data collection from Phase 1 and 2 will ultimately help inform the implementation of Phase 3. The implementation of Phases 1 and 2 requires incurring expenses related to utilities, services, and amenities to address the mitigation of human suffering caused by the inability to have basic human needs and safe sheltering and housing options met. ‘Ordinance No. 28430 very broadly authorizes contracts to be executed without going through the normal competitive selection process. The contracting procedures that are in place in the event of an emergency are set forth below, as authorized by the TMC and related Purchasing Policy Manual. We will coordinate with Purchasing to ensure that the process goes smoothly. EMERGENCY CONTRACTING AUTHORITY. The Competitive selection requirements for service contracts are waived in the event of an emergency. See ‘TMC 1.06.257. The purchasing requirements applicable in the event of an emergency are found in the Purchasing Policy Manual at Section XXILD. According to the manual, an emergency waiver over $200,000 requires approval by the City Manager or TPU Director, and must be reviewed by the Procurement and Payables ‘Manager. However, C&A Board recommendation and CounciTPU Board approvals. are not required. The procedures require an emergency declaration memo for emergency contracts. Emergency waivers for contracts between $5,001 and $200,000 require approval of the Procurement and Payables Division Manager. All purchases over $200,000 in the event of an emergency must be reported by the Procurement and Payables Division manager to the Government Performance and Finance Committee. See V.D. Note that processing requests for procurement cards are to be expedited in the event of an emergency. See VIII.O, The manual notes that emergenoy/disaster response purchases may be made under schedule 84 of the GSA cooperative purchasing program. See, XIX.B. WHEREAS the City of Tacoma continues to experience large numbers of individuals and families who are homeless due to such factors as job loss, family crisis, substance abuse, economic reasons, mental health issues, and loss of temporary housing, and WHEREAS the pattern of stagnant and declining wages and shortage of available affordable housing has also contributed to the rising numbers of homeless individuals and families, and WHEREAS the homelessness crisis is occurring in communities throughout the West Coast, causing cities like Seattle, Washington; Portland, Oregon; and Los Angeles, California, to declare states of emergency in order to provide emergency services and shelters for the growing number of unsheltered homeless. iduals and families, and WHEREAS point in time counts conducted in the greater Tacoma area have identified 1,997 homeless persons in year 2012; 1,303 in year 2013; 1,474 in year 2014; 1,283 in year 2016; 1,762 in year 2016; and 1,321 in year 2017, and Rest7-0472doe-C08/in 10 " 12 13 4 16 16 7 18 19 20 2 2 23 24 25 26 WHEREAS, despite the improving economy, the point in time counts reveal that at any given night large numbers of people, including families, ‘experience homelessness and can be found sleeping on the streets and in parks, cars, abandoned buildings, steep slopes, under highway overpasses, and in other places not meant for human habitation, and WHEREAS, of the 1,321 homeless persons counted in the point in time count for 2017, 21 percent were identified as chronically homeless, 14 percent were households with children, 39 percent were female, 14 percent were victims of domestic violence, 6 percent were unaccompanied youth and young adults, 10 percent were veterans, and 41 percent were people of color, and WHEREAS, in years 2015-2016, the unsheltered population in the greater Tacoma area increased by 46 percent and since 2010, the unsheltered homeless population had increased by 192 percent, with more individuals and families living in places not fit for human habitation, and WHEREAS the supply of available temporary and permanent support housing for homeless persons residing in Tacoma is inadequate to meet, demand, resulting in long lines for emergency shelters (the wait list for some. shelters is as high as 80-90 people per night), long waits for support housing, and a rising number of unsheltered households, and WHEREAS, on any given night, homeless encampments in Tacoma may be occupied by 100 or more persons, and Rest7-0479.dee-CO8/in 10 14 12 13 4 15 16 7 18 19 20 24 2 23 24 25 26 WHEREAS homeless encampments occur without appropriate sanitation facilities or proper trash receptacles and often become contaminated with garbage, human waste, used needles, and dirty dressings, resulting in occupants facing serious health and sanitation issues, and WHEREAS conditions in homeless encampments are personally stressful and expose occupants to communicable diseases like tuberculosis and respiratory illnesses, violence, malnutrition, and harmful weather exposures and exacerbate common conditions such as high blood pressure, diabetes, and asthma because there is no safe place to properly store medications or syringes, and WHEREAS behavioral health issues such as depression or alcoholism often develop or are made worse for people living in homeless encampments, and these conditions frequently co-occur with a complex mix of severe physical, psychiatric, substance use, and social problems, and WHEREAS, according to the National Health Care for the Homeless Council, persons“. .. experiencing homelessness are three to four times more likely to die prematurely than their housed counterparts, and experience an average life expectancy as low as 41 years..." and WHEREAS health care services are not effective when a patient's health is continually compromised by street and shelter conditions, and inpatient hospitalization or residential drug treatment and mental health care do not have lasting impacts when the patient is returned to a homeless environment, and Rest7-0472.dee-CDBIon 10 1" 2 13 14 18 16 7 18 19 20 24 22 23 24 25 28 WHEREAS conditions in homeless encampments that are dangerous to human health include: garbage that becomes a food source for vermin; vectors (organisms that transmit diseases or parasites) and related pathogens; lack of proper food storage and clean dishes that can facilitate the spread of food-borne disease; lack of sanitary facilities to dispose of human and animal fecal waste, ‘which can lead to contamination of ground and surface water supplies and transmittal of disease; improper disposal of discarded medical and sharps waste; accumulation of combustible materials that can ignite; lack of poor hygiene which contributes to dental and skin problems; and the victimization of homeless persons by both sheltered and non-sheltered persons, and WHEREAS these conditions arise from human-made events and are contributing to, and will continue to contribute to, significant human suffering, creating an immediate need to provide temporary aid and shelter for the homeless persons occupying these encampments, regardless of where in the City they may be found, and WHEREAS the housing and homelessness crisis presents an existing and ongoing threat of significant harm to human health and life, requiring immediate action, and WHEREAS residents of homeless encampments have needs that include the provision of social, public, and mental health services; Scope of ServicesiWork ‘A. The CONTRACTOR agrees to dillgently and completely perform the services and/or deliverabies described in Exhibit A attached hereto and incorporated herein. B. Changes to the Agreement. Unless otherwise provided herein, no modification ‘or amendment of this Agreement shall be effective unless set forth in writing and signed by the Paries. 2. Term A. All services shall commence no earlier than July 11, 2017 and be satisfactorily completed on or before December 31, 2017 and this Contract shall expire on said date unless mutually extended in writing by the Parties. B. Should this Contract be signed after the date Contract performance has begun, all terms and conditions herein shall operate retroactively ta the date Contract began. , Neither party shall be considered to be in default in the performance of this Contract to the extent such performance is prevented or delayed by any cause which Is beyond the reasonable control of the affected party and, in such event, the time for performance shall be extended for a period equal to any time lost as a result thereof. in the event CONTRACTOR is unable to proceed due {0.2 delay solely attributable to CITY, CONTRACTOR shall advise CITY of such delay in writing as soon as is practicable. 3. Compensation and Payment A. The CITY shall compensate the CONTRACTOR for the services and deliverables perlormed under this Contract in accordance with Exhibit A for CITY residents only. The total price to be paid by CITY for CONTRACTOR'S full and complete performance of the Scope of Work hereunder shall not exceed $199,952.00 [one hundred ninety nine thousand nine hundred fifty two dollars]. CONTRACTOR shall submit necessary and appropriate documentation, as determined by the CITY, for ail invoiced services and deliverables. Such documentation, as applicable, will include, but is not limited to, the followit 4. As such, a completed W-9 and Vendor Request Form are required to be submitted (o the CITY'S finance department before payments will be created or issued, D. The CITY may withhold payment to the CONTRACTOR for any services or deliverables not performed as required hereunder until such time as the CONTRACTOR modifies such services or deliverables to the satisfaction of the cry. H, All payments shall be subject to adjustment for any amounts, upon audit or otherwise, determined to have been improperly invoiced. 4. Independent Contractor Status ‘The services and deliverables shall be furnished by the CONTRACTOR as an independent Contractor, and nothing herein contained shall be construed to create a relationship of employerlemployee or master/servant. No payroll or employment taxes of any kind shall be withheld or paid by the CITY with respect to payments to CONTRACTOR. The payroll or employment taxes that are the subject of this paragraph include, but are not limited to, FICA, FUTA, federal income tax, state personal income tax, stale disability insurance tax and state unemployment insurance tax. By reason of CONTRACTOR'S stalus as an independent Contractor hereunder, no Workers’ ‘Compensation insurance has been or will be obtained by the CITY on account of CONTRACTOR. CONTRACTOR may be required to provide the CITY proof of payment of these said taxes and benefits. Ifthe CITY is assessed or deemed llable in any manner for those charges or taxes, the CONTRACTOR agrees to hold the CITY harmless from those costs, including attorney's fees. 6. Professional Services Warranty A, The CONTRACTOR warrants that all services performed pursuant to this Contract shall be generally suitable for the use to which CITY intends to use said services and deliverables as expressed in Exhibit A. B. In the performance af services under this Contract, the CONTRACTOR and its employees agree to exercise the degree of skill and care required by customarily accepted good practices and procedures followed by professionals/consultants ‘rendering the same or similar type of service. All obligations and services of the CONTRACTOR hereunder shall be performed diligently and completely according to such professional standards. * C. Ifthe CONTRACTOR intends to rely on information or data supplied by the CITY, other CITY contractor's or other generally reputable sources without independent verification, such intent shall be brought to the attention of the ciry, D. Personnel. This Contract provision shall only be waived by written autharization by the CITY, and ‘on a case by-case basis. 6 Records Retention CONTRACTOR shall establish and maintain records with respect to all matters related to the performance of this Contract. Except as otherwise authorized or required by the CITY, the CONTRACTOR shail retain such records for a period of six (6) years after receipt of the final payment under this Contract or termination of this Contract. 7. Contract Administration and Right to Audit A, The CONTRACTOR shall, al such times and in such forms as the CITY may reasonably require, furnish the CITY with periodic status reports pertaining to the services undertaken pursuant to this Contract B. Elther party may terminate this Contract at any time, with or without cause, by aiving thirty (30) business days written notice to the other. In the event of termination, all finished and unfinished work prepared by the CONTRACTOR pursuant to this Contract shall be provided to the CITY. In the event CITY Page tof27 Form Date: 7 52017 ‘Anorney: Debra Casparian ‘SAP Contract No: terminates this Contract due to the CITY'S own reasons and without cause due to the CONTRACTOR'S actions or omissions, the CITY shall pay the CONTRACTOR the amount due for actual work and services necessarily performed under this Contract up to the effective dale of termination, not to exceed the total compensation sel forth herein. B. The CITY may suspend this Contract, at its sole discretion, upon seven (7) business day's written notice to the CONTRACTOR. Such notice shall indicate the anticipated period of suspension. Any reimbursement for expenses incurred due {o the suspension shall be limited to the CONTRACTOR'S reasonable expenses and shall be subject to verification. The CONTRACTOR shall resume performance of services under this Contract without delay when the suspension period ends. C. if the CONTRACTOR is in default of its performance of this Contract, the CITY may, in its sole discretion, provide the CONTRACTOR with written notice of the tnaed for corrective action. Such notice shall indicate the reason(s) the CONTRACTOR is in default of this Contract and shall provide the CONTRACTOR with at least fifteen (15) calendar days to cure its default status. ‘The time period for corrective action may be extended in writing by mutual agreement of the parties. The intent of this provision is for the CONTRACTOR to maintain the continuity of its services provided under this Contract during the correcive action period. Upon the expiration of the corrective action period, the CITY may proceed to terminate this Contract if, in its sole discretion, it determines that the CONTRACTOR has failed to cure its default status. Nothing in this section shall modify, restrict, impede, or impair the CITY'S right to terminate this Contract pursuant to section 9(A) above. 1D. Termination or suspension of this Contract by CITY shall not constitute a waiver of any claims or remaining rights the CITY may have against CONTRACTOR ‘elative to performance hereunder. 10, Taxes, Licenses and Permits A, The CONTRACTOR acknowledges that itis responsible for the payment of all charges and taxes applicable to the services performed under this Contract, and the CONTRACTOR agrees to comply with all applicable laws regarding the reporting of income, maintenance of records, and all other requirements and obligations imposed pursuant to applicable law. If the CITY is assessed, made liable, or responsible in any manner for such charges or taxes, the CONTRACTOR agrees to hold the CITY harmless from such costs, including attomey's fees. B. tn the event the CONTRACTOR fails to pay any taxes, assessments, penallies, or fees imposed by any governmental body, including a court of law, then the CONTRACTOR authorizes the CITY to deduct and withhold or pay over to the appropriate governmental body those unpaid amounts upon demand by the governmental body. C. The CONTRACTOR, at its expense, shall obtain and keep in force any and all necessary licenses and permits. The CONTRACTOR shall obtain a business license as required by Tacoma Municipal Code Subiitle 68.20 and shall pay business and occupation taxes as required by Tacoma Municipal Code Subtitle 6A.30, 44. Indemnification A. The CONTRACTOR shall indemnify, defend, and hold harmless the CITY, its officials, officers, agents, employees, and volunteers, from any and all claims, demands, damages, lawsuits, liabilities, losses, liens, expenses and costs arising out of the subject matter of this Contract; provided that this provision shall not apply to the extent that damage or injury results from the fault of the CITY, of its officers, agents, or employees. The term “fault” as used herein shall have the same meaning as set forth in RCW 4,22.015, as thal statute may hereafter be amended. B, The CONTRACTOR specifically assumes potential liability for actions brought by the CONTRACTOR'S own employees against the CITY and, solely for the purpose of this indemnification and defense, the CONTRACTOR specifically waives any immunity under the state industrial insurance law, Title 51 RCW. The CONTRACTOR recognizes that this waiver was the subject of mutual negotiation. . This indemnification shall extend fo and include attorneys’ fees and the cost of establishing the right of indemnification hereunder in favor of the CITY. This indemnification shall survive the termination of this Contract. 12, Insurance uring the course and performance of the services herein specified and for the entire term of the Contract, CONTRACTOR will maintain the insurance coverage in the amounts and in the manner specified in the City of Tacoma Insurance Requirements as is applicable to the services and deliverables provided under this Contract. The City of ‘Tacoma Insurance Requirements document is fully and js attached as Exhibits. CONTRACTOR shall not begin work under the Contract until the required insurance has been oblained and approved by CITY. Proof of insurance shall be provided by CONTRACTOR as is specified in the City of Tacoma Insurance Requirements. 43. Nondiscrimination A. The CONTRACTOR agrees to take all steps necessary to comply with all federal, state, and CITY laws and policies regarding non-discrimination and equal employment opportunities. Further, the Americans with Disabilities Act requires the removal of architectural barriers and ‘communication barriers that are structural in nature in existing facilities where such removal is readily achievable—that is, easily accomplished and able to be carried out without much difficulty or expense. This Contract and documents provided to the CITY by CONTRACTOR hereunder are deemed public records subject to disclosure under the Washington State Public Records Act, Chapter 42.56 RCW (Public Records Act). Thus, the CITY may be required, upon request, to disclose this Contract and documents related to it unless an exemption under the Public Records Act oF other laws applies. Should CITY receive a request for disclosure, CITY agrees to provide CONTRACTOR ten (10) days written notice of impending telease, and to cooperate with any legal action which may be initiated by CONTRACTOR to enjoin or otherwise prevent such release, provided that all expense of any such Iitigation shall be borne by CONTRACTOR, including any damages, atlomey’s fees or costs awarded by reason of having opposed disclosure, and further provided that CITY shall not be liable for any release where notice was provided and CONTRACTOR took no action to oppose the release of information. Notice of any proposed release of information pursuant to Chapter 42.56 RCW, shall be provided to CONTRACTOR according to the “Notices” provision herein If CONTRACTOR provides the CITY with records that CONTRACTOR considers, confidential or proprietary, CONTRACTOR must mark all applicable pages of said record(s) as “Confidential” or “Proprietary.” If CONTRACTOR fails to so mark record(s), then (1) the CITY, upon request, may release sald record(s) without the need to satisfy the requirements of subsection A above; and (2) the CONTRACTOR expressly waives its right to allege any kind of civil action or claim against the CITY pertaining to the release of said record(s). 418. Duty of Confidentiality A. The CONTRACTOR shall secure all records with personal information. “Personal information” includes personnel files and client records, and means any information that can be used to personally identify someone, including but ‘not limited to name, address, phone number, date of birth, personal electronic mail addresses, Social Security Number, bank or financlal account numbers, or other information identified in RCW 42.56,230. Hard copy files should be kept either in a locking file cabinet or in a locked office, Electronic data should be password protected. Access to the information should be limited to staff who need it to carry out their job responsibilities. 2 CONTRACTOR acknowledges that unauthorized disclosure of information or documentation concerning this Scope of Work hereunder may cause substantial economic loss or harm to the CITY. Any and all news releases, professional articles, marketing, advertising, publicity, or other commercial activities that describe or discuss the ‘Scope of Services shall be reviewed and approved by the CITY prior to publication, disclosure and/or distribution, The CONTRACTOR may submit for feview and approval a generic abstract describing the component parts of the completed Scope of Services ("Project Abstract"). After receiving written approval of the Project Abstract from the CITY, the CONTRACTOR may make minor insignificant changes to the Project Abstract and use all or parts of the Project Abstract in proposals. F. This Section shall survive for six (6) years after the termination or expiration of this Contract. G. CONTRACTOR shall ensure that the text of this section is included in each subcontractor’s Contract for work on the Project. 20, Dispute Resolution In the event of a dispute pertaining to this Contract, the parties agree to attempt to negotiate in good faith an acceptable resolution. If a resolution cannot be negotiated, then the parties agree to submit the dispute to voluntary non-binding mediation before pursuing other remedies. This provision does not limit the CITY'S right to terminate as authorized by this Contract 24, System Alignment Atthe CITY'S discretion, programs may be required to participate in systems development, alignment and impact discussions. Results from these discussions will be formalized and incorporated Into a contracted program's scope of work as an amendment to the contract as applicable. Miscellaneous Provisions ‘A. Governing Law and Venue. Washington law shall govern the interpretation of this Contract. E, Severability and Survival. If any term, condition or provision of this Contract is declared void or unenforceable or limited in its application or effect, such event shall not affect any other provisions hereof and all other provisions shall remain fully enforceable. The provisions of this Contract, which by their sense and context are reasonably intended to survive the completion, expiration or cancellation of this Contract, shall survive termination of this Contract. F. Entice Agreement, This Contract and the attached Exhibits, as modified herein, contain the entire agreement between the parties as ta the services to be tendered hereunder. Children must be checked in by the parent/guardian ‘on the attendance sheet, and staff must verify the chitd's presence in shelter. Residents that arrive to shelter after 3 a.m. are considered absent for the evening. When a resident does nol stay the night in shelter, they cannot be counted as present, unless itis an authorized absence, such as a hospital stay, arrest, working during the evening, etc. The City will consider authorized absences as a bed night and will reimburse TSA for those authorized absences. Documentation, such as hospital discharge documents, legal documents, or a wark schedule will be submitted once the resident retums. If adequate documentation is not submitted, the resident will remain absent, Residents are allowed up to 14 days of authorized absences in order to remain in the program with proper documentation. The City will not reimburse TSA for ‘unauthorized or undocumented absences. Children who do not reside in the shelter overnight cannot be counted as present, unless itis an authorized absence, such as court ordered visitation with @ non-custodial parent, which documentation must be provided to the CITY. Hospitalizations, summer camp, etc. are authorized absences, yet documentation must be provided to the CITY. Monthly Performance Reporting: TSA will meet with City staff and provide monthly performance updates with regards to numbers served, authorized and unauthorized absences, individual housing plan progression, transitions and exits from program, and the destination of individuals leaving shelter. CONTRACTOR agrees that the Wark is a "work made for hire" for copyright purposes, with all copyrights In the Work owned by CITY. To the extent that the Work does not qualify as a work made for hire under applicable law, and to the extent thal the Work includes material subject to copyright, CONTRACTOR hereby assigns to CITY, ifs successors and assigns, allright, title and interest in and to the Work, including but not timited to, all patent, trade secret, and other proprietary rights and all rights, tile and interest in and to any inventions and designs embodied in the Work or developed during the course of CONTRACTOR'S creation of the Work. CONTRACTOR shall execute and deliver such instruments and take such other action as may be required and requested by CITY to carry oul, the assignment made pursuant to this section. Any documents, magnetically or optically encoded media, or other materials created by CONTRACTOR pursuant to this Contract shall be owned by CITY and subject to the terms of this section, To the maximum extent permitted by law, CONTRACTOR waives all moral rights in the Work. The rights granted hereby to CITY shall survive the expiration or termination of this Contract. B. If this Contract results in a book or other copytightable material, the author is free to copyright the work, but HUD and the CITY reserve a royalty-free, non- exclusive, and irrevocable license to reproduce, publish, or otherwise use, and to authorize others to use, all copyrighted material and all material that can be copyrighted.
