I, ATTY. BABY GO, Corporate Secretary of DEF Corporation

(the “Corporation”), a corporation duly organized and existing under
the laws of the Republic of the Philippines, with office at 678
Maligaya Street, Makati City, do hereby certify that at the Special
Meeting of the Corporation’s Board of Directors held on 5 March
2021, where a quorum was present, the following resolutions were
unanimously adopted and approved, to wit:

“RESOLVED, that DEF Corporation (the

‘Corporation’), be, as it is hereby, authorized to institute
the necessary civil actions against Joed Jr Lumbres, Leo
Apa-ap, Wenny Joy Pasco, Carlitos Miguel Cornelio,
Cesar Jr Galamgam, Emmanuel Pacquio, Mario
Estrada,Hans Titus Deldoc, James Garel Arriola, Jan Carl
Masbate, Nerisso Lovedorial, Reuben James Pleños,
Cyvince Rey Valderama, Rexel Riu Bacaltos, John Michael
Gabriel, Shane Hilary Lacanienta, Rainniel Mangahas,
Kimiero Salido, Lester Mangubat, Rayshell Jean Llana,
Caryl Lyka Canton, Melicio Jr Reasol, Al Mayo Pepito,
Jersey Lainne, Arbolado Alshido, Salud Kristino, Allyzon
Lizarondo, Edrian Nico Baldonado, Reymark Cantos,
Therence Bernard Sagmit, Peter John Boliver, Erman Brian
Obero, Kenneth Mayo, Morcedin Mansang, Razeen
Mustafado, Allen Tan, Adolf Mulok, Kornelyo Deymos,
Allan Jr Vasquez, Christian Dhon Lupiba, Celesto Felice
Nolledo, Joemil Jaen Kimber, Pel Cadenas, Hansen Mike,
Tugatog Maribeth, Rafols Shane, Dominic Sulatra, Jerome
Bucao, Maro Florendo, Angeliquo Muñoz, Cecillo Faith
Rodriguez, and Junel Gabales (hereinafter referred to as
Joed Lumbres, et al.) with address at 123 Maligalig Street,
Makati City, in relation to their unlawful occupation of
Corporation’s 2,000 sq. m. real property in Maligalig
Street, Makati City;

RESOLVED FURTHER, that the President of the

Corporation, Catriona Viceral, as she is hereby, appointed
as attorney/s-in-fact of the Corporation), together with
Atty. Karen Panisales, and/or any of the following
attorneys of the law firm of Andal Aquino Go Panisales
Roque Taongan (“Firm”), namely, Thomas Andal,
Angela Aquino, Meg Go, River Roque, and Shalimar
Taongan, with authority to singly or individually
represent the Corporation in any stage of the civil case
against Joed Lumbres, et al., as well as in any appeals and

other judicial proceedings related to the civil case, with

full power and authority, as ample and broad as may be
necessary under the law, to do and perform the following
acts on behalf of the Corporation:

(a) Cause and authorize the preparation and

filing of complaints, petitions, pleadings, motions,
memoranda, affidavits, and such other papers and
documents as may be needed in the course of the action;

(b) To execute on behalf of the Corporation the

verification and certification of non-forum shopping in
accordance with the form required under Philippine
Supreme Court Circulars, the Rules of Court, and other
related or relevant regulations;

(c) To enter into an amicable settlement and to

agree to the same, including the execution of any
compromise agreement;

(d) To submit to alternative modes of dispute

resolution, including mediation, judicial dispute
resolution, conciliation or trial by commissioners;

(e) To enter into stipulations or admissions of

facts and of documents;

(f) To exercise any and all functions and powers,

attendant to the conferment of the aforesaid authority
upon said agents, as may be required by Philippine law;
and

(g) To do other matters as may aid in the prompt

disposition of the actions.

RESOLVED, FINALLY, that the Corporation confirm and

ratify, as it hereby, confirms and ratifies all that the said
attorney/s-in-fact may have done, may do, or may cause
to be done in the premises with the same force and effect
as if the Corporation itself were the one who performed
the said acts.”

I further certify that the foregoing resolution has not been

revoked, superseded or amended, and that it continues to be in force
and effect as of this date.
