TERMS OF USE

Welcome to the 3DEXPERIENCE Website of Dassault Systèmes (“3DX Website”), a service provided by Dassault Systèmes SE, a French
“Société Européenne” registered with the Versailles Commercial Register under the number B 322 306 440, having its registered offices at
10 rue Marcel Dassault – 78140 Vélizy-Villacoublay – France, and its affiliates (“3DS”, “We”, “Our” or “Us”).

These terms of use (“Terms”) sets forth the principles and guidelines governing the access to and use of the 3DX Website by users (“User”,
"You" or "Your") for the purposes of sharing information about 3DS brands and products, public initiatives and events, and enabling online
purchasing or collaboration on dedicated projects. By accessing to the 3DX Website, You agree to be bound by the Terms.

1. DEFINITIONS

“3DS Group Company” means Dassault Systèmes S.E as introduced herein, or any entity in which 3DS, directly or indirectly, (i) owns more
than 50% of the outstanding equity or ownership interest, or (ii) has the power to designate the managing authority.
“3DX Website” means the software environment hosted by 3DS, including information, contents, data, documents, materials, software and
services, made available on such environment to User pursuant to the conditions defined in the Terms.
“Documentation” means, at any time, the current user documentation as provided by 3DS at the following address:
https://www.3ds.com/support/documentation/ for use in connection with the 3DX Website.
“Personal Data” means any kind of information relating to an individual about whom information is collected which can, individually or
together with other information on the individual, lead to directly or indirectly identifying such individual.
“User Data” means any data provided by User to 3DS and any Contribution posted by User in a Community during its use of the 3DX
Website, including User’s Personal Data.

2. REGISTRATION – PASSWORD – SECURITY

You may be able to access the 3DX Website without registration, notably to consult the catalog or commercial information of 3DS products.
However, You will have to register with Us by opening a free of charge account in order to experience the full capabilities of the3DX Website
(e.g. for posting Contribution(s) on a Community (as defined below) or for purchasing 3DS products). During the creation of Your account,
You will have to provide certain mandatory information, including but not limited to an account name and password. You agree to (a) provide
true, accurate, current and complete information about Yourself; (b) maintain and promptly update Your profile to keep it true, accurate,
current and complete. If You provide any information that is untrue, inaccurate, not current or incomplete, or if 3DS has reasonable grounds
to suspect the same, 3DS has the right to suspend and/or terminate Your account and refuse any and all current or future use of the 3DX
Website (or any portion thereof) by You.

In consideration of Your registration, You represent that (i) You are at least 18 years, or, if You are between 13 and 18, You use the 3DX
Website only with the involvement of a parent or guardian, (ii) that You have the legal authority to accept these Terms, including the right to
do so on behalf of Your organization if You use the 3DX Website for professional purposes, and (iii) that You are not barred from accessing
to the 3DX Website and services under the laws of any applicable jurisdiction. Parents and guardians are jointly and severally liable for all
acts and omissions of their children aged under 18 years when using the 3DX Website.

You are fully responsible for maintaining the confidentiality of Your account credentials and must promptly notify Us of any breach of security
related to the unauthorized use of Your account. To help ensure the security of Your account credentials or Your account, please sign out
from Your account at the end of each session.

The access to the 3DX Website may involve third-party fees (such as Internet service provider charges). You are responsible for the
equipment necessary to access the 3DX Website.
We will endeavor to allow uninterrupted access to 3DX Website. However, You acknowledge and agree that 3DS can interrupt access to
part or the entire 3DX Website in order to perform preventive or corrective maintenance, as well as backups, without opening any right to
compensation for User.

3DS may suspend or remove Your account and/or disclose Your account information if required to do so by law or by a public authority,
and/or if 3DS believes in good faith that such removal or disclosure is necessary to (i) enforce the Terms, (ii) respond to claims alleging that
the account violates the rights of third parties, (iii) protect the rights, property or personal safety of 3DS or its Users in particular where the
account information may be considered (x) harmful to 3DS or its Users or (y) against 3DS corporate values or (z) against 3DS Code of
Business Conduct (which can be found at: https://www.3ds.com/about-3ds/ethics-and-compliance/).

By opening an account, You will also be able to access Documentation as applicable to Your use of the 3DX Website, including the
description of Communities available in 3DSWYM. The Documentation may be amended from time to time by 3DS.

3. RIGHT TO ACCESS AND USE THE 3DX WEBSITE

3DS grants to User a limited, personal, non-exclusive and non-transferable right to access and use the 3DX Website, for personal, non-
commercial use only, and to the extent authorized herein.
This right shall start from the date User first accesses to the 3DX Website and shall remain effective until terminated by 3DS or by User, as
provided herein.

4. YOUR CONDUCT WHEN USING THE 3DX WEBSITE

4.1. General Rules. By accessing to and using the 3DX Website, User agrees to comply with (i) these Terms and the Documentation of the
3DX Website and (ii) any specific terms for third party software published at www.3ds.com/terms/third-party-terms that apply to such 3DX
Website.

In addition, You acknowledge that You will not:

• Modify, adapt, reverse engineer, decompile, disassemble or otherwise translate all or part of the 3DX Website;
• Engage in any actions that shall compromise the security and integrity of the 3DX Website, such as: modification of 3DX Website’s
original security specifications as detailed in the Documentation, e.g., firewall; connection of the 3DX Website to other
environments, or modification of 3DX Website’s original connection specifications, e.g., port opening; installation of additional third
party products on the 3DX Website; and/or modification of database tables.
• Harm minors in any way;
• Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content uploaded through the 3DX Website;
• Upload, reproduce, post, display, license, sublicense or otherwise make available any content that (i) infringes or misappropriate
any patent, trademark, trade secret, copyright or other proprietary rights of any party, or (ii) contains software viruses or any other
computer code, files or programs designed to interrupt, destroy or limit the functionality of the 3DX Website or any computer
software or hardware or telecommunications equipment;
• Interfere with or disrupt the 3DX Website or servers or networks connected to the 3DX Website, or disobey any requirements,
procedures, policies or regulations of networks connected to the 3DX Website;
• Interfere with any other Users' use and enjoyment of all or part of the 3DX Website;
• Obtain or attempt to obtain unauthorized access to the 3DX Website, other accounts, any materials or information through hacking,
password mining or any means not intentionally made available through the 3DX Website;
• Modify, adapt or hack the 3DX Website or modify another website so as to falsely imply that it is associated with the 3DX Website;
• Insert hyperlinks in the content You post which You have not checked to ensure they comply with the abovementioned guidelines
or which may violate the Terms;
• Use the 3DX Website to promote, license, market or distribute Your own software, products and/or services;
• Access or use the 3DX Website for any purpose in violation of any antitrust laws or regulations including, without limitation, for the
purpose of entering into any agreement or concerted practice for the purpose of fixing prices, refusing to deliver to or boycotting
customers, portioning or dividing market share or customers, restricting customers’ access to products or services, or excluding
a competing firm from the market. User agrees to promptly inform 3DS of any activities in connection with the use of the 3DX
Website which may be in violation of this section or any applicable law or regulation.

4.2. Collaborative Rules for 3DSWYM. You will be able to use the social collaborative app 3DSWYM while using the 3DX Website.
3DSWYM enables Users to chat, exchange information and/or post a wide variety of content (hereinafter “Contribution”) through public,
private or secret communities (hereinafter “Communities”) as detailed in the Documentation.

When using 3DSWYM, You agree to comply with the following rules:
• Contributions must be solely intended to bring value to the related Community;
• Contributions must be of a strictly professional nature. Political, religious or sexual-linked posts, for example, are not accepted on
3DSWYM and neither is advertising;
• You are prohibited from uploading, reproducing, posting, displaying, licensing, sublicensing or otherwise making available any
Contribution that is offensive, inappropriate, unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar,
obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable or contrary to all
applicable laws and regulations (including but not limited to competition). Contribution that violates the rights of privacy or
publicity of any third party through, for example, the disclosure of personal information, is not authorized;
• You must not knowingly communicate information that is untrue or deceptive. You are also advised to use Your real name and be
clear about Your role.

You acknowledge that 3DS may access to, edit, remove, or disclose any Contribution if required to do so by law or by a public authority
and/or if such access, edition, removal or disclosure is reasonably necessary to (i) enforce the Terms, (ii) respond to claims that any
Contribution uploaded violates the rights of third parties, (iii) protect the rights, property or personal safety of 3DS or its Users in particular
where such Contribution may be considered (x) harmful to 3DS or its Users or (y) against 3DS corporate values or (z) against 3DS Code of
Business Conduct (which can be found at: https://www.3ds.com/about-3ds/ethics-and-compliance/).
You can report to 3DS any Contribution found inappropriate in a Community, by using “Report abuse” option made available within said
Community.
You also acknowledge that a business and ethics representative of 3DS may be a User of any Community and therefore can access to any
Contribution posted in these Communities in order to preserve compliance with standard business ethics, 3DS Code of Business Conduct
and any other applicable rules.

4.2.1. Use of Contributions posted on Communities

If You have joined a Community from 3DX Website, You agree to grant any User of such Community a right to use, print, download, reproduce
or display any Contributions on its own computer, other websites, social networks and Communities, as long as (i) each Contribution is
presented as part of the related Community and the proprietary notices are not removed, (ii) there is no commercial or for-profit use of the
related Contribution, (iii) there is no modification or adaptation of the related Contribution, (iv) there are no graphics of the related Contribution
that are used separately from the corresponding text.

You grant 3DS a worldwide, royalty-free, sub-licensable, transferable and non-exclusive right to use, copy, distribute, reproduce, modify,
translate and display any Contribution posted by You on any Community from the 3DX Website, for the purpose of the Community related
to this uploaded Contribution.

As an exception to the rights defined in the previous paragraph, if You post a Contribution or a portion of a Contribution (for example content
such as 3D files) in a Community that is subject to different terms of license (as provided by You while posting such Contribution), said
license terms clearly identified in the Contribution shall apply;

Except if a non-disclosure agreement is already in place and in effect between User and 3DS (in this case such non-disclosure agreement
shall apply only to the respect of the User’ Contributions), Contributions made on “IFWE Engage” and “IFWE Play” Communities shall be
considered as confidential: (i) for a period of 5 years from the disclosure date of the Contribution if such Contribution is not marked as
“confidential”, and (ii) for a period of 10 years from the disclosure date of the Contribution if such Contribution is marked as “confidential” by
3DS.

4.2.2 Warranties for Contributions

You understand that any Contribution You may post on Communities is of Your sole and unique responsibility.
You represent and warrant that You are the author of, or have the necessary rights to, the Contribution uploaded to any Community from
the 3DX Website and will continue to hold the necessary rights, including but not limited to all intellectual property rights in and to the
contribution to grant the rights thereby granted.

4.2.3 Indemnity for Contributions

You agree to defend, indemnify and hold 3DS, its subsidiaries, affiliates, officers, employees, agents, partners and licensors harmless arising
from any third party claim relating to any Contribution You submitted to any Community from the 3DX Website.

This indemnification obligation shall survive the termination of these Terms.

5. USER DATA

All User Data will remain the sole property of User that posted such User Data. User represents and warrants that it owns or otherwise
control all of the rights attached to User Data. User shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, and
appropriateness of and for obtaining any permission, in particular, copyright permissions, for its User Data.

User grants to 3DS a non-exclusive, royalty-free, perpetual, irrevocable and sublicensable license right to use, copy, store modify, adapt,
translate, publish and transmit User Data and have User Data used, copied, stored, modified, adapted, translated, published and transmitted
by DS Group Companies and 3DS subcontractors, to the extent reasonably necessary to provide, maintain improve and promote the
Communities and/or the 3DX Website and/or any 3DS software and services. User acknowledges and agrees that DS Group Company
employees and 3DS subcontractors may have access to User Data in connection with the performance of the Terms and/or of the 3DX
Website. User acknowledges and agrees that some User Data posted and/or stored on the 3DX Website are accessible by other users of
the 3DX Website.

User undertakes to make its best efforts in order to abstain from processing, storing or uploading any confidential information on the 3DX
Website.

6. INTELLECTUAL PROPERTY

Except for Contributions, all materials and contents of the 3DX Website, including without limitation the website design text, software in
object and source code (including applets), scripts, downloads, graphics, photos, interactive features, and the like and their selection and
arrangement, and the trademarks, trade names, trade dress, 3DX Website marks and logos contained therein are owned by or licensed to
3DS, and are subject to copyright and other intellectual property rights under all applicable laws. All rights not expressly granted to You are
reserved. User recognizes that the methodologies and techniques contained in or expressed within the 3DX Website are proprietary
information or trade secrets of 3DS or its suppliers, whether or not marked as “confidential”.

None of the above mentioned materials may be modified, reproduced, duplicated, copied, sold, resold, transmitted, published, licensed,
transferred, visited or otherwise exploited for any commercial purpose, stored in any other website, included in any public or private electronic
retrieval system or platform, redistributed or framed (or similar) without 3DS prior written permission or as expressly provided herein. You
may not make any derivative use of the above mentioned materials. You may not frame or utilize framing techniques to enclose any
trademark, logo, or other proprietary information (including images, text, page layout, or form) belonging to 3DS without 3DS prior express
written consent. You may not use any meta tags or any other “hidden text” utilizing 3DS name or trademarks without 3DS prior express
written consent.

Any unauthorized use terminates the permission or right granted by 3DS.

Intellectual property is important to Dassault Systèmes. 3DS will, in appropriate circumstances, terminate the access and use of the 3DX
Website by User(s) involved in disputes regarding intellectual property rights and remove or disable access to related content. If You have
reasons to believe that Your intellectual property rights have been infringed through a publication on the 3DX Website or on a Community,
please submit Your complaint to 3DS.Legal-IP@3ds.com clearly identifying the assets at stake.

7. 3DS WARRANTY AND LIMITATION OF LIABILITY

3DS reserves the right at any time to modify or discontinue, temporarily or permanently, the 3DX Website (or any part thereof) with or without
notice. You agree that 3DS shall not be liable to You or to any third party for any modification, suspension or discontinuance of the 3DX
Website.

THE 3DX WEBSITE IS MADE AVAILABLE ON AN "AS IS" BASIS, AND, TO THE EXTENT PERMITTED BY APPLICABLE LAW, WITHOUT
WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, INCLUDING, WITHOUT LIMITATION, ANY
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT.

3DS AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY
THAT (I) THE 3DX WEBSITE WILL MEET YOUR REQUIREMENTS; (II) THE 3DX WEBSITE WILL BE EFFICIENT, ACCURATE,
UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR AVAILABLE OR THAT ERRORS WILL BE CORRECTED; (III) THE
INFORMATION, DATA, CONTRIBUTION, AND MATERIALS THAT MAY BE OBTAINED FROM THE 3DX WEBSITE WILL BE ACCURATE
OR RELIABLE. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER EQUIPMENT
OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY CONTRIBUTION FROM THE 3DX WEBSITE.

TO THE MAXIMUM EXTENT PERMISSIBLE BY APPLICABLE LAW AND EXCEPTED WILLFUL MISCONDUCT AND/OR GROSS
NEGLIGENCE, 3DS AND ITS LICENSORS SHALL HAVE NO LIABILITY FOR DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR
PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION CLAIMS FOR LOST PROFITS, BUSINESS INTERRUPTION AND LOSS OF
DATA, THAT IN ANY WAY RELATE TO THESE TERMS OR DOCUMENTATION, WHETHER OR NOT 3DS HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY REMEDY.

USER'S USE OF THE 3DX WEBSITE SHALL BE AT USER'S SOLE RISK. USER SHALL INDEMNIFY AND HOLD 3DS, ITS
SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS HARMLESS FROM ANY AND ALL
LIABILITY OR EXPENSE, INCLUDING REASONABLE ATTORNEYS' FEES, ARISING FROM OR RELATING TO (I) USER’S USE OF THE
3DX WEBSITE IN VIOLATION OF APPLICABLE LAWS, REGULATIONS OR THE TERMS, AND/OR (II) ANY VIOLATION, INFRINGEMENT
OR MISAPPROPRIATION OF THE RIGHTS OF A THIRD PARTY RESULTING FROM THE USER DATA.

3DS SHALL HAVE NO FURTHER OBLIGATION TO PROVIDE ANY SERVICES OR DELIVER ANY SUPPORT OF THE 3DX WEBSITE.

8. LINKS

3DX Website may contain links to third-party websites, or resources or systems. You acknowledge and agree that 3DS is not responsible
and has no control over such third party websites nor does contribute to in any manner.

If You use these links, You will leave the 3DX Website. 3DS excludes all liability arising therefrom and does not endorse or make any
representations about them or any information, software or other products or materials found there, or any results that may be obtained by
using them. If You decide to access any third party websites linked to the 3DX Website, You do so entirely at Your own risk.

You may link to the 3DX Website and/or to Contribution(s) of the Communities subject to the following conditions:
• You do not remove, distort or otherwise alter the size or appearance of 3DS logos;
• You do not create a frame or any other browser or border environment around the 3DX Website;
• You do not in any way imply 3DS is endorsing any products or sites other than 3DS own products and sites;
• You do not misrepresent Your relationship with 3DS nor present any other false information about 3DS;
• You do not otherwise use any of 3DS trademarks displayed on the 3DX Website without 3DS prior express written permission;
• You do not link to a private or secret Community that would not allow You to do so;
• Your website does not contain content that (i) is distasteful, offensive or controversial towards 3DS or any third party, (ii) is
disparaging, libelous or defamatory or (iii) infringes any intellectual property rights or other rights of any other person or (iv) otherwise does
not comply with all applicable laws and regulations.

3DS expressly reserves the right to revoke the right granted in this clause for breach of these Terms and to take any action 3DS deems
appropriate. You shall fully indemnify 3DS, its subsidiaries, affiliates, officers, employees, agents, partners and licensors for any loss or
damage suffered by 3DS or any of 3DS group companies for breach of this clause.

9. DATA PRIVACY

Your personal data will be processed in accordance with the 3DS Privacy Policy that You have accepted while creating Your User account.

10. TERM AND TERMINATION

3DS may, under certain circumstances, at its own discretion and with or without prior written notice, immediately suspend or terminate Your
access to the 3DX Website. Cause for such suspension or termination shall include, but not be limited to (a) breaches or violations of the
Terms; (b) requests by law enforcement or other government agencies; (c) a request by You; (d) discontinuance or material modification to
the 3DX Website (or any part thereof); (e) unexpected technical or security issues or problems; (f) Your engagement in fraudulent or illegal
activities.
You agree that all terminations for cause shall be made in 3DS's sole discretion and that 3DS shall not be liable to You or any third party for
any termination of Your account, or access to the 3DX Website.

You may request to terminate the Terms by providing a written notice to 3DS.

Should You consider to terminate Your access to a secret or private Community then You are responsible for notifying 3DS and requesting
the deletion of Your access to this Community. Before termination of User access to a private or secret Community, User may request that
3DS delete or return all User Data to User, at 3DS’s choice, and delete all existing copies, except where applicable law requires retention of
such User Data or where such User Data is necessary for proof purposes during the applicable statute of limitation.

Upon termination of the Terms, User shall no longer have full access to the 3DX Website.

All assignments of rights to 3DS, warranty limitations, and liability limitations provided by the Terms will remain in effect after termination.

11. EXPORT

User’s access and use of the 3DX Website is subject to all applicable countries’ export and re-export laws and regulations. 3DS and its
licensors shall have no liability whatsoever towards User if such authorizations, licenses or approvals are not obtained. User shall not
transfer, either directly or indirectly, the right to use the 3DX Website when such transfer requires an export license or other governmental
approval without first obtaining such license or approval. User hereby certifies to 3DS that the 3DX Website will not be used in any nuclear,
chemical, biological, weapons or missile delivery systems and will not be diverted to any country, company or individual that is prohibited by
the applicable export laws of any country. User recognizes that User Data may be transferred to or stored in any country. User undertakes
to abstain from, and shall ensure all Users abstain from, processing, storing or uploading on its data sharing environment, while using the
3DX Website and/or Communities, any information or data, the export of which is controlled, regulated or subject to any permit or license
under any applicable law or regulation. User shall be deemed to be the exporter of User Data. 3DS may terminate this Agreement upon
prior notice if User violates these provisions.

12. MISCELLANEOUS

12.1. Transfer, Assignment and Subcontract. Any subcontract, assignment, delegation or other transfer (including without limitation, by
way of merger, acquisition, divestiture, or change of control or contribution in kind) of any of User’s rights, duties, benefits or obligations
hereunder is subject to 3DS’s prior written approval. Any attempt to do so without such consent is void. 3DS may assign, delegate,
subcontract or otherwise transfer any of its rights or obligations hereunder, in whole or in part, without User’s consent.

12.2. Notices. Notices shall be in writing, in English, and delivered through the “Conservations” module made available in the Community
concerned by the notice or via https://discover.3ds.com/3dexperience-industries-contact-sales for any other topics. The 3DS person to
contact via the “Conversations” module shall be the owner of said Community.

12.3. Update of the Terms. 3DS reserves the right to modify and/or update these Terms at any time subject to User acceptance on the
updated Terms. Such updated Terms become effective upon their publication on the 3DX Website and only after User’s acceptation. In case
where User disagrees with changes and/or updates in the Terms, a notice shall be sent to 3DS according to the conditions above provided.
12.4. Governing Law and Jurisdiction. The Terms shall in all respects be governed and construed in accordance with the laws of France
and any dispute arising out of or in connection with the use of the 3DX Website shall be brought before the exclusive jurisdiction of the
competent Courts of Paris.
