members, men and women, are to participate in board meetings, and board chairs should facilitate

meetings in ways that draw out the perspectives of all board directors, especially the quiet ones.

In a second place, we need transparency. Every good corporate governance requires that

records and processes are transparent and available to shareholders and stakeholders. Financial

records should not be inflated or exaggerated. They should be presented to shareholders and

stakeholders in ways that they can understand and interpret. Transparency means that stakeholders

should be informed of everything.


When it comes to accountability, we can say that this feature is a best practice in corporate

governance, just like in many other areas of business and social life. The board of directors is

responsible to the groups and individuals affected by its decisions, including its shareholders,

stakeholders, suppliers, employees, and the public. Transparency and the rule of law are closely

related to accountability.
