DEED OF ASSIGNMENT AND TRANSFER OF RIGHTS

 
KNOW ALL MEN BY THESE PRESENTS:
 
        This deed, made and entered into this ___ day of __________, 20__ at the
City of __________, by and between:
 
E, a cooperative duly registered and existing under the laws of the
Philippines, with registered address at Sampad, Cardona, Rizal,
hereinafter referred to as the "ASSIGNOR"
 
-and-
 
NAME, Filipino Citizen, of legal age, married to NAME OF
SPOUSE, with residence and postal address at ADDRESS,
hereinafter referred to as the "ASSIGNEE".
 
WITNESSETH that -
 
        WHEREAS, the ASSIGNOR is the awardee of Rights to Operate
Fishpen, registered with the Laguna Lake Development Authority (LLDA)
located at ______________________;
 
        WHEREAS, the ASSIGNOR has offered to assign all its rights, title and
interest over the operation of the fishpens, with the consideration to be paid
depending on the size of the fishpen as follows:

WHEREAS, the ASSIGNEE hereby accepts the assignment in

accordance with the terms herein set forth;
 
        NOW, THEREFORE, for and in consideration of the foregoing premises
and the sum of ______________________________________________________
(____________), PHILIPPINE CURRENCY, which the ASSIGNOR hereby
acknowledged to have received from the ASSIGNEE, the ASSIGNOR hereby
assigns, transfers and conveys unto the ASSIGNEE, all their rights, title and
interest pursuant to this Agreement and the ASSIGNEE by these presents
hereby accepts the assignment and agrees to be bound by its the terms and
conditions
