3 Startrek Logistics Private Limited The Express Company AGREEMENT FOR PICKUP & DELIVERY SERVICES ‘THIS AGREEMENT is made on the JAN 157, 2016, BETWEEN STARTREK LOGISTICS PRIVATE LIMITED, a Company incorporated under the Companies Act, 1956 and having its Registered Office at # 23/24, Thanavan, Infantry Road, (Next to Vijaya Bank) Bangalore-560001 (Hereinafter referred to as STARTREK ) AND mrttes. CJ RANCIS having its Office / Residence AT NO... AGATHIAS. STREET, —LAWSPET.,. ECR. PunueHeRRy - 6n5008, Union Tegaimoat. (hereinafter called the Contractor) and is represented by its proprietor/Partner/Birector MUKESH KUMAR MISHRA . Whereas: STARTREK is engaged in express domestic road transportation services of documents, parcels, freight, etc. from and to various destinations. The Contractor is available and willing to provide Pick-up and Delivery Services (as defined below) at the Locations (as defined below) upon the terms and conditions set out hereinafter. NOW IT IS HEREBY AGREED AS FOLLOWS: ENT. APPOIN’ STARTREK hereby agrees to use the Contractor on a non-exclusive basis to provide and perform the PUD Services as detailed in Schedule | to this agreement. However, the Contractor agrees to perform the PUD Services exclusively for STARTREK and agrees not to provide any of the Services as described in this Agreement to any person other than STARTREK. The consideration is factored in Schedule | in this Agreement shall be on the basis of this undertaking from the Contractor. This Agreement shall be deemed to be effective from 01.01.2016 and shall be in force and effect for a period of three years unless terminated earlier in accordance with this agreement. The Agreement may thereafter be renewed for further period and on such terms as mutually agreed Notwithstanding what is stated herein above, this Agreement shall, unless earlier terminated continue to be operative in full force and effect, even after the expiry of the tenure mentioned above, on a month to month basis until renewed or terminated by written notice. During such continuation of the Agreement the terms and conditions herein recorded shall be valid, subsisting and remain binding on the both the parties R THE PUD SERVICES The PUD Services to be provided by the Contractor by performing those obligations. set,put in al 42 44 46 47 Startrek Logistics Private Limited : The Express Company Schedule I. The Contractor shall perform the PUD Services diligently, efficiently arid shall at all times use a high degree of professional care in picking up and delivering each Consignment. The Contractor shall render services in accordance with the standards set out in Schedule |. THE CONTRACTOR'S OBLIGATIONS The Contractor shall strictly adhere to the Depot Operations Manual and Operational Procedures notified to the Contractor by STARTREK from time to time. The Contractor shall ensure that at all times during the continuance of this Agreement, it has sufficient trained staff and relevant equipment and infrastructure to enable it to provide the Services and all its personnel engaged in providing the Services shall at all times tender competent and courteous service The Contractor shall ensure that it complies with STARTREK's contractor training requirements and all its employees/sub-contractors/agents receive training in the provision of the PUD Services to the level required by STARTREK. The training shall be provided free of charge by STARTREK whilst the~ travel, lodging, incidental expehses .incurred by the Contractor in personally attending (or its staff attending) such training shall be borne by the Contractor. STARTREK shall specify to the Contractor its training requirements in writing after reviewing the current training of the Contractor or its employees and discussing its requirements with the Contractor. The parties agree that STARTREK's public image is vital to the success of the operations ‘contemplated by this Agreement. Accordingly, the Contractor agrees that all of it's personnel engaged in providing the PUD Services, shall at all times present a neat and clean appearance in a manner consistent with customer expectations and industry standards [including the wearing of any uniforms required by and approved by STARTREK for such personnel] and that they render sober and courteous service at all times. The Contractor shall comply at its own cost with all statutes, by-laws, regulations and requirements of any government or other competent authority in the Location relating to the operation and conduct of its PUD business, including obtaining and maintaining all necessary registrations, licence: permits to operate and conduct its business and perform the PUD Services and to operate the vehicles. The Contractor shall furnish to STARTREK proof of compliance with statutory registrations and remittances as and when called upon to furnish the same by STARTREK and shall indemnify STARTREK against any breach of its obligations. The Contractor shall be solely responsible for paying its own employees and any relevant taxes, pension contributions, social security, health and insurance contributions. The Contractor shall indemnify STARTREK against all claims made by such employees, sub-contractors and tax authorities in the Territory against STARTREK for payment of all sums due to any such employees ‘or unpaid taxes which have not been paid by the Contractor. The Contractor indemnifies and agrees to keep indemnified STARTREK against all suits, claims and demands arising out of non- compliance of statutory requirements/obligations, as may be applicable. (a) Should STARTREK be of the opinion that the Contractor is in breach of any of the provisions set out in this Agreement, STARTREK shall be entitled to give the Contractor written notice of this fact, such notice to set out details of the breach and the steps the Contractor needs to take to remedy the breach within 7 days failing which STARTREK shall Gar Rairline Worldwide Express 48 49 4.10 41 Startrek Logistics Private Limited The Express Company terminate the agreement with immediate effect. The Contractor agrees to secure and maintain insurance for those areas of exposure, set out in ‘Schedule | for the amounts set out in that Schedule. ‘The Contractor shall submit invoices as mentioned in Schedule 2 of this Agreement. The Contractor shall not be entitled to sub-contract its obligations under this Agreement unless STARTREK has given its prior written consent in writing. In the event of any labour unrest, the Contractor shall endeavor to make alternative arrangement for provision of the Services. If the Contractor fails to make alternative arrangement, it shall be liable to pay damages as may be determined by STARTREK. The Contractor shall be responsible for the maintenance of discipline among its personnel, The Contractor shall carry out periodic and surprise checks from time to time to ensure that the Contractor's personnel are diligent and efficient in performance of duties. The Contractor should register and record such checks with the official nominated by STARTREK from time to time, STARTREK from time to time and the Contractor may also carry such checks and its personnel shall execute the instructions and érders of the representatives of the STARTREK from time to time and shall diligently carry out the same to the entire satisfaction of STARTREK. The Contractor shall bear responsibility for all aspects of health and safety of its personnel engaged in the Services under this Agreement and undertakes to be responsible for and to indemnify and keep STARTREK indemnified from and against any and all loss damage or liability (whether criminal or civil) suffered and legal fees and costs incurred as a result of personal injury, including death or disease to its personnel whether or not the negligence or default of STARTREK has caused or contributed to such injury. STARTREK'S OBLIGATIONS STARTREK undertakes to hand over the Consignments to the Contractor destined for the PUD services. STARTREK shall. pay the-Contractor the Charges set out in Schedule 2 for providing the PUD Services in accordance with the invoicing and payment procedures set out therein STARTREK shall provide the Contractor with sufficient and relevant materials and supplies to tenable the Contractor to carry out its duties. The materials and supplies shall be provided free of charge unless otherwise agreed. LIABILITY, Subject to Clause 6.3, in the event that the Contractor fails to comply with its obligations under this Agreement in particular the provisions of Clause 3 & 4, STARTREK shall be entitled to claim from the Contractor the extra costs it has directly incurred in remedying the Contractor's failure to comply with its obligations. In the event that the Contractor's failure to comply with its obligations under this Agreement results in a Consignment being damaged or lost, the Contractor shall indemnify STARTREK the amount of compensation STARTREK has had to pay to the consignor or consignee of that Consignment 25 2 For Fairline 63 mW 72 Startrek Logistics Private Limited The Express Company result of the loss or damage. Neither party shall be liable to the other for any special, economic or consequential loss suffered by that party (including but not limited to loss of profits, loss of anticipated saving or loss of any opportunity) arising from any breach by the other party of its obligations and/or negligence in the ‘manner it has discharged or failed to discharge any of its obligations under this Agreement. SECURITY DEPOSIT The Contractor shall pay an amount --- to STARTREK within 10 days of the execution of this agreement, to be held by STARTREK as refundable deposit during the term of this agreement for the due performance of the Contractor's obligations and this agreement. This amount held as security deposit shall be repaid to the Contractor free of interest at the end of the period of this agreement after deduction of dues if any from the Contractor to STARTREK. STARTREK shall from time to time be at liberty to revise the security deposit amount required to the furnished by the Contractor and the Contractor undertakes to furnish additional deposit within one week of return intimation from STARTREK of the revised amount. STARTREK shall be at liberty to appropriate monies out the security deposit to reduce either in whole or part any amounts due from the Contractor to STARTREK including amounts determined to be due by STARTREK on account to breach by the Contractor of any obligations under this agreement including amounts as deemed appropriate by STARTREK to make good the loss or damage to any of STARTREK or its customer's assets. In such an event the Contractor shall promptly furnish fresh security deposit for the same amount as above. i CONFIDENTIALITY The parties shall keep confidential for the duration of this Agreement and 3 years thereafter and use only for the purposes of this Agreement all oral information and written materials received in confidence from the other about the disclosing party's business. Upon demand the reeipient will send to the disclosing party all such confidential information and materials and all copies thereof. This Clause shall survive termination of this Agreement for whatever reason. In particular the Contractor «cknowledges that STARTREK's clientele, whether based in or outside the Territory and prices charged to that client are business secrets belonging to STARTREK which it will not disclose to any third party directly or indirectly NON-SOLICITATION In consideration of being awarded this Agreement and being paid the Rates, the Contractor undertakes to STARTREK that it will not during this Agreement nor for a period of one thereafter on behalf of itself or any third party canvass by any means, seek or solicit any client of STARTREK within the PUD Zones for the purpose of obtaining pick-up or delivery business in or outside the PUD Zones from that client for itself or another party. FORCE MAJEURE Neither party shall be liable for any consequences of whatsoever nature arising from breach of this Agreement which is caused by an Act of God, or Government or regulatory authority, by fire, flood or storm, by war, riot or civil commotion, strikes or labour disputes or breakdown in or interruption in communications or by any other reason beyond the defaulting party's control: Jas ul is Startrek Logistics Private Limited The Express Company the event that for the above reasons the Contractor is unable to perform its obligations either in full or in part, STARTREK shall be entitled forthwith to suspend this Agreement for the length of the force majeure upon giving the Contractor written notice of this and appoint another sub- contractor in place of the Contractor. RECORDS AND REPORTS The Contractor will keep for the duration of this Agreement and for at least one year thereafter complete, accurate and up-to-date records and books of account, showing clearly and properly all transaction relating to this Agreement. The Contractor shall allow authorised officers or representatives or authorised external auditors of STARTREK to have access to its books and records in so far as they relate to this Agreement during normal business hours. The authorised officers or representatives of auditors shall have the right to verify all items of costs which the Contractor has claimed and the supporting documents thereof, and to take copies of extracts from the said records and books. TERMINATION This Agreement shall become operative on the date set out in clause 1.2 and shall continue until terminated in accordance with this Clause. This Agreem nt may be terminated: ‘a) upon STARTREK giving not less than 30 days written notice of termination to the Contractor without giving any reason for such termination; or 1b) forthwith by summary written notice from either party to the other if the other party shall become insolvent, bankruptcy or enters into liquidation or threatens to do so, or in the case of the Contractor, the Contractor is in fundamental breach of this Agreement, such breach being irreparable; <) by summary written notice from either party to the other if that other party is in breach of its obligations hereunder and has failed to remedy the breach after being given 7 days' written notice warning of such a breach and has been requested to remedy the breach. For purposes of this sub- Clause, the Contractor's failure to comply with the provisions of Clause 48 shall be grounds for entitling STARTREK to terminate this Agreement in accordance with that Clause PROVIDED THAT any such termination shall be without prejudice to any accrued rights or outstanding lability of any party against the other CONSEQUENCES OF TERMINATION In the event of termination of this Agreement for any reason; a) The Contractor shall carry out the obligations above in respect of any Consignments still in its possession at the date of termination; b) the Contractor shall render a final account to STARTREK of any outstanding amounts owing within 14 days and STARTREK shall pay the final account if agreed less any sums owed by the 16.1 16.2 16.3 164 16s, Startrek Logistics Private Limited The Express Company Contractor within 30 days of presentation of the final account; ©) Subject to Clause 12(b) above, neither party shall be entitled to any compensation whatsoever from the other as a result of the termination of this Agreement. NO PARTNERSHIP Nothing herein contained shall be construed to constitute the parties as partners nor to constitute one party as the agent of the other nor constitute an employer/employee relationship. STARTREK BUSINESS PRINCIPLES STARTREK believes that it has a responsibility to operate its business openly and honestly. guided by high ethical standards. STARTREK requires its Contractor's, agents, ‘sub-contractors, business associates and other business partners to observe the STARTREK Business Principles as per Startrek Website (www.Spoton.co.in). Accordingly, STARTREK expects the Contractor to share, adhere to and apply the STARTREK Business Principles in the Contractor's relationships and activities with STARTREK or with third parties on behalf of STARTREK and, more generally in the way the Contractor does business. The ‘Contractor hereby undertakes adherence to STARTREK— Business Principles and any violation thereof shall be considered a breach of this Agreement and shall be dealt with by STARTREK accordingly. . GENERAL This Agreement shall supersede any and all prior Agreements whether formal, informal oral or written between the parties hereto. ‘ . This Agreement shall not be amended except by an instrument in writing, signed by an authorised representative of STARTREK and the Contractor. The failure of either party to exercise or its delay in exercising any right, power, or privilege available to it hereunder shall not operate as a waiver thereof or preclude any other or further ‘exercise thereof or the exercise by that party of any other right, power or privilege hereunder. ‘Any notice required to be served hereunder shall be deemed to have been duly served if sent by and delivered to the address given above or sent by registered or recorded delivery post to the said address (or such other address as either party shall specify from time to time in writing) This Agreement may not be assigned by either party without the prior written permission of the other party except that STARTREK may assign its rights and obligations under this Agreement to another company within the STARTREK group provided that this company honours STARTREK's obligations hereunder to the Contractor and written notice of the assignment is given to the Contractor. 16.6 This Agreement shall be governed by and construed in accordance with the laws of India and the Courts of Bangalore shall have exclusive jurisdiction. This agreement supersedes all the previous agreement entered between STARTREK and the contractor. AAAPESG0SN By: By: GERANGIS ne Worldwidl Proprislor SCHEDULE | DELIVERY SERVICE OBLIGATIONS The Contractor shall provide adequate staff and specific vehicles as required by STARTREK to carry out the services from time to time. Checking all of the Inbound Consignments to ensure that they are undamaged and in good order. Transporting the Consignments shall include: checking and sorting by delivery route; delivering the Consignments with the appropriate vehicle as agreed to by STARTREK and ies customer. ensuring that the consignee or the person taking delivery on its behalf signs a delivery receipt record / Proof of Delivery: ensuring the delivery receipt records show in clear print the name of the signatory for the Consignment, the consignment note number, the number of items delivered, the date and time of delivery and any damage to the contents if any is observed (a POD); collecting customs duty in cash or demand draft on delivery (COD) from the consignee if ‘owed and instructed to do so by STARTREK In the event’ the Contractor cannot deliver any Consignment, the Contractor shall transfer, forward or return the Consignment as requested or authorised by STARTREK. Furnishing STARTREK with Proofs of Delivery ("POD") within the. time scales specified by STARTREK in writing or as set out in the Depot Operations Manual in accordance with the format set out below as evidence of performance and supplying any other information as STARTREK may reasonably request with 24 hours of being requested to verify performance of the delivery. Ensuring that should an event occur after any of the Inbound Consignments are fianded over to the Contractor, which makes delivery impossible or threatens to delay delivery within the agreed delivery performance times, the Contractor shall contact STARTREK immediately to report the event by fax or telephone to STARTREK and follow instructions given by STARTREK [and thereafter the contact shall be followed by an updated status report within 2 hours after the event]. \ . oe WORLDWIDE LxPregs Startrek Logistics Private Limited The Express Company 7. Complying strictly with the STARTREK's operational delivery requirements as set out in the current Depot Operations Manual,a copy of which is available for inspection at STARTREK's premises, 8 STARTREK shall be entitled to withhold payment for any delivery of the Consignment for which it has not received a POD in the time scale required by STARTREK and substantially in the form required by STARTREK, 9 The Contractor shall not deliver the consignments to consignee unless consignee pays the customs duty! Full Truck Consignment/ Variable Truck Consignment/ in eash or by Demand Draft already paid on behalf of consignee by STARTREK. The Contractor shall deposit the cash/cheque or Demand Draft collected from consignee in respect of customs duty at the office of STARTREK oft the same day and obtains acknowledgment from the designated official. In the event.the Contractor delivers the consignment without the collection of custom duty, it shall be liable to pay the custom duty to STARTREK B: PICK UP SERVICE OBLIGATIONS 1 The pick-up of the Outbound Consignments in the specified Location from STARTREK's customers. All pick-ips must be made at the designated time and place with the appropriate vehicle as communicated to the Contractor by.STARTREK and agreed by the parties. 2 Checking the Outbound Consignment to ensure that it is undamaged and in good order. In the event that the Contractor notices the Outbound Consignment has been daniaged or is insufficiently packed, the Contractor shall ensure that such consignment notes are marked "damaged" or “insufficiently packed" or words to that effect. 3 Ensuring that the consignor or its representative completes and signs the consignment note attached to the Outbound Consignment and/or any other relevant documentation including any required commercial invoice. 4 Ensuring that any consignment note attached to the Outbound Consignment is correctly completed, the required number of copies of the consignment note is attached and the consignors and consignee's name and address are clearly stated in legible writing on the consignment note. 5 Ensuring that the Outbound Consignment is packed in a manner adequate to withstand the ordinary risks of loss, escape or damage that exist in international carriage having regard to its nature. 6. ‘Checking the Outbound Consignment is correctly labelled, the value declared and, that the Contents are correctly identified so far as the Contractor is able to tell. 7, Checking the contents of the Outbound Consignment, if the Outbound Consignment is from an ‘Ad Hoc customer in accordance with the Unknown Shipper Security Procedures as set out in the Depot Operations Manual. 8 Complying strictly with STARTREK's operational pick up requirements as set out in STARTREK's current Depot Operations Manual a copy of which is available for inspection at STARTREK's premises, Complying with such other pick up obligations in respect of the Outbound Consignments which oss” 2. 10. Startrek Logistics Private Limited The Express Company are specifically agreed in writing by the parties after the commencement of this Agreement as being the responsibilty of the Contractor. ADDITIONAL OBLIGATIONS APPLICABLE TO PUD SERVICES The Contractor shall use its designated vehicle in the correct livery specified by STARTREK when performing the PUD Services in particular the Contractor shall afix or apply to its vehicle such signs or any other form of advertisements in a manner as may be required and approved by STARTREK and shall Not remove them from the vehicle until requested to do so by STARTREK. : The cost of affixing and removing the signs and advertisements shall be paid for by STARTREK. All vehicles shall be kept clean and in good working order at all times. Any damage incurred to the vehicle shall be repaired within 7 days of the damage arising regardless of whether the damage is minor (e.g. dents) or substantial damage. The Contractor shall provide a replacement vehicle at its own expense. The Contractor shall be responsible for ensuring that it has valid vehicle licence to operate the vehicle at all times, and has a current drivers licence which permits him to drive or ride the vehicle, and that such authorised driver and any nominated relief drivers are the only drivers of the vehicle. The Contractor shall permit STARTREK’s authorised representatives to inspect the exterior and interior of its vehicles at any time without having to give prior notice of such an inspection. The Contractor shall be responsible for securing and maintaining at its own expense insurance coverage as required for its business purposes including Cargo Liability Insurance, Airside Liability Coverage, Motor Vehicle Third Party Liability insurance, Worker's Compénsation dnsurance, as applicable. The Contractor shall in addition to the reports: referred to in sections A and B file the operational reports and all necessary paperwork stipulated by STARTREK within the time scales specified. ‘The Contractor shall ensure that all its vehicles carry all identification and security cards specified by STARTREK while performing the PUD Services. The Contractor shall act.towards STARTREK's customers and other road users professionally and courteously at all times in particular the Contractor shall avoid any altercations (“road rage") with other road users even though the other road user may be at fault The Contractor shall be responsible for providing at its own expense an appropriately trained relief driver to cover for the Contractor when the designated driver is on holiday or is ill or any other periods of absence agreed with STARTREK. The Contractor warrants that the drivers employed shall be capable and safe drivers, and suitable for performing the tasks set out in this Agreement. In the event that STARTREK is of the opinion that the Contractor, or any drivers it may employ or provide, are incapable or unsafe drivers and/or Lunsuitable for performing the tasks set out in this Agreement, STARTREK shall be entitled to terminate this Agreement in accordance with Clause !2(c) if the Contractor is an individual and has failed to improve within the stated 7 days warning period. In the event that a driver is an employee, or a sub- contractor of the Contractor, STARTREK may demand that the person is replaced by the Contractor, whereupon the Contractor shall find a replacement driver as soon as possible and in any event no later than 48 hours after STARTREK has demanded that the relevant unsuitable driver be replaced. : : “or Fairline Worldwide Exgress 12, 12, a) b) °) d) °) ‘would be deducted from the payment or would be on hold tll the outstanding is cleared Startrek Logistics Private Limited The Express Company Contractor shall be responsible for safe transportation of the goods carried in the Vehicle and shall ensure that the same is protected from loss/ damage on account of any cause including theft, pilferage and weather conditions. The Contractor shall be responsible to maintain : a) Pickup Time to be compulsorily captured in the Consignment notes by STARTREK PUD Contractor at the Customer premises. b) Pickups made by PUD Contractor with improper/incomplete documents, a penalty of 10% of con freight amount to be imposed on PUD Contractor. ) Reasons given by the PUD Contractor for Shipments not delivered if found incorrect then 10% of the con freight amount to be deducted from the PUD Contractor. 4d) All delivered FTC shipments Cash\Cheque must be deposited latest by the next day morning by the PUD Contractor. ©) PUD contractors must ensure to get clean POD from consignee or else if found with any remarks dy consignee, then the commission for that particular con would be forfeited. f) 100 % timely delivery updations through Mobile should be made, if not done a penalty of Rs. 100 to be imposed. 8) PUD Contractors must compulsorily deploy and move shipments through closed vehicles only. h) PUD Contractors must report to Office in a Formal Dress & Shoe & also well-shaved, and no ‘one can be allowed inside the office in sleepers. i) PUD Contractors to report in STARTREK SCs by 8 aim. or as requested by the SC Incharge Furthermore, itis expressly agreed between the parties that The Contractor shall pay Rs. S00/- per day as liquidated damages if it falls to pickup and deliver the Consignments on any day (s) for any reason. The Contractor shall pay Rs. 250/-'per consignment as liquidated damages for late delivery of any cons'gnment. ‘The Contractor shall reimburse the amount as per STARTREK'S liability, in the event of any wrong delivery/ loss! pilferage or damage of any consignment.
