1. Objective of the Course


This course is designed to provide the student with knowledge of the legal environment in which
consumers and businesses operate, and to provide the student with knowledge of legal principles. Specific
course objectives are as follows:
 Define and describe the legal system and the legal environment of business.
 Define contract law.
 Analyze sales contracts.
 Investigate commercial paper and negotiable instruments.
 Define and classify negotiable instruments and understand their activities.
 Describe agency, partnership and company law.
 Recognize laws associated with different business organizations including corporations and
partnerships.
 Comprehend the necessity of ethics in business and adopt it in business.

5. (a) Law of partnership: Elements, rights and Liabilities of partners.
(b) Reconstruction of partnership, Dissolution of partnership.
8. (a) Company Law: Concept and nature of company.
(b) Formation of a company.
(c) Board of directors, shareholders, minority protection, winding up.
(d) Winding up of a company.
3. (a) Negotiable instruments: Nature, various types of negotiable instruments.
(b) Notes, bills and cheque.
4. Law of Insolvency: Objects, who can and cannot be adjudged insolvency proceeding.
5. (a) Business Ethics: Definition, Business Ethics and Law.
(b) Corporate Social Responsibility.
