- Scope of work: Assist the customer supplied labor with the installation. Does not
include moving equipment and/or necessary lag bolts. Customer is responsible for

- Scope of work: Provide guidance during start-up phase of the project. Assist the
customer in getting the equipment running and fine tuning for customer product.
Assist in any unforeseen issues that arise during this phase. Achieve final sign-off
from customer.

DELIVERY AND START UP:


1. LEAD TIME, STANDARD
Approximately 8 months from receipt of purchase order and/or approval of this quotation,
and the receipt of the agreed deposit.

3. START-UP SERVICE
When possible, system components are shipped as shop-assembled items on skids, requiring a
minimum of field installation time. Due to shipping constraints or potential damage during shipment,
certain items such as (but not limited too) fans, motor-drives, stack or overhang frames
and pumps will be shipped loose for field mounting by the customer or, our technician
depending of what the agreement states.

Standard Terms & Conditions

A) PRICES: Prices quoted are F.O.B. J.C. Ford Company (hereafter referred to as JCF) factory in La Habra, CA. USA. Prices quoted are valid for sixty-days
from the date of this proposal. Domestic packaging will be at no extra charge. Export shipments requiring other than domestic packaging and handling will
be charged at extra cost. All prices are US dollars. Any changes or modifications of the equipment necessitated by actual operating conditions different than
those as a basis for this quotation or any changes requested by customer before or during the design or manufacturing the equipment may result in a price
adjustment.
B) TAXES: Prices quoted do not include federal, state, local, sales, use, excise, or similar taxes. Purchaser agrees to pay in addition to the prices quoted the
amount of any present or future taxes unless the purchaser provides JCF with a tax exemption certificate acceptable to the taxing authorities.
C) ACCEPTANCE: No contract exists until accepted and acknowledged in writing by JCF.
D) DELIVERY: Unless otherwise stated delivery is F.O.B. JCF Factory. Shipping dates are approximate and are based on receipt of all necessary information
from purchaser. Purchaser shall pay all domestic and export freight and handling costs. All common carrier shipments will be sent from the factory freight
collect.
E) LOSS, DAMAGE OR DELAY
caused by fire, strike, civil or military authority, wrecks or delays in transportations, car shortages, insurrection, riots, acts of God, war, federal, state or local
governmental laws, regulations or restrictions or inability due to causes beyond its control to obtain necessary labor, materials, components or manufacturing
facilities. Risk of factory loss shall pass to purchaser when the equipment is loaded on carrier or overseas container at JCF factory.
F) SECURITY INTEREST (TITLE): A security interest in and title to the equipment sold hereunder shall remain in JCF and such equipment shall remain their

G) PAYMENT TERMS: Payments shall be due in US dollars, according to terms on invoice. Orders shall be accompanied with a 50% down payment to start
construction of the order and the final 50% is due prior to shipping the order from JCF. International sales shall be by irrevocable and confirmed letter of
credit drawn on a prime us bank or by bank transfer. If buyer does not take delivery, for reasons not caused by JCF on date indicated on page 3 of this
contract, buyer agrees to pay seller amount due on schedule shipment date. If payment is not made, seller will charge interest rate of 1 1/2% per month until
payment is made. Buyer may also be liable for storage fees on equipment until shipment is made.
H) RISK OF LOSS AND TRANSPORTATION CLAIMS nsibility for loss of damage to the equipment ceases upon

examined carefully before freight bill or

I) RETENTION WITHOUT PAYING: The equipment to be delivered hereunder shall be deemed finally inspected and accepted within 30 days after receipt
thereof by purchaser, unless written notice of claim is given to JCF within that time.
J) CANCELLATIONS, ALTERATIONS AND RETURNS: Cancellation by purc
alterations or modifications thereto) must be made in writing and is subject to payment of reasonable charges based upon expenses already incurred and
commitments made by JCF which since difficult to ascertain, shall be deemed to be 10% of the purchase price of such equipment. Order for non-standard or
modified equipment is non-cancelable after date of acknowledgment of such orders by JCF. Any alterations of an order for equipment to be delivered
hereunder after date of acceptance is subject to a reasonable charge as determined by JCF. No equipment or parts may be returned for credit to JCF without
prior written approval. A restocking charge and if necessary a reconditioning charge will be accessed by JCF. All returns must be freight prepaid.
K) LOSSES: Except as provided herein JCF shall have no liability or responsibility to customer or any other person or entity with respect to liability, loss or
damage caused or alleged to be caused directly or indirectly by equipment supplied, sold or leased by JCF in no event will seller be liable for loss of profits or
any indirect special or consequential damages out of breach of this warranty or in any manner arising out of or connected with the sale, lease, use or
anticipated use of equipment supplied or proposed to be supplied by JCF.
L) WARRANTY: JCF warrants its equipment to be delivered hereunder to be free from defects in material and/or workmanship for a period of 1 year from the
date of shipment, and further warrants that:
1. JCF will replace free of charge, any defective parts within 30 days of shipment, F.O.B. buyer's shop (domestic) or F.O.B. port of entry
(international), using transportation of our choice. JCF will not be responsible for any import taxes or duties imposed by other governments or
governmental agencies. Shop or field labor in incurred during this period, will be absorbed by JCF.
2. Beyond the 30-day period and until 1 year from date of shipment, warranty will apply to repairing or exchanging any part, which in our judgment
shows evidence of defect in material and/or workmanship, if claimed defective. Transportation charges prepaid, provided, however, that the
purchaser shall be responsible for all transportation and labor charges relating to removal and installation of any replacement or defective part.
Parts replaced or exchanged during this period will be charged to the purchaser on a pro-rata basis of a new part sales price. A credit will be
granted to the purchaser for the unused portion of the warranty period.
3. In case of emergency replacements or repairs before the parts are examined for defectiveness by JCF, such parts and freight will be invoiced to
the purchaser at established list prices. Proper credit will be issued if the material or parts are found to be defective.
4. This warranty does not cover perishable parts which were out from normal use, or parts that are damaged or broken in use or service, or claims
arising because of failure to follow operating or maintenance instructions and procedures.
5. Parts, which have been damaged, abused, or worn from extended use, will be repairers or replaced at our option, at factory-established rates.
6. All equipment or components manufactured by JCF vendors will be subject to the warranty policy of said vendors and be exclusive.
7. Upon the expiration of the warranty period, or in the event the equipment is subjected to misuse, abuse, negligence, alteration, accident, improper
repair, or is operated contrary to JCF printed instructions all liability of JCF shall cease.
The foregoing warranty is exclusive and in lieu of all other warranties, except title and description, whether written, oral or implied.

B) TECHNICAL SERVICES

by the purchaser at his location, services of a qualified representative are available at a per diem fee plus the cost of normal expenses.
C) INSTRUCTIONS: Each machine unit is supplied with a printed or mimeographed parts list, wiring diagram, operation and maintenance instructions data
sheet.

D) ELECTRIC AND PLUMBING WORK: The purchaser will be responsible for the cost of any and all electrical, gas, and all other plumbing work required
to operate the equipment at his facility.

E) GENERAL

1. JCF reserves the right to terminate construction of the equipment hereunder without expense to the purchaser, or without recourse to the seller,

2. JCF reserves the right to make any changes in the design of the equipment without notice and without incurring any modifications on products
previously or subsequently sold.

3. Any assignment of this order any rights hereunder by purchaser without written consent from JCF shall be void. The provisions of any contract
resulting from this quotation are for the benefit of the parties hereto and not for any other person.

4. No waiver, alteration or modification of any of the provisions hereof shall be binding unless in writing and signed by a duly authorized executive
of JCF.
5. There are no understandings, agreements or representations, express or implied, not specified herein respecting this sale and this instrument
constitutes the entire agreement between us. This sale may not be modified except in writing signed by both JCF and purchaser or their duly
signed agents.

6. In the event of breach or repudiation by JCF purchaser shall not be entitled to consequential damages or damages for loss of use.
7. The laws of California shall govern the transaction described herein.
8. No agent, salesman or distributor has any authority to obligate JCF to any terms, stipulations or conditions not herein expressed.

9. Purchaser shall advise JCF immediately of any terms and conditions which purchaser does not assent to as a term or condition of this sale.
10. Any clerical errors are subject to correction and must be brought to the attention of JCF as soon as suspected.

JCF will develop equipment layouts when requested by customer for the purpose of equipment location, motor location, and utilities location for equipment
supplied by JCF (charges for this service if any will be agreed upon by seller and buyer prior to execution of this contract).
