Instructions and information:

 Answer all questions from Section A and any 2 (two) from Section B.
 Only if you have missed any one of your Midterm Exams, you are required to
answer all 5 (five) questions from Section B. Please specify which 3 (three) you are
answering as your Midterm substitute. The 3 (three) questions comprising of 15
marks will be converted to 25 marks.

Section A [20 marks]

Answer any one of the following questions:
1. Mr. Ali is interested to buy shares in a public limited company. As his friend, what
are the things you would suggest him to look into, in the prospectus? (10)
2. Maisha worked in Rahman & Associates for as long as nineteen years. If she leaves
her job now, how much service benefit is she going to be entitled to? What if she is
asked to leave due to misconduct? (5+5)

Section B [10 marks]

Answer any four of the following questions:

3. List and write briefly on the kinds of leaves an employee is at liberty to enjoy in
accordance to the Labour Act, 2006. (5)

4. Mention five differences of a public company, from a private one. (5)

5. Explain the concept of ‘separate legal entity’ of Square Toiletries Ltd. in your own
words. (5)

6. What are Banglalink’s civil and criminal liabilities in case it publishes a misstatement
in the Prospectus? (5)

7. When would a court only supervise a winding-up process? (5)
