UTB Talent Management Line Producer - Work For Hire Agreement for COOKSTER November 4", 2020 UTB Talent Management Timothy Beal 100 Wilshire Blvd, Suite 1800 + Santa Monica, CA, 90401 (818) 259-8375 Re: fork For for COOKSTER ~ Line Producer Agreement This letter, when duly countersigned by Timothy Beal ~ CEO, UTB Talent Management ("Manager"), doing business at 100 Wilshire Blvd, Suite 1800 , Santa Monica CA, 90401, US and TDD FILMS LTD ("Producer"), residing at Office 6, 13-15 Preston Street, Fleetwood, Lancashire FY7 6D, UK, shall constitute the essential terms of our Line Producer Work For Hire Agreement ("Agreement") with respect to the Screenplay presently entitled "COOKSTER' (the "Property") as follows: Property and Rights ‘TDD FILMS LTD is the intellectual property rights holder /owner of the original chain of title for the project presently entitled "COOKSTER’ (The Devil's Dandruff’s Prequel), written by JoAnn Hess and Jason Cook. The Intellectual property rights holder who controls the intellectual property and is the rightful owner and proprietary owner of the intellectual property agrees to the following deal points: a) The parties will pay UTB Talent Management a total of US$3,000 (three thousand dollars) with a fifty percent deposit of US$1,500 (one thousand and five hundred dollars) for UTB Talent Management to contract with one of his clients who is an accredited and bondable line producer to create the Line Budget and Scheduling for the aforementioned feature film presently entitled "COOKSTER”.b) ) d) e) The Parties also understand that the balance of US$1,500 (one thousand and five hundred dollars) will be paid to UTB Talent Management after the first draft of the Line Budget is delivered for the aforementioned Feature Film within 7 days after the delivery. Timothy Beal will share with the intellectual property rights holder of the aforementioned film entitled "COOKSTER” as to whom the Line Producer is upon the parties signing the NDNC/ Facilitator Fee Agreement which they are currently in possession of. The Parties and Production compan /olved in this project are of the understanding that they are not to contact any clients or contacts of UTB Talent Management {D/8/A} without prior expressed written permission by UTB Talent Management {0/8/A} not only on this film/project but all future projects as well or any business transaction. If any of the parties circumvent UTB Talent Management with any clients or contacts UTB Talent Management introduces to the parties involved in this project, the circumventing party will pay a sixty thousand dollar fine to UTE Talent Management for each occurrence without exception. The Intellectual property rights holder/ Producer of this project also understands that UTB Talent Management's Line Producer will also be hired to be the official Line Producer for the aforementioned project entitled "COOKSTER”, provided Timothy Beal secures the financing for the project. The Line Producer's salary for working on the film will be negotiated separately from the fee in which the Line Producer is paid for creating the line budget for this project. On the other hand, Timothy Beal of UTB Talent Management will pay a sixty thousand dollar fine to Producer or intellectual property rights holder of project if he circumvents either party with contacts they have introduced to Timothy Beal. The Line Producer will create the above the line and below the line production budget, DOOD scheduling, shooting schedule as well as the contingency and Rebate incorporated into the budget. Once paid, the Line Producer will also be available for any revisions of the production budget without further compensation from the Line Producers fee for creating the original Line Production budget which is separate of the Line Producer's salary for working as the Production’s Line Producer on the film entitled "COOKSTER”.g) UTB Talent Management and the Line Producer warrant that the work and the Line Budget and ‘Scheduling produced by the Line Producer will be wholly original and will not infringe the copyright or any other rights of any third party; and will not infringe the copyright or any other rights of any third party and will not (whether by way of inflection or otherwise) breach any contract or duty of confidence. This Agreement is completed and shall not be changed or altered without prior expressed written * permission of any party in this Agreement and of the General consensus agreed upon by All parties involved in this Agreement.
