How to Audition. Eligible Participants are asked to submit a videotaped audition


(containing both video and audio) performing “On Your Way Home” from James
and the Giant Peach accompanied by the provided mp3 in either electronic or
DVD format (the methods of delivery are discussed below). Prior to performing,
Participant shall state his/her full name and address on the recording and if
submitting a DVD, label the same on the DVD cover for identification purposes.

Participant’s performance, the Audition Application, and the Liability and

James and the Giant Peach Recording Casting Call
Official Rules

1. General Description. Tony-nominated songwriters Justin Paul and Benj Pasek and book writer Timothy Allen
McDonald , the creative team behind the musical James and the Giant Peach (“JATGP”), are launching a nationwide
search to cast a young actor as James (“Participant”) for the musical’s official album which will be recorded May 12
and May 13 in New York City. Seeking boys with unchanged voices and excellent singing and acting skills. Online and
DVD submissions will be received by iTheatrics who will run the casting call.

Participants and their parent or legal guardian will be required to review and consent to a liability and publicity
releases (“Release”) and may be required to review and consent to other documents and agreements or provide
other authorizations, assignments, releases, grants, indemnifications, consents or waivers in connection with the
auditions (“Auditions”), and if selected, the JATGP recording. iTheatrics reserves the right to request proof of age,
residency and proof of parenthood or guardianship, in the form of valid, government issued
identification/documentation or school iD, and a participant will be disqualified if iTheatrics, in its sole and exclusive
discretion, finds that such proof is unsatisfactory.

2. Eligibility. To participate in the Auditions, you must satisfy each of the following eligibility requirements:

a. You must be a legal resident of the fifty (50) United States or the District of Columbia.
b. You must be accompanied to the recording sessions, if selected, by a parent or legal guardian.
c. The Release must be signed by you and your parent or legal guardian.
d. You must not be bound by any contracts or agreements that conflict with your performing on the recording,
appearing in JATGP related advertising, publications and other materials (if applicable), or granting the
rights contained in the Release.

By participating in the Auditions and/or the JATGP recording (collectively, the “Event”), you and your parent or
guardian agree to be videotaped, audiotaped, recorded, filmed and/or photographed at any time during the Event
including, but not limited to, any time while present at the Event. You and they understand and agree that your
performances and appearances in connection with the Event may be further used, edited, altered, copied,
reproduced, licensed, sold, rented, disclosed, displayed, published, performed, distributed, exhibited, broadcast,
webcast, or otherwise exploited by iTheatrics or its designees, in whole or in part in any format and/or manner now
known or hereafter developed, whether commercial or noncommercial in nature, including without limitation, via
the Internet, for any purpose whatsoever, without further compensation to, or authorization by, you or them. If you
and/or your family members or guardians do not wish to be videotaped, audiotaped, recorded, filmed and/or
photographed, or do not agree with these Official Rules, you may not attend the Event. You and/or their attendance
at the Event will be conclusively deemed to be a waiver of any and all claims for invasion of privacy, defamation and
all other related claims.

3. How to Audition. Eligible Participants are asked to submit a videotaped audition (containing both video and audio)
of Participant individually performing “On Your Way Home” from James and the Giant Peach accompanied by the
provided mp3 in either electronic or DVD format (the methods of delivery are discussed below). Prior to performing,
Participant shall state his/her full name and address on the recording and if submitting a DVD, label the same on the
DVD cover for identification purposes. Such video audition shall be unedited and the performance (both video and
audio) must be of the Participant only.

DVD Submissions: To enter a DVD Submission, send one (1) DVD containing Participant’s performance, the Audition
Form, and the Liability and Publicity Release via secured delivery (e.g., FedEx, UPS) to the following address (the

All submissions (whether dvd or electronic) must be received by iTheatrics by 5:00pm on Friday, April 25, 2014.

Limit one (1) Submission per person. iTheatrics will only consider entrant’s first Submission received, regardless or
whether a DVD or electronic Submission. If additional Submissions are received from any one person or unique email
address they will be deleted and disregarded. Incomplete entries and those that iTheatrics in its sole discretion
determines do not meet the requirements of these Official Rules will be disqualified.

Submissions submitted will not be returned to the Participant. iTheatrics is not responsible for late, lost, damaged,
misdirected, undelivered, insufficient postage, stolen, or misappropriated entries.

All eligible Submissions received will be reviewed by iTheatrics who will determine those who receive a call-back.

All eligible Submissions will be reviewed by iTheatrics who will select Participants for call-back audition
considerations. iTheatrics, at a later date, will contact, via telephone or electronic mail, select individuals who made
eligible Submissions to participate in the call-back. The call-back will consist of a second submitted video audition
with details to be determined solely by iTheatrics.

4. JAGTP Recording. The Finalist will receive an honorarium (amount TBD), round-trip transportation to New York City
and housing for himself and his parent or guardian. Recording sessions will take place on May 12-13, 2014

5. Ownership and Publicity Rights. By participating in the Event, the Participant waives any moral rights in the Event
and assigns all other rights, title and interest including, but not limited to, copyrights in and to the Event to
iTheatrics. By submitting the DVD audition, Participant assigns its ownership and copyright in and to the
performance to iTheatrics. Each Participant acknowledges and agrees that iTheatrics owns his Event and shall have
the exclusive, unrestricted, perpetual, royalty-free, worldwide, freely-assignable and irrevocable right to use, edit,
alter, copy, reproduce, license, sell, rent, disclose, display, publish, prepare derivative works from, perform,
distribute, exhibit, broadcast, or otherwise exploit the performance, in whole or in part, in any form, media or
technology, now known or hereafter developed, including, without limitation, print media, broadcast television,
radio and the Internet, for any purpose whatsoever, including, but not limited to, advertising, promotion,
entertainment and commercial purposes, without any payment to, or further authorization by, the Participant.
Although iTheatrics has such exclusive rights of ownership, iTheatrics is not obligated to exercise these rights.

Each Participant further agrees that iTheatrics has the exclusive, unrestricted, perpetual, royalty-free, worldwide,
freely assignable and irrevocable right, but not the obligation, to use Participant’s name, address, photograph,
picture, likeness, moving image (including, but not limited to, any videotape, photograph, recording or film taken by
iTheatrics of the Participant during the Event), voice, biographical material, personal information, and any speaking,
posing, singing, musical, acting and/or other performance on Participant’s part, whether in their original form, or as
altered, edited, lifted or reproduced by iTheatrics, its subsidiaries, affiliates and agents, in perpetuity throughout the
world, whether in connection with the Event or not, in any and all media (including, but not limited to, print media,
broadcast television, radio and the Internet) now existing or hereafter discovered or developed, for any and all
purposes (including, but not limited to, advertising, promotion, entertainment and commercial purposes), without
additional consideration to, or further authorization by, the Participant.

6. Limitation of Liability. By auditioning, each Participant agrees (i) to release iTheatrics, the Audition judges, and their
affiliates, subsidiaries, parent companies, shareholders, agents, officers, directors, employees, volunteers,
representatives, assigns and all others associated with the Event (collectively with iTheatrics, “the Releasees”), from
any and all liability arising in any way from the Event and the Releasees’ review and use of the Participant’s

performance, or any parts thereof, including, without limitation, liability for any costs, fees, expenses, injuries,
losses, harm, damage of any kind whatsoever, death, personal injury, property damage (including, but not limited to,
liability for any items belonging to Participants that are lost, damaged or stolen at the Event), liability to any other
persons, including, without limitation, liability arising from any claim relating to the breach or alleged breach of the
representations and warranties each Participant is making in connection with his/her performance, and liability by
virtue of any blurring, distortion, alteration, or optical illusion that may occur in connection with the exercise of
iTheatrics’ rights, whether intentional or otherwise; (ii) to indemnify the Releasees from any and all liability arising in
any way from third party claims relating to his/her actions during the Event including, but not limited to, third party
claims relating to the representation and warranties Participant is making in connection with the Event; and (iii) that
the Releasees are not liable for any similarities between Participant’s performance and future iTheatrics products,
publications or programs.

7. General Terms and Conditions. By auditioning, each Participant agrees to be bound by these Official Rules and the
decisions of iTheatrics, which shall be final and binding. No Participant shall be considered an employee or
independent contractor of iTheatrics. No responsibility will be assumed for lost, late, stolen, illegible, incomplete,
damaged, misdirected, misplaced or mutilated Event materials. iTheatrics and its respective agencies, affiliates and
representatives are not responsible for lost, interrupted or unavailable network, server, telephone, broadcast or
other connections, miscommunications, failed telephone, broadcast or computer hardware or software
transmissions or technical failures, incomplete, delayed or garbled transmissions or other errors or problems of any
kind, whether mechanical, electronic, human or otherwise, relating to the Event.

The Official Rules are subject to change without notice, and iTheatrics reserves the right, in its sole and exclusive
discretion, to amend or modify the Official Rules at any time and for any reason.

LIABILITY AND PUBLICITY RELEASE

In full and complete consideration of iTheatrics authorizing me to participate in the audition process (the “Auditions”), and possibly selecting me to
perform as James on the concept recording of James and the Giant Peach (“JATGP”) during the recording sessions on May 12 and May 13, 2014 in
New York City (collectively referred to as the “Event”), I hereby acknowledge that I have reviewed and consent to the Official Rules and the terms
of this Liability and Publicity Release (“Release”) as follows:

I. Control of Event: I acknowledge and agree that: (1) iTheatrics shall have full and complete control and authority over all aspects of
the Auditions and the JATGP recording in its sole discretion; (2) iTheatrics will have the absolute right to determine, in its sole
discretion, whether or not I am selected to perform on the recording.

II. Rights Granted: I grant iTheatrics (and grant iTheatrics the right to grant to others), as well as its successors and assigns (collectively,
the “iTheatrics Parties”), in perpetuity, the irrevocable right (but not the obligation), with or without my knowledge, to film, tape,
photograph, record, exhibit, edit, alter, copy, reproduce, license, sell, rent, disclose, display, publish, distribute, broadcast, webcast,
prepare derivative works from or otherwise preserve, use and/or exploit in any format and/or manner now known or hereafter
developed, whether commercial or non-commercial in nature (collectively, the “Use and Materials”): (1) my participation in the
Auditions and/or my appearance at and/or participation, if any, at the James recording; (2) my name, likeness, signature, voice, and
singing voice in connection with my appearance at and/or participation in the Auditions and/or US Open. I agree that iTheatrics shall
have the right to the Use and Materials, for its own account, throughout the universe and in perpetuity.

III. Ownership Rights: By participating in the Event, I waive any moral rights in the Event and assign all other rights, title and interest
including, but not limited to, copyrights in and to the Event to iTheatrics. I acknowledge and agree that iTheatrics is the sole owner
of all Use and Materials from and/or related to, associated with or developed in connection with the Event and shall retain all rights
for itself and its successors, assigns, and licensees, throughout the universe and in perpetuity, to use the same and any portion
thereof in any manner now known or hereafter developed, including but not limited to all media (including, without limitation, print
media, television, radio and the Internet), for any purpose whatsoever, including, but not limited to, advertising, promotion,
merchandising, entertainment or commercial purposes.

IV. Parental Consent: I acknowledge and agree, that as a condition of my participation in the Auditions, iTheatrics will require me and
my parents or legal guardian to sign this Release.

V. Release/Wavier: I, for myself and on behalf of my heirs and successors, hereby release, discharge, and hold harmless iTheatrics, the
James recording, their respective assignees, licensees, agents, and affiliates and each of their related parent companies, subsidiaries
and/or affiliated companies, and the officers, directors, employees, volunteers, agents and representatives of each of the foregoing
(collectively, the “Released Parties”), from any and all liability or claims including personal injury, death, loss or damages of any kind
arising out of or in any way resulting from: (1) my participation in the Event; and (2) the use or reuse of my appearance, name, voice,
singing voice, conversation and/or sounds. I agree not to make any claim against iTheatrics or the Released Parties as a result of my
participation in the Event or in connection with any use or reuse of my appearance, name, voice, and/or singing voice. In addition, I
agree to indemnify iTheatrics and the other Released Parties and to hold each of them harmless from and against any and all
liability, claim, action, damage, expense (including reasonable attorneys’ fees), and loss of any kind caused by or arising out of any
statement, action or failure to act by me during or in connection with my participation in the Event. In no event shall I have any right
to injunctive or other equitable relief against iTheatrics or any of the Released Parties in connection with the Event.

VI. Other: The validity, interpretation and legal effect of this Release shall be governed by the laws of the State of New York applicable
to agreements executed and fully performed within New York. The terms of this Release shall be binding upon my heirs, legal
representatives and me and shall survive the termination of my participation in the Event. I understand and agree that the
provisions hereof shall continue in perpetuity. Nothing in this Release shall be construed as a guarantee of participation in the Event.
I recognize that iTheatrics is relying on my representations herein and that a breach by me hereunder would cause iTheatrics
irrevocable injury and damage that cannot be reasonably or adequately compensated by damages in an action at law; and,
therefore, I hereby expressly agree that iTheatrics shall be entitled to injunctive and other equitable relief to prevent and/or cure
any breach or threatened breach of this Release by me.

participation and/or the participation of the Minor in the Event, if any.
