INTRODUCTION OF COMPENSATION MANAGEMENT

AND BENEFITS

Compensation Management is an integral part of the management of the

organization. Compensation is a systematic approach to providing monetary
value to employees in exchange for work performed. Compensation may
achieve several purposes assisting in recruitment, job performance, and job
satisfaction. To be effective, the managers must appreciate the value of
competitive pay, their human resources, and have an investment view of
payroll costs. It is of prime importance for an organization to maintain pay
levels that attract and retain quality employees while recognizing the need to
manage payroll costs.

The literal meaning of compensation is to counter-balance. In the case of

human resource management, compensation is referred to as money and other
Benefits received by an employee for providing services to his employer.

money and various benefits, which may be associated with employee's service
to the employer like provident fund, gratuity, insurance scheme and any other
payment which the employee receives or benefits he enjoys in lieu of such
payment.

The TATA Indica, India's first indigenously designed and manufactured car,
was launched by TATA MOTORS in 1999 as part of its ongoing effort
towards giving India transport solutions that were designed for Indian

through a series of initiatives in effluence and emission control. The
company introduced emission control engines in its vehicles in India before
the norm was made statutory. All its products meet required emission
standards in the relevant geographies. Modern effluent treatment facilities,
soil and water conservation programmers and tree plantation drives on a
large scale at its plant locations contribute to the protection of the
environment and the creation of green belts.

The Passenger Car division Of TATA
The Passenger Car division was born out of a vision to offer the Indian
customer all the comfort of a big car, at the price of a small car. The Indica was
formally launched in 1998 & has rewritten the rules of the Indian car industry
ever since then. The latest addition to the TATA MOTORS family after the
launch of Indigo which is designed to deliver never-before levels in luxury,
safety, power and comfort on Indian roads is the New Indica V2. Refreshingly
different, with a sporty new look, stylish interiors, and more. The Indigo Marina
story started two years back with the launch of the luxury sedan from TATA
MOTORS, the TATA Indigo. There were however, a select group of people
who wanted everything that came with the Indigo plus a little more space. So,
we developed the Indigo Marina. A car that has the luxury of a sedan and the
utility and convenience of a multi-utility vehicle. A car that does not
compromise on power, safety and luxury. A car that has enough space to carry
everyone and everything you've ever loved, right by your side, on every drive.

TATA In the News

On September 27, when Ratan Naval TATA rang the opening bell at the New
York Stock Exchange (NYSE), history was being created. The first ever
Indian automobile company TATA MOTORS was listed at the US bourse.
In some ways, it was also a vindication of the TATA group chairman’s
personal faith in the car company. In the mid to late nineties when he pinned
his hopes on the Indica-the first truly indigenous car—the group chairman
came in for personal flak as sales did not quite come upto expectation.

Today, the Indica is at the vanguard of the automobile revolution that has
gripped the Indian roads. But why the listing at the NYSE? In some ways, it
was a listing with a difference. While the usual reason for a listing in the
NYSE is fund raising, it was a different one in the case of TATA MOTORS.
Not a single dollar was raised from the listing as it was done by the
conversion of its existing international Global Depository Shares (GDSs)
into American Depository Shares (ADSs).

TATA MOTORS wanted to impart liquidity to illiquid scrip. The idea is

perhaps to improve valuations ahead of a future fund raising exercise.
Speaking on the occasion of the listing, Mr. TATA stated, "It is a great
privilege for us to be listed on the New York Stock Exchange, and we hope
it will provide our overseas investors with greater opportunities to enhance
their interest in the company. We are confident that the company will benefit
from the capital market access that this listing provides, and from the
adoption of the comprehensive corporate governance standards."

Subsequent to the NYSE listing, the GDS listing on the Luxembourg Stock
Exchange would stand suspended.

1
Changing profile

The listing in some ways mirrors the style adopted in the company during the
last few years. From a predominantly, heavy & commercial vehicle
manufacturer, TATA MOTORS has metamorphosed into the second largest
car manufacturer after Maruti Udyog. TATA MOTORS is the second
company in the group after telecom company Videsh Sanchar Nigam Ltd
(VSNL) to be listed on NYSE. The NYSE listing is another major
development in the TATA Group, coming close on the heels of the biggest
ever initial public offer — Rs 5,414.50 crore — by software company TATA
Consultancy Services.

As on date, there are 23.1 million outstanding ADSs, each representing one
underlying ordinary share of the company. The ADSs in aggregate represent
6.4 per cent of the paid-up share capital of the company. The ADSs are
fungible with the ordinary shares of the company upto the current
permissible limits of 15.1 per cent of the company’s paid-up capital. The
company’s shares are listed on the BSE and the National Stock Exchange
(NSE), and are included in the Nifty index of the NSE and the BSE’s 30
Sensex. TATA MOTORS has a market capitalisation of around Rs 15,000
crore (approximately $3.3 billion).

"The NYSE listing plan will give TATA MOTORS a global image which it can
leverage if it, decides to go for a subsequent round of fund raising," said an
analyst tracking the auto industry.

Global ambitions

TATA MOTORS became the seventh Indian company listed at the New York
Stock Exchange last week. Among the Indian companies listed at the stock
exchange with a total market capitalisation of over $ 33 billion are Infosys,

1
VSNL, MTNL, Wipro, Satyam and ICICI. TATA MOTORS listing also
comes at a time when it has charted out an ambitious expansion plan of Rs
5,180 crore. The company which at one time was staid and conservative is
now displaying a new found appetite for mergers and acquisitions.

In March 2004, TATA MOTORS acquired Daewoo Commercial Vehicle Co.

Ltd. of South Korea (now named TATA Daewoo Commercial Vehicle Co
Ltd (TDCV). TDCV manufactures heavy commercial vehicles with a gross
combined weight ranging from 15 to 45 metric tonnes in cargo, mixers,
dump truck and tractor applications as well as some special purpose vehicles
with engines ranging from 215HP to 400HP. TDCV sold 29 vehicles in
fiscal 2004 subsequent to the acquisition of TDCV in late March 2004.

A senior company official in TATA MOTORS said, "We also continue to

evaluate other merger and acquisition opportunities and plan to make
additional mergers or acquisitions in the future if suitable opportunities
arise." The Daewoo acquisition is a part of the TATA strategy of
diversifying risks by going overseas. Further, in this case the manufacturing
facilities in South Korea will be closer to the South East Asian markets
where they sell the products.

The other sign of the global thrust has been the tie up with MG Rover of the
UK. The company supplies a modified version of the Indica to the UK
company, which is then sold under the City Rover brand name. TATA
MOTORS will ship around a lakh units of the Indica over five years period.
There have been rumors of rift between TATA MOTORS and Rover with a
Rover team recently coming down to Mumbai. These have been assiduously
denied by both sides which say that they are now only working towards
improving the package.

1
What now?

What next for TATA MOTORS? It is already the largest commercial vehicle
manufacturer and the second largest manufacturer of cars and utility vehicles
in India in terms of fiscal 2004 units sold. Further it has chalked out an
ambitious expansion plan of Rs 5,180 crore over the next three years. This
comes on the back of an investment of Rs 780 crore in the last three years.
The first big revolution in the car industry was the introduction of the Maruti
800 in the eighties. The second happened in the late nineties when the Indian
roads saw the influx of MNC automobile companies. TATA MOTORS
played its part in the second revolution through the introduction of the first
indigenously developed car — The Indica. Can it now shape the third
revolution by the introduction of the Rs 1 lakh car which has been Ratan
TATA’s publicly stated dream. That is one question for which a billion
Indians are waiting for an answer.

Spanish bus and coach manufacturer, with an option to acquire the remaining
stake as well. Hispano's presence is being expanded in other markets. In
2006, it formed a joint venture with the Brazil-based Marco polo, a global
leader in body-building for buses and coaches to manufacture fully-built
buses and coaches for India and select international markets. In 2006, Tata
Motors entered into joint venture with Thonburi Automotive Assembly Plant
Company of Thailand to manufacture and market the company's pickup
vehicles in Thailand. The new plant of Tata Motors (Thailand) has begun

1
The foundation of the company's growth over the last 50 years is a deep
understanding of economic stimuli and customer needs, and the ability to
translate them into customer-desired offerings through leading edge R&D.
With over 2,000 engineers and scientists, the company's Engineering
Research Centre, established in 1966, has enabled pioneering technologies
and products. The company today has R&D centers’ in Pune, Jamshedpur,
Lucknow, in India, and in South Korea, Spain, and the UK. It was Tata
Motors, which developed the first indigenously developed Light Commercial
Vehicle, India’s first Sports Utility Vehicle and, in 1998, the Tata Indica,
India's first fully indigenous passenger car. Within two years of launch, Tata
Indica became India’s largest selling car in its segment. In 2005, Tata Motors
created a new

segment by launching the Tata Ace, India's first indigenously developed

mini-truck.

In January 2008, Tata Motors unveiled its People's Car, the Tata Nano,
which India and the world have been looking forward to. The Tata Nano has
been subsequently launched, as planned, in India in March 2009. A
development, which signifies a first for the global automobile industry, the
Nano brings the comfort and safety of a car within the reach of thousands of
families. The standard version has been priced at Rs.100,000 (excluding VAT
and transportation cost).

Designed with a family in mind, it has a roomy passenger compartment

with generous leg space and head room. It can comfortably seat four persons.
Its mono-volume design will set a new benchmark among small cars. Its
safety performance exceeds regulatory requirements in India. Its tailpipe
emission performance too exceeds regulatory requirements. In terms of
overall pollutants, it has a lower pollution level than two-wheelers being

1
manufactured in India today. The lean design strategy has helped minimize
weight, which helps maximize performance per unit of energy consumed and
delivers high fuel efficiency. The high fuel efficiency also ensures that the car
has low carbon dioxide emissions, thereby providing the twin benefits of an
affordable transportation solution with a low carbon footprint.

In May 2009, Tata Motors introduced ushered in a new era in the Indian
automobile industry, in keeping with its pioneering tradition, by unveiling its
new range of world standard trucks. In their power, speed, carrying capacity,
operating economy and trims, they will introduce new benchmarks in India
and match the best in the world in performance at a lower life-cycle cost.

In June 2009, the exciting new range of premium luxury vehicles from
Jaguar and Land Rover were introduced for the Indian market. These include
the Jaguar XF, XFR and XKR and Land Rover Discovery 3, Range Rover
Sport and Range Rover.

The years to come will see the introduction of several other innovative
vehicles, all rooted in emerging customer needs. Besides product
development, R&D is also focusing on environment-friendly technologies in
emissions and alternative fuels.

Through its subsidiaries, the company is engaged in engineering and

automotive solutions, construction equipment manufacturing, automotive

vehicle components manufacturing and supply chain activities, machine tools
and factory automation solutions, high-precision tooling and plastic and
electronic components for automotive and computer applications, and

community development, serving rural communities adjacent to its
manufacturing locations. With the foundation of its rich heritage, Tata Motors
today is etching a refulgent future.
