 GENERAL TERMS AND CONDITIONS OF SALE OF TELERGON S.A.U.
1. General
The following General Terms and Conditions of Sale
shall apply to all commercial sales made by
TELERGON, S.A.U. (Hereinafter TELERGON). Any
other Conditions than those contained herein shall not
apply unless expressly accepted in writing. These
Conditions shall apply to all deliveries of goods
performed by TELERGON with the express exclusion
of any General Terms and Conditions of Purchase of the
Customer. All technical information or otherwise
contained in our catalogues and price lists are
indicative, so TELERGON reserves the right to make
any changes it deems appropriate without previous
notice.
2. Orders
Orders shall not be binding on the parties unless
TELERGON has confirmed in writing its acceptance,
considering the entry into force of the contract of sale
ever since. The acceptance will confirm the price and
the estimated date of delivery to the Customer. Any
modification of an order by the Customer after the
acceptance thereof by TELERGON will require a
written acceptance by TELERGON, which may include
amendments to the price and the estimated delivery
date. No modification shall be binding for TELERGON
if not expressly accepted in writing. The cancellation of
an order by the Customer after the entry into force of
the contract, entitles TELERGON to opt between the
enforcement and the resolution of the contract, in both
cases with the right to compensation for damages. In the
lattercase, the customer will bear the transportation
costs incurred. In case of cancellation of a special
product request (on demand), the Customer shall bear
the cost of the components already manufactured or in
process of production.
3. Price and Payment
Sales prices are the current rate retail prices, excluding
VAT, at the time of order and placing merchandise in
our warehouse in Zaragoza, including non-returnable
packaging standard. The current price may be changed
at any time by giving notice fifteen days in advance.
The payment terms will be defined in each order, taking
into account the provisions of Law 3/2004 of December
29 and 15/2010 of July 5, applicable to laying down
measures in order to fightlate payment in commercial
transactions. In case of delay in payment, all bank
charges and interest will be paid by the Customer. No
postponements will be accepted.
Certificates of Origin will be paid by the Customer.
Price of Certificate of Origin (managed by the Chamber
of Commerce of Zaragoza) is 40 €. For orders above
5.000 € net, cost will be borne by TELERGON.
Legalization charges in order to comply with custom
regulations and inspections in the country of destination
and payment guarantee (for example Letters of Credit)
will be borne by the Customer. Legalization of invoices
(managed by the Chamber of Commerce of Zaragoza)
costs 40 €.
For invoices less than 600 €, TELERGON will charge
35 € net as participation in handling and management of
order. This participation does not include any transport
costs which will be borne by Customer.
As a result of the agreement of TELERGON with a risk
insurance company, TELERGON is obliged to inform
of any non-payment aroused from the sales contract.
4. Force Majeure / Casualty Case
In the event that any of the parties is rendered unable to
carry out its obligations under the commercial sales
agreement by reasons of Force Majeure, its obligations
shall be suspended for as long as the cause of Force
Majeure remains. The party claiming benefit of force
majeure shall promptly inform the other party of such
event, indicating how its performance is affected, as
well as the new compliance schedule once disappeared.
The termination of the contract in the event of a
long-term suspension of the contract for reasons of force
majeure shall require the agreement of the parties set
out in writing. Customer may not claim force majeure
and / or unforeseeable circumstances to delay its
obligation to pay the goods and / or services.
5. Delivery
The estimated delivery time will be the one established
by TELERGON in its acceptance (order
acknowledgement). TELERGON will notify the
Customer of any change in the delivery date and its
reasons. Delivery time are merely indicative,
conditioned to the availability of materials at the time of
confirmation of order, and are intended for delivery in
our warehouse ready for shipment. The Customer is not
entitled to any compensation for late delivery, except in
the event that the delay is without a reasonable

9. Billing / Payment

detail the order number, the units shipped, the unit price

10. Receipt of goods
The Customer is obliged to receive the purchased
goods, even in case of partial deliveries. If the customer
refuses the receipt of goods, TELERGON will be
entitled to enforce or terminate the contract by
constituting a legal deposit of the products in the first
case, with compensation for the damages caused in both
cases. The same legal deposit may be constituted by
TELERGON if the customer delays to take over the
products. Expenditures arising from the deposit as well
as those transport costs incurred by the Customer’s
refusal to receive the goods shall be borne by it. The
legal deposit may be replaced, with the same effects, for
the storage of the products in TELERGON’s facilities.
11. Returns
No returns will be accepted without the prior written
consent of the Commercial Department of TELERGON.
Refunds shall be made within 60 days from delivery of
products. If the return is motivated by reasons
attributable to transportation, the impact must be
documented alongside with the proof of the delivery
extended by the carrier. Unless expressly agreed
otherwise, the acceptance of a return is conditioned to
the prepaid return of the products in perfect original
standard condition included in the tariff in force (not
accepted in case of special design products). The return
must be accompanied by the original invoice and
TELERGON’s document authorizing the return.
Returns of material will undergo a minimum of 10
demerit euro plus 10% of the net invoiced value due to
inspection & re-packaging charges. This minimum
value may be increased depending on the condition of
the goods received.
12. Defects / Warranty
Products supplied by TELERGON are warranted for a
period of 2 years against any manufacturing defect.
TELERGON’s guarantee is limited to the repair or
replacement of the defective goods in the shortest
possible time. This warranty does not cover the abuse or
improper use by the user according to the technical
instructions included in the sale by TELERGON,
according to the current legislation, or their tampering
or misuse. This warranty does not reach in any way
third parties, being only applicable to the Customer.
13. Retention of property
The products not fully paid in, whether or not in
possession of the customer, remain the property of
TELERGON, not acquiring the customer its ownership
until having materialized the full payment thereof. The
