Contract

This contract (the “Contract”) is made on this 1.1.2021 between Kaung Htet Kyaw (NRC:
12/MaYaKa(N)183969) (the “Player”) and Genesis Esports (the “Organization”), collectively the
“Parties”.

I. Acknowledgement

Both Parties acknowledge the terms of the Contract and shall comply.

II. Term of contract

The period of the Contract shall be 6 months which begins on 1 January 2021 and ends on 31 December
2021.

III. Payment

a. The total payment of the Contract shall be 500,000 Lakhs MMK.


b. Payment shall be made on monthly basis at the end of each month.

IV. Bonus Payment

In the case where the tournament prize has been won,

a. The Player shall, together with other players of the team, enjoy 70% of the tournament
prize.
b. The Organization shall enjoy 30% of the tournament prize.

V. Sponsorship

In the case of a brand ambassador sponsorship

a. If the sponsorship was granted to an individual player, such individual player shall enjoy
50% of the sponsorship amount.
In the case of a sponsorship other than in the form of brand ambassador, only the Organization shall
enjoy 100% of such sponsorship.
VI. Leaves and Holidays

The Player is entitled to enjoy one holiday in a week.

VII. Terms and Conditions of the Contract

The Player shall abide by the following terms and conditions of the Contract.

a. The Player shall not work on a different social media page either of his/her own or of
others during the contracting months with the Organization.
b. The Player shall not involve directly in any matter including but not limited to
sponsorship and has to inform the Organization regarding such matter.
c. The Player shall agree the fact that the Organization has the right to decide any matter
including but not limited to sponsorship.
d. The Player shall unconditionally enter into one-year contract with the Organization after
the end of period of the Contract if the Organization desires to. In such case, the
Organization shall inform one month prior and certain terms of such one-year contract
may be negotiated.
e. The Player shall follow the daily and weekly schedule provided by the Organization and
shall not alter or change the schedule on his/her own accord.
f. Any matter regarding the daily and weekly schedule shall be discussed with the manager
from the Organization and shall be decided by the Organization after due discussion.
g. Drinking is strictly prohibited for the Player during the period of stay in the camp.
h. Any physical fight is strictly prohibited for the Player during the period of stay in the
camp.
i. The use of illegal substance is strictly prohibited for the Player during the period of stay
in the camp.
j. If the player break the Contract, they must obey the decision of the organization.
k. The player will not be allowed involving and posting any politics and Religion in their
social Media.

VIII. Exclusivity Agreement

The Player agrees not to work or enter into contract with other association, company, agency or any
legal entity that provide services of any sort which has similar nature as to the Organization during the
contracting months with the Organization.
IX. Personal Release Agreement
a. The Player grants the Organization to the right to use his/her image and name in all forms
and media including composite or modified representations for all purposes, including
advertising, trade, or any commercial purpose throughout the world and in perpetuity
b. The Player waives the right to inspect or approve versions of his/her image used for
publication or the written copy that may be used in connection with the images.
c. The Player releases the Organization and the Organization’s assigns, licensees, and
successors from any claims that may arise regarding the use of his/her image, including
any claims of defamation, invasion of privacy, or infringement of moral rights, rights of
publicity, or copyright.

X. Copyright

The Organization shall own the copyright of any uploaded media during the contracting months with the
Organization.

XI. Penalty

a. In the case of the breach of term as provided in paragraph VII (g), the Player shall receive
warning for the first time of such breach. For the second time of such breach, the Player shall
pay a penalty fees equivalent to half of monthly salary. For the third time of such breach, the
Player shall be entitled to pay 120 Lakhs MMK as a penalty fee and in addition, the Contract
shall be void.
b. In the case of the breach of term as provided in paragraph VII (h), the Player shall pay a
penalty fees equivalent to half of monthly salary for the first time of such breach. For the
second time of such breach, the Player shall be entitled to pay 5 times the amount of the total
payment as provided in paragraph III (a) of the Contract as a penalty fee and in addition, the
Contract shall be void.
c. In the case of the breach of term as provided in paragraph VII (i), the Player shall be entitled
to pay 5 times the amount of the total payment as provided in paragraph III (a) of the
Contract as a penalty fee and the Contract shall be void. In addition, he shall be reported to
relevant police station for such offence of using illegal substance.
d. In the breach of any other terms of the Contract, other than the terms in paragraph VII (g), (h)
and (i), by the Player, he shall be entitled to pay 5 times the amount of the total payment as
provided in paragraph III (a) of the Contract as a penalty fee. In addition, the Contract shall
be void.
XII. Confidentiality

The Parties agree and acknowledge that content in this Contract, and any oral or written materials
exchanged among the Parties regarding the matter of this Contract shall be deemed as confidential
information. All confidential information thereof shall be maintained confidential and shall not be
disclosed or reproduced in any manner whatsoever to any third parties without the written consent of
the either of the Parties.

XIII. Termination

The Player may at any time terminate this Contract by giving not less than one month of written notice
to the Organization.
