“ASSET PURCHASE AGREEMENT”

By and between
Evans Capital LLC and Imagine Inc.

SECTION I

DEFINITIONS

“Agreement” has the meaning of the Asset Purchase by and between Evans Capital LLC
and Imagine Inc.

“Asset” means any real, personal, mixed, tangible or intangible property of any nature,
as per SECTION III, ARTICLE 3.1 of the present Agreement

“Closing date” has the meaning as of May 4, 2021.

“Dollars or $” means the lawful currency of the United States

SECTION II
Parties

This ASSET PURCHASE AGREEMENT (this “Agreement”), dated as of May 4, 2021, is


made between Evans Capital LLC, a California company (hereinafter the “Buyer”), and
Imagine Inc., a local California company (hereinafter the “Seller”) and, collectively with
the Buyer, the “Parties”.

a. The Buyer: Evans Capital LLC, a company duly incorporated under the laws of the
State of California, represented by Mr. Daniel Evans, as indicated in the
Certificate of Good Standing and Incumbency, with a mailing address of Street 6
number 7, city of California.
b. The Seller: Imagine Inc., a company duly incorporated under the laws of the State
of California, represented by Mrs. Julia Adams, as indicated in the Certificate of
Good Standing and Incumbency, with a mailing address of Street 9 number 12,
city of California.
SECTION III

OBJECT

ARTICLE 3.1. Assets. Imagine Inc. (the Seller) shall sell the following sole assets agreed
in to Evans Capital LLC, valued at a price of $1,00,000:
(i) a laboratory located in 27 SW 27-97, Chico, California, including Cash Assets,
prepayments, deposits, escrows, Accounts Receivable, Tangible Property, Real Property,
Software, Contract Rights, and Intangible Property involved in the operations developed
in such location.
(ii) a warehouse located in 65NW 24-94, Santa Monica, California, including Cash
Assets, prepayments, deposits, escrows, Accounts Receivable, Tangible Property, Real
Property, Software, Contract Rights, and Intangible Property involved in the operations
developed in such location; and
(iii) an office located in 77SE 26-97, office 007, Building A, San Francisco, California,
including Cash Assets, prepayments, deposits, escrows, Accounts Receivable, Tangible
Property, Real Property, Software, Contract Rights, and Intangible Property involved in
the operations developed in such location.

SECTION IV

PURCHASE AND SALE

ARTICLE 4.1. Purchase Price. The purchase price that Capital LLC (the Buyer) shall pay for
the Purchased Assets (the “Purchase Price”) to Imagine Inc (the Seller) is of $1,000,000 US
dollars.

ARTICLE 4.2. Payments. The Buyer will pay at the closing date, may 4, 2021, the full
price ($1,000,000) of the assets. Payment that shall be done to Ms Julia Adams, Imagine
Inc. sole shareholder and legal representative, to Bank Account Number. 645-747-977,
Bank of America, before 6:00 P.M. of the established date.

ARTICLE 4.3. Currency. All payments regarding the ASSET PURCHASE AGREEMENT
are made in US dollars.
