NON-DISCLOSURE AGREEMENT (NDA)

This Non-disclosure Agreement (the “Agreement”) is entered into, by and
between, BRAND EMPOWER PVT. LTD. with its Corporate office at 71/7A, 2nd
FLOOR, RAMA ROAD INDUSTRIAL AREA, KIRTI NAGAR, NEW DELHI-
110015 (“Disclosing Party”) and AIRGO ACADEMY AMRITSAR
located at GLOBAL TOWER, OPPOSITE KHALSA COLLEGE , AMRITSAR .
(“Receiving Party”) for the purpose of preventing the unauthorized disclosure of
Confidential Information as defined below. The parties agree to enter into a
confidential relationship with respect to the disclosure of certain proprietary and
confidential information (“Confidential Information”) and agree to safeguard
any and all information pertaining to the terms and conditions related
to Global Excellence Awards Convention 2019 as agreed upon between
the two parties including officers and employees of both parties, and
that the same will not be disclosed to any third party by either of the
two parties to this agreement.

I agree to the terms of this NDA as mentioned above and will adhere to the
same. I understand that in case of breach by either party, the other party has the
right to pursue appropriate legal measures for compensation of any monetary
losses and/or loss of reputation. I also agree that our nomination for the Global
Excellence Awards will also be considered to be withdrawn/cancelled if the terms
above are breached by us for any reason and we will have no claim whatsoever
on the award or participation in the Global Excellence Awards ceremony or any
refunds. I agree that in case of any disputes, the same will be subject to
arbitration under the Arbitration and Conciliation Act, 1996, and the venue of
Arbitration shall be New Delhi and that the arbitrator for the proceedings shall be
appointed by Brand Empower Pvt. Ltd.

BASIC COPYRIGHT GUIDELINES

What is permissible?

● Winners who pay for the basic Copyright Charges are allowed to use
Brand Empower Pvt. Ltd. & Global Excellence Awards Brand Name and
Award Logos, Award Title, Award Certificate and Event Pictures only as
following:
o Inclusion in official website, stationery, presentations, brochure
o Inclusion in advertising (web, print and outdoor) and
promotional campaigns (road shows, canopy activity,
exhibitions etc.) Day/Time of advertising in electronic media
(TV Channels) must be informed to Brand Empower Pvt. Ltd. at
least 24 hours in advance.
o Inclusion in PR material (press releases and background
material) to be shared with media and reported in print,
electronic and/or online media.
o The winner is responsible for usage of only the correct Award
Title. The year of winning the award has to be mentioned in all
advertising and PR material.
o It is requested but is in no way compulsory, that a scanned
copy of any paid advertisements or media coverage published
in newspapers, magazines and any other print media is
intimated through an email to Brand Empower Pvt. Ltd. &
Global Excellence Awards. Your help in this regard will be
greatly appreciated.

What is not permissible?

● Brand Empower Pvt. Ltd. & Global Excellence Awards Brand Name and
SYMBOLS like Award Logos, Award Title, Award Certificate and Event
Pictures are copyright properties of Brand Empower Pvt. Ltd. and shall not
be used on any product packaging or material.

● Further, no photograph or drawing that includes a reproduction of any

such copyright symbols, may be used on, as part of, or affixed to any
item/product that's sold to the public.
● No change in the fonts, graphics used in the Award Logos and Certificate
is to be made. Size of the logos may be adjusted as per the Aspect Ratio
but color may only be used as provided.

2. I have read, understood and agree to abide by the Terms & Conditions applicable to
my participation including the Non-Disclosure, Copyrights and Advertising Regulations
that are also available on the official website and may be updated from time to time.
3. I understand that payments made to Brand Empower Pvt. Ltd. are towards
Promotional Plan(s) I have opted for and the Limited Copyright License for commercial
usage of intellectual properties, including but not limited to logos, pictures, videos etc.,
related to the Brand Empower Pvt. Ltd. Award ceremony or those belonging to Brand
Empower Pvt. Ltd.
4. I understand that the Limited Copyright License is granted only for a period of 12
months from the date of award ceremony. After this period, I agree to use the award title
(only exact and full text) with clear mention of the year of award, if and when and
wherever the award is mentioned in our official documents, website etc.
5. I agree not to disclose, publicize or issue any advertisement or press information
before the award ceremony to announce the said award.
6. I agree to use only the correct/exact award category in all advertisements and official
communication material and promise to take full liability for any disputes arising out of
any misuse of the award or award title.
7. I understand that the Awards are ONLY to be referred to as "Global Excellence
Awards." No other name or description is to be used, online or offline, on any kind of
promotional, advertising or communication material.
8. I agree that I shall hold Brand Empower Pvt. Ltd., its directors, employees, officers,
vendors, partner or other persons related to the Global Excellence Awards event,
harmless and shall defend them against any loss, claim, demands, costs, damages,
judgements, expenses or liability arising out of or in connection with any or all claims
whether or not groundless, that may be initiated by any third party in connection with
the said event.
9. I understand that all rights to admission into the Global Excellence Awards Ceremony
are reserved with the organizers and our nomination and invitation to the ceremony are
subject to the clearance of all my dues (past and present, if any).
10. I am aware that the organizers reserve the right to postpone the Award Ceremony or
change its venue or the celebrity in case of their non-availability on the said dates or for
any other unavoidable reasons. I understand that requests for any refunds will only be
entertained after ninety days of the date of the event only in case of its cancellation for
any reason. The refund request has to be filed in writing as per the prescribed format
and will be settled within maximum sixty days and there will be no interest payable on
the refund amount.

I acknowledge that this declaration is true and correct and that any false claim or
misrepresentation, including retracting of any statement or commitments made, may
result in disqualification from participating in the event and cancellation of the said
award. I also agree that in case of any disputes, the same will be subject to arbitration
under the Arbitration and Conciliation Act, 1996, and the venue of Arbitration shall be
New Delhi and that the arbitrator for the proceedings shall be appointed by Brand
Empower Pvt. Ltd.
