THIS MUTUAL CONFIDENTIALITY AND COLLABORATION

AGREEMENT IS MADE BETWEEN

此相互保密与合作协议是
1. Beijing Wenhua Online Education Technology Co. Ltd. ("Wenhua"), address:
Room 606, Block A, Oriental Media Center, No. 4 Guanghualu, Beijing 100026,
PR China.
1. 北京文华在线教育科技股份有限公司（“文华”），地址：北京市朝阳区
光华路 4 号东方梅地亚中心 A 座 606.

（“WENHUA”）

AND ESTABLISHES THE TERMS AND CONDITIONS APPLICABLE TO THE

PARTIES RELATIVE TO THEIR WORKING RELATIONSHIP, THE
PROTECTION AND NON-DISCLOSURE OF CONFIDENTIAL INFORMATION,
INTELLECTUAL PROPERTY, DOCUMENTATION AND MATERIALS OF
EACH PARTY.
 建立工作关系、保护与保密双方各自的机密信息、知识产权、文件和材料条款
的协议。

FOR THE PURPOSES OF THIS AGREEMENT:

此协议的目的：
"Confidential Information" means any information, oral or written, made
available by Discloser to Recipient which relates to academic institutions,
specifications, curricula, location, numbers of students, inspiring principles,
nature or research or other information pertaining to Discloser, Discloser’s
customers or their related companies, and any information relating to the
company’s business operations, its clients or its related companies including
financial information, contract proposals, marketing plans, customer lists, fees, or
personnel and organisational data, in relation to the Purpose.
“机密信息”指披露方给信息接收方，以口头或书面形式披露与上述目的关
联的、关于披露方的学术机构、规格、课程、地点、学生人数、激励原则、
性质或研究或其他与披露方有关的信息、披露方的客户或其客户关联的公
司、以及任何与该公司的业务运营、其客户或其关联公司的信息，包括财
务信息、合同建议书、市场计划、客户名单、费用或人员与机构数据的信
息。

CONFIDENTIAL DECLARATION OF INTENT

保密意向申明书

A. Wenhua has agreed to engage and work with Translator on translating

www.ulearning.asia platform from Chinese language to XXXX language and the related
support in teaching and project from time to time (the “Purpose”).
A. 文华同意聘用翻译员为 www.uLearning.asia 平台做从 ULearning.Asia 的中文翻译为
XXXX 语言的工作和相关的培训、教学服务支持和项目支持（“目的”）。
B. This collaboration between the Parties is based on the principles of mutual benefit, trust
and co-branding. Whenever Translator engages in a task commissioned by Wenhua,
Translator must ensure that the name and reputation of Wenhua is preserved.
B. 双方是根据互惠互利、相互信任和联合品牌合作。当文华委派翻译员任务，翻译员
必须保证文华的名称和名誉受到保护。
Such collaboration to include the following activities (the list is not
exhaustive and may be modified from time to time in subsequent updates or
schedules):
 Translating ULearning.Asia platform;

Platform related training, service and project support tasks to Wenhua’s
local partners (if the tasks are included)

C. The Parties acknowledge that disclosure or misuse by Recipient of Confidential

Information received from Discloser may cause substantial direct and consequential loss
and damage to Discloser, its clients and its related companies (if any).
C. 双方认同接收方透露或 误用披露方的保密信息将使披露方、其客 户和关 联公司（如
有）造成重大直接和间接的损失和损害。
D. Wenhua is under no obligation to offer Translatoring work, neither is Translator under
any obligation to accept work offered by Wenhua.
D. 文华没有义务委派任务给翻译员，翻译员也没有义务接受文华的任务委派。
E. Translator agrees not to exact any commercial fees or further payment other than what is
agreed with Wenhua. Both parties have confirmed that the translation fee per 1000 words
is RMB 130 (subsequent proofreading task included in the translation fee, no additional
fee to be paid). For platform related tasks such as training, service and project support, a
separate fee will be paid to Translator. Both parties shall determine the platform related
tasks later. Payments to the Translator under this Agreement shall be net of any
applicable withholding tax payments.
E. 除与文华达成协议外，翻译员同意不收取任何商业费用或进一步的付款。双方确认
每 1000 字的翻译费为人民币 130 元（后期审校费已经含在翻译费，不另支付）。
对于平台相关的任务，例如培训，服务和项目支持，将单独向翻译员支付费用。双
方应稍后确定与平台相关的任务。根据本协议向翻译员的付款应扣除任何适用的预
扣税款。
F. Translator will engage in the Collaboration on an autonomous basis and from locations
determined by Translator, but always compatible with project timeframes.
F. 翻译员在合作期间是自主工作，并在自定的工作地点工作。但会兼容文华的项目进
度时间表工作。
G. Translator hereby confirms that he is self-employed; responsible for his own income tax
and national healthcare, and retirement contributions and for paying VAT (where
applicable) as determined by the corresponding Laws of PR China. Translator is also
responsible for the withholding tax levied by the Singapore tax bureau to the Translator,
as a foreigner/foreign company, on all fees remitted by Wenhua to Translator for the
translation work.
G. 翻译员在此确认是自雇；按照 (国家) 的法律自行负责本人的个人所得税、
国家医疗、退休金缴费和增值税费（如适用）。翻译员也承担中国税务局对于翻译
员，作为外国人/外国公司所应承担的、文华汇款给翻译员作为撰写文稿工作费用
的预提所得税。

H. The completed work will be delivered on or before the agreed deadline, and according to
the description required and the outline provided by Wenhua.
H. 所完成的任务根据文华所提供的描述要求和大纲，在双方同意的截止时间前和截止
时间递交给文华。
I. Unless otherwise agreed by the Parties, any content created by Translator as part of the
copy-editing, proofreading, translation or presentation notes in the conference or meeting
invited by Wenhua (as outlined by the Collaboration brief) will become the copyright of
Wenhua or the company represented by Wenhua.
I. 除非双方同意，否则翻译员所创建的内容，不论是文稿润饰、校对、翻译、大会或
会议演讲稿（根据合作文件的大纲），版权都归文华或其代表公司所有。
J. The nature and content of the work will be kept confidential and not shared with anybody
outside the Partners without any written consent.
J. 任务的性质和内容属于保密信息，并在无书面同意的情况下，不予其他方分享。
K. In the event of translation work not being to the standard of quality required by Wenhua,
Translator will rectify it in her own time and at her own expense.
K. 如撰写任务没有达到文华所要求的品质，翻译员将在自己的时间内自费修改。
L. In accordance with the General Data Protection Regulation) issued by the PR China,
Translator may keep record of personal and commercial information (such as contact
details), as well as correspondence with Wenhua as necessary.
L. 根据中华人民共和国通用信息保护规定），翻译员如需要，可以收藏个人和商业信
息（比如联系人详细信息）以及跟文华的来往邮件内容。
M. Either Party will have the right to terminate this agreement should there be a serious
breach of terms.
M. 如有严重违反条款，任何一方有权终止此协议。
N. Translator shall not transfer the rights and obligations to others without Wenhua's
permission in writing.
N. 除非文华书面同意，否则翻译员不能转移权利和义务给其他方。
P. The document related to execution of the Agreement is an integral part of the Agreement
after signed and sealed (if any) by the authorized representative for confirmation.
P. 与此协议相关的文件是协议的一部分，并由授权代表签字盖章（如有）确定。
Q. Translator hereby guarantees that he will not infringe the legal rights of any Third party.
Q. 翻译员保证不对第三方的法定权益侵权。
