IMPORTANT:

THE BALANCE PAYMENT AS PER ACCEPTANCE LETTER (AL) HAS TO BE SUBMITTED AT NTPC & MSTC RESPECTIVELY.

BUYER'S GUIDELINES for remitting respective payments through RTGS/NEFT CLICK HERE. Please note that buyer should generate the dynamic account no of
MSTC from the system to remit all payment failing which cognizance of remittance (if any) shall not be considered.

Remittance of RTGS through any other route/channel is not acceptable. PRE-BID EMD in form of DD/PO shall not be accepted.

Only those registered buyers shall be activated / allowed to bid whose said Pre-Bid EMD amount has been credited within the scheduled date as mentioned.
Hence the buyer should ensure that the amount towards Pre-Bid EMD is credited to MSTC's account on or before date as mentioned.

Dissolved Acetylene ( D.A ) Gas only is permissible for any cutting of Scrap Lots, which are allowed by NTPC for Transportation purpose of Successful Lots .

Only the registered customers who will be submitting their Pre-Bid amount within the aforesaid period will be eligible to participate against the above mentioned
lot. The same will be liable for forfeiture for any failure of the successful bidder to ful ll any of the terms and conditions of the E-Auction. Security Deposit will not
earn any interest. If the H-1 bidder does not deposit the balance cost of material within the stipulated period, in that case their Pre-Bid EMD shall be liable for
forfeiture. . Security Deposit will be adjusted on receipt of Balance Material Value. PRE BID EMD of the unsuccessful bidders refund after the closing of e-auction.
No interest is payable on this pre-Bid EMD.
The Pre-Bid EMD of the successful bidder will be adjusted against the BALANCE MATERIAL VALUE. The pre-bid EMD will be liable for forfeiture for any failure of
the successful bidder to ful ll any of the terms and conditions of the E-Auction. The deposit amount will ultimately be adjusted against the balance material
value/ nal installment payment.

In case of lot/s where PRE BID EMD is applicable, non-submission of POST-BID EMD within the stipulated time will lead to automatically forfeiture of the PRE-
BID EMD. In such case the buyer's login will be considered for activation by MSTC after receipt of written request from the bidder.

Special Terms and Condition

1. a. Bidders are advised to go through the terms and conditions of the auction carefully and understand the meaning/implications of each of the clause of terms
& conditions of the auction before bidding.

1. b. GST: Extra as mentioned against each items and Income tax @1% to be paid extra.

1. c. Lifting Period: The buyer shall lift the materials within 30 Calendar days from the date of issuance of the Delivery Order (issued by MSTC).Last date of
Delivery period shall be as per delivery order issued by NTPC. Loading of scrap materials in vehicle should be as per passing capacity of the vehicle deployed for
lifting.

1. d. Full material value (including material value, GST, Income tax etc) shall paid in advance in favour of MSTC through NEFT, RTGS MODE OF PAYMENT subject to
con rmation of the credit of the payment

1.e. No dispute regarding quality, quantity & chemical composition etc. shall be entertained once materials are sold /disposed.

1. f. NTPC has sole authority to accept, reject or short close the delivery order without assigning any reason whatsoever.

1. g. Photography by mobile phone or camera is totally prohibited inside the plant premises during inspection & / or loading.

1. h. The Scraps are being sold on ground clearance basis, hence cutting of the scrap materials shall not be allowed. However cutting permission shall be allowed
only in case of transportation/loading problem and for cutting permission of the said items vendor have to apply mentioning the reasons for cutting requirement
to Dy. General Manager (C&M/Stores), in charge of scrap disposal Sh. Tapas Mukherjee.

1. i. Pre Bid EMD: Pre-bid EMD shall be as described in the lot description of each lot and must be paid and it shall be converted into security deposit and shall be
retained by NTPC till completion of lifting of the Lot.

1.j. Successful bidder should submit PAN, MSTC registration certi cate & agency authorization to NTPC for issuance of delivery order & Sale order by NTPC before
lifting of sold materials.

1. K. The quantity mentioned against each item is tentative only; the quantity may vary as mentioned against each item. In the case of short quantity, the delivery
order shall be short closed and excess amount deposited shall be refunded to agency. In the case of higher quantity, vendor shall deposit requisite material value
in advance and fresh delivery order shall be issued by MSTC ltd. And subsequently by NTPC, the rate, terms and conditions shall remain same as of the auction.

1. l. Ground rent @2% per week of the materials value, of non lifted scrap material immediately after expiry of lifting period, without taxes shall be recovered till
such time materials is actually lifted or payment deposited by the buyer is exhausted, whichever is earlier in order to realize the ground rent. Ref Cl.8.2.

1. m. All safety requirement including Insurance etc towards Man & machine shall be in the scope of successful bidders. NTPC/MSTC shall nowhere be
responsible for any damage and accident of Man & machine deployed for lifting of scrap materials.

1.n. EMD shall be liable to be forfeited if successful agency does not deposit the material value within speci ed period & as per terms including late payment as
speci ed in sale order, issued by

1.o. All the scrap materials to be lifted as is where is & ground cleaning basis. Segregation is not allowed.

1. p. Before lifting of scrap, successful agency has to submit an undertaking in the prescribed format (which shall be supplied by NTPC) that agency shall not lift
any other scrap material except the item mentioned in the delivery order issued by NTPC. In case any other scrap materials lifted other than lot mentioned in the
delivery order, suitable action shall be taken against the agency.

1. q. While loading vendor representative shall be present at the loading site and shall remain there till completion of loading. It shall be the sole responsibility of
the vendor representative to ensure that only the scrap speci ed in the delivery order is being loaded and no other scrap material has been loaded under any
circumstances. The vendor does not dare to lift any other scrap other than the scrap mentioned in the delivery order.

1. r. The successful vendor shall lift the material as advised by Dy. General Manager (C&M/Stores), in charge of scrap disposal Sh. Tapas Mukherjee.

AT THE SOLE DISCRETION OF MSTC/PRINCIPAL BEFORE THE START OF E-AUCTION. BIDDERS SHOULD, THEREFORE, DOWNLOAD THE MATERIAL LIST AND STC

Subject to the reserve price, if any, xed for the materials as per the list by the owner M/s. NTPC Limited FSTPS, (hereinafter referred to as NTPC) or persons duly
authorized in this regard (hereinafter called as Authorities) and on the terms and conditions hereunder sale shall be made on "Ground Clearing" & ~As is where is
and no complaints basis~.

M/s MSTC Limited is the Selling Agent of NTPC and hereinafter referred to as MSTC.

As per the provision of Hazardous Waste (Management, Handling & Transboundary Movement) Rules 2008 and its subsequent amendments, Used/Waste Oil as
well as Battery, Lead Scrap, E-Waste, etc shall only be sold to the registered recyclers &/or re-processors under MOEF (Ministry of Environment & Forest)/CPCB
(Central Pollution Control Board). Hence all these registered recyclers &/or re-processors under MOEF/CPCB and who has also registered and /or will be
registering as 'Buyer' at www.mstcecommerce.com shall be eligible for bidding. A notarized copy of Registration Certi cate of MOEF/CPCB should be provided at
the time of depositing payment.

1.s. Immediately after closing of E-Auction, a system generated automatic Sale Intimation Letter (SIL) will be issued by e-mail to the Highest Bidder advising him
to deposit the prescribed Earnest Money Deposit (EMD) / Security Deposit (SD) within the stipulated time. The status of the highest bid(s) having been accepted
on Con rmed or STA (Subject to Approval) basis must be personally seen by the Bidders online through the link "Auction Lot Status" immediately after closing of
E-Auction which will be displayed up to 7 (Seven) days from the date of Closing of E-Auction (including the date of closing of E-Auction) and payment of Post-Bid
EMD/SD is required to be made accordingly. Thus non-payment or delay in payment of post bid MD/ SD on the plea of non-receipt of SIL will not be entertained by
MSTC. MSTC also reserves the right to issue the sale intimation letter (on con rmed or STA basis) by Speed Post/Regd. Post/Courier etc. Bidders must always
keep their registered email account valid and keep a watch on their incoming e-mail for their own convenience.

2. INSPECTION:

2.1. The materials offered for sale may be inspected within speci ed period on any working day and with prior permission of the stock holder during working
hours (i.e. Saturday, Sunday and other NTPC holidays).

2.2. All the rates are to be quoted on weight (MT) & / or as per the Unit of Measurement (UOM) basis as shall be indicated against each lot. The quantity indicated
against the lots are purely indicative and without any guarantee and MSTC / OWNER shall not entertain any complaint from the buyer for any de ciency in qty. /
number etc. or for recovery of the whole or part of the purchased money or any loss of pro t / interest /damages and otherwise.

2.3. Photography is totally prohibited inside plant premises during inspection & loading.

3. VALIDITY:

3.1 The bidders must keep their offers (including the offers accepted on the ~SUBJECT TO APPROVAL~ (STA) basis) valid for a period of 30 calendar days from the
date of closing of the E-auction which may be extended for any further period of time as may be mutually agreed upon by NTPC and the buyer.

3.2 THE CONTRACT SHALL BE VALID UPTO THE VALIDITY PERIOD OF THE DELIVERY ORDER / RELEASE ORDER ISSUED BY MSTC / PRINCIPAL OR UPTO THE
EXTENDED PERIOD OF VALIDITY OF THE DELIVERY ORDER / RELEASE ORDER IN CASE THE DELIVERY PERIOD IS EXTENDED BY THE PRINCIPAL AT THEIR SOLE
DISCRETION AS THE CASE MAY BE.

4. EARNEST MONEY DEPOSIT FOR AUCTION:

4.1. Upon acceptance of the auction bid the buyer shall have to pay Earnest Money @ 10 % of material value against accepted bids positively within 7 days of
con rmation of bid by Demand Draft / Pay Order on any Nationalized / Scheduled Bank in favour of MSTC.

4.2. If any offer is accepted on ~SUBJECT TO APPROVAL~ (STA) basis the buyer shall have to pay Earnest money @ 10% of material value against accepted bids
positively within 7 days of con rmation of bid by Demand draft / Pay order on any Nationalized / Scheduled bank in favour of MSTC.

4.3. UPON ISSUE OF SALE ORDER, THE EMD WILL BE ADJUSTED AGAINST MATERIAL VALUE.

4.4. Non-submission of EMD within at least 7 days from the Auction close date will lead to non-compliance of pre-agreed terms and conditions of the said e-
auction and hence de-activation up to minimum period of six months as well as de-registration of the concerned buyer resulting in forfeiture of Registration Fees.
MSTC/SELLER shall have the right to dispose off such goods in any manner it likes and the concerned buyer will have no right/claim against their offer. However
the Principal reserve the right to accept the full sale value with applicable levies in terms of clause no. 6 of the Special Terms & Conditions.

5. CAVEAT EMPTOR:

5.1. The quantity, quality, measurement and condition of the materials indicated are all approximate. Participation and bidding by anyone in this sale shall be
treated as conclusive evidence of the fact that the party has inspected the materials offered for sale and satis ed himself in all respect regarding quantity,
quality, measurement, weight and condition of materials, taxes and duties, local working condition and other extraneous factors and principle of Caveat Emptor
(let the buyer beware) will apply.

5.2. It shall be implied and taken for granted that the party has carefully gone through and understood the terms and conditions of E Auction including the
amendments if any, prevailing at the time of bid. No complaints or objections shall be entertained by NTPC / MSTC and/or the Authorities after the bid is opened /
accepted.

5.3. NTPC / MSTC do not give any warrantee or guarantee for the quality, chemical composition of the lot or about the end use or tness for a particular purpose.
The break ups of the quantities given in the material list are only indicative and without any guarantee. No. complaint whatsoever about any shortage shall
therefore be entertained.

6. PAYMENT OF BALANCE AMOUNT:

6.1. Cost of each lot of material along with all taxes and duties must be paid by the Buyer in one single installment within 15 days from the date of acceptance
letter by MSTC (including the date of issue). The details of the mode and amount of payment towards the balance material value favouring the Seller, MSTCs
Service Charges, GST/Duties, etc. shall be clearly speci ed in the Sale Order. For any delay in making payment within the time limit speci ed, the payment may be
accepted on the discretion of MSTC/Seller up to a period of two weeks from the due date of payment on payment of additional late payment penalty @ 1% per
week on the total sale value, and thereafter on the sole discretion of the Seller. However, MSTC/Seller reserve the right not to accept the payment with or without
the late penalty after the expiry of the above mentioned time limits or even within the aforesaid additional period of 14 days at MSTCs/Sellers sole discretion and
in such an event the sale of the lot will be automatically cancelled and the Earnest Money / Security Deposit (as the case may be) will automatically stand
forfeited. Payment towards material value and other dues is to be made as stipulated in the Sale order cum Acceptance letter. If there is a default in payment as
per terms of Sale order cum Acceptance letter, the security deposit mentioned there in will stand forfeited automatically without any further notice. RTGS/NEFT

this mode will be reflected in MSTC's account in T+1 days (Transaction + 1). Hence, they should make the payment well in advance so that it gets reflected in
MSTC's account in time.

Here, the Buyer is requested to inform the details of the payment through email so that there is no delay or confusion in the process of issuance of the Sale Order
or Delivery Order.

PAYMENT DETAILS FOR EXISTING QUANTITY ARE AS BELOW:/p>

a) As shall be stated in Acceptance Letter a proportionate amount of the material value should be paid as per the Acceptance Letters/Sale Orders.

b) Similarly as per the concerned Acceptance Letter balance amount of material Value should be paid through E-PAYMENT/RTGS/NEFT/DD/PO in favour of MSTC
LIMITED payable Kolkata.

c) Applicable GST, TCS and/or any other levies should be paid through DD/PO in favour of NTPC LTD, payable at ANDUA or as per the Acceptance Letters/Sale
Orders.

6.2. The Demand Draft/Pay Order must be deposited at any of ce of M/s. MSTC Ltd., for issue of Delivery Order. Demand Draft / Pay Order issued by any Co-
operative Bank will not be accepted.

6.3. In case, the last day of payment happens to be Closed Holiday for MSTC or the Banking Institutions, the next working day will be taken as the day of payment
without late payment charge.

6.4. In case of default in making payment within the time limits speci ed herein above, the due payments may be made together with additional charge at one
percent per week or part thereof on the material value, within a period of 14 Calendar days from the date of the expiry of the free-payment time.

6.5. On failing to comply with afore stated payment terms, the successful buyer's EMD/SD shall automatically stand forfeited without any further reference to the
buyer and the concerned LOT shall be put for re-auction. However considering exigency, the Principal reserves the rights to accept or not to accept sale value with
additional charges after expiry of 14 days as mentioned above.

7.0. TAXES & OTHER LEVIES:

7.1. GST if any over the price quoted/auctioned along with the full balance payment for issue of Sale Order. Such Taxes are assessed by the Sales Tax Authorities
and hence the rate applicable at the time of lifting of material shall be binding on the bidders for making payments. Any dispute in this regard shall be taken up
directly by the bidders with the Statutory Authorities. Excise Duty to be paid by the successful buyer as mentioned in the lot description

NOTE: GST rates as indicated in this e-auction catalogue are only indicative. Actual GST rates as applicable on the date of lifting shall be applicable. Bidders are
required to satisfy themselves about GST rate through their own sources/means before bidding in this e-auction and any discrepancy should be intimated to
MSTC / Seller at least one working day prior to the e-auction. No complaint from any bidder thereafter, regarding any variation will be entertained after the e-
auction goes on live floor. Nonpayment of sale proceeds on the ground of any discrepancy of GST rate will be treated as default and action as deemed t including
but not limited to forfeiture of EMD/SD will be taken against the bidder.

7.2. INCOME TAX:

Income Tax @ 1.00% on purchase price will be charged. Purchase price means base price + sales tax. Exemption will be given to manufacturers and processors
on production of exemption certi cate from the concerned assessing of cer of the income tax department. Exemption is not available to retailers / traders.

8.0. DELIVERY SCHEDULE:

8.1. as per Clause 1.c

8.2. Though auction is on LOT basis, Tax Invoice will be generated on average rate per MT basis; i,e; total LOT value will be distributed on lifted quantity in MT.

9.0. FORFEITURE OF EMD/SALE VALUE: /p>

99.1. In case the whole or any part of the goods sold remain uncleared, even after the authorized period stated in the delivery schedule, the purchaser shall have
no claim whatsoever on the goods remaining uncleared and the amount paid to NTPC including EMD shall stand forfeited at the expiry of the said period. NTPC
shall have the right to dispose of such goods in any manner it likes. The purchaser will have no right whatsoever to any compensation.

9.2 In case of non-submission of balance material value, the EMD shall be forfeited without further notice./p>

10.0. DELIVERY OF THE MATERIALS:

10.1 In case the last day of delivery happens to be a Closed Holiday for NTPC, the next working day will be taken as the date of lifting without any Ground Rent.
Buyers must produce the delivery order issued by MSTC, submit copies of PAN & MSTC ID Card etc to NTPC Store before lifting of sold materials

10.2. Purchasers are advised in their own interest to make appointment with the owner before placement of vehicles for taking delivery of the materials
purchased by them within the scheduled date of delivery. The purchaser at his own cost will make his own arrangement for removal, dismantling, loading,
transporting and he will not be entitled to claim any facility or assistance or cost on this account from NTPC / MSTC. Loading of scrap materials in vehicle should
be made as per passing capacity of the vehicle deployed for lifting.

10.3. Short Delivery of Material: In the event of non-availability of suf cient quantity of materials observed by the intending bidder during inspection of the same,
the intending buyer has to bring the same to the notice of NTPC prior to bidding. No claim shall be entertained by NTPC for loss of pro t, damage or interest.

10.4. Cutting permission is allowed for the entire item, if required subject to prior permission.

10.5. Segregation of material is not allowed.

10.6. Weighment of empty and loaded trucks shall be done at NTPC weigh-bridge for each and every trip and weight in the Weighment slip for empty and loaded
truck will be nal for particular truck and same will be binding on the buyer.;

10.7. Once the material is lifted from the premises of NTPC it shall no longer be responsible for any misuse resulting from further sale and / or unauthorized
use./p>

10.8. NTPC/MSTC has the sole authority to accept or reject any offer without assigning any reason whatsoever.
11.0 NOTE: a) If the successful highest Bidder (Con rmed or Provisional/Subject to Approval) fails to pay the EMD/Security Deposit in time from the date of issue
of Sale Intimation Letter by email, then he shall be DEBARRED for a minimum period of 6 (six) months from participating in all e-Auctions and disposal sales by
MSTC and their Registration Fee shall be forfeited. While considering his reactivation all facts including the number of Principals/e-auction/lots for which he had
failed which are germane should be taken into account.

b) MSTC may take any action as may be deemed t by the PRINCIPAL towards disposal of the unsold lots.

12.0 Conciliation Clause:

Dispute or difference arising out or relating to this contract shall be resolved through amicable mutual discussion and for resolution of dispute incorporating
clause of conciliation by constituting Expert Settlement Council (ESC). The detailed mechanism and operational guidelines are attached at Annexure-I.
