Consolidate Realtors Private Limited (Landowner) and pursuant to the allotment of the said Residential Unit, she entered into and executed an Apartment Buyer’s Agreement dated 15.05.2012 ‘with the Company, in respect thereof for the consideration and on the terms and conditions stated in the said Apartment Buyer’s Agreement; Upon receipt of the completion certificate in respect of the said building from DGTCP, the Company provided the possession of the said Residential Unit to the VENDOR, pursuant to which the said Developer and Landowner jointly executed a Conveyance Deed on 24.12.2020 in favour of the VENDOR and registered it with the office of Sub Registrar, Badshahpur, Gurugram as Vasika No. 5019 dated 24.12.2020 thereinafter referred to as the “Conveyance Deed’), assigning and transferring all their rights, title and interests in respect of the said Residential Unit in favour of the VENDOR for the consideration and on the terms and conditions stated in the said Conveyance Deed; - ea? 3 d) Nobody else, besides the VENDOR, has any sort of interest, rights or claims of any kind, whatsoever, in “the said Residential Unit” which at the date hereof is free from all encumbrances and legal disputes of all: kinds whatsoever, and the VENDOR has full and unrestricted rights and power to convey, assign, alienate and sell the same; ¢) The VENDOR has for her bona-fide needs agreed to sell to the VENDEES and the VENDEES have agreed to purchase from the VENDOR, “the said Residential Unit", on “as is where is basis” together with all rights, liberties, privileges, lights, easements, appendages and advantages whatsoever to the said hereditaments appertaining to or held, used and occupied with the same or reputed as part thereof or appurtenant thereto for a total sales consideration of Rs. 2,72,50,000/- (Indian Rupees Two Crore Seventy Two Lakh Fifty Thousand only), pursuant to which the VENDOR is executing the present Sale Deed in favour of the VENDEES; f) The VENDEES have paid the entire aforesaid Total Sales Consideration of Rs. 2,72,50,000/- (Indian Rupees Two Crore Seventy Two Lakh Fifty ‘Thousand only), under these presents to the VENDOR; AND g) The VENDOR is now desirous of hereby granting, conveying, transferring and assuring “the said Residential Unit” unto the VENDEES absolutely and forever and free from all encumbrances on the terms and conditions appearing hereinatter: - NOW THIS SALE DEED WITNESSSETH AS UNDER: In pursuance of this sale deed and in consideration of total sum of Rs. 2,72,50,000/- (Indian Rupees Two Crore Seventy Two Lakh Fifty Thousand only) paid by the VENDEES in the manner herein after mentioned, the receipt of which the VENDOR hereby duly acknowledges, the VENDOR oe ae doth hereby grants, convey and transfers on absolute ownership basis unto the VENDEES the “said Residential Unit” along with undivided pro-rata share in the land underneath the said building, in which the said Residential Unit is situated, together with right to use of facilities and common areas in the said Complex, ways, paths, usages, rights, liberties, privileges and casements, whatsoever with the said Residential Unit belonging or in any way appending therewith, usually held as part and parcel thereof as acquired by them vide the aforesaid Conveyance Deed dated 24.12.2020. The VENDOR is now left with no claim, title or interest, concern in or upon the said Residential Unit here by conveyed in any manner whatsoever. ‘That the total sale consideration of the above said Residential Unit amounting to Rs. 2,72,50,000/- (Indian Rupees Two Crore Seventy Two Lakh Fifty Thousand only) have been paid by the VENDEES, after deduction of TDS of Rs. 2,04,375/- (Indian Rupees Two Lakh Four Thousand Three Hundred Seventy Five only) from the amount payable to the VENDOR. The VENDOR has no remaining rights, title, interest or liens whatsoever of any sort or nature in the said Residential Unit after the execution of this Sale Deed. ‘The amount of sale consideration paid by the VENDEES include the EDC, IDC, interest free/bearing maintenance security & club membership charges, PLC, Service tax, Electrification, Gas Connection and Sewerage charges, which the VENDOR has paid to Developer/Maintenance Agency and all rights and claims whatsoever associated with the said Residential Unit (including tight to any land and/or shares or membership in any related entity or organization, or any other rights or claims whatsoever) and the VENDEES are entitled to get all such rights and claims endorsed in their favour based on this Sale Deed and the VENDOR shall has no objection for the same. ‘That the actual, legal, peaceful, physical and vacant possession of the said Residential Unit, hereby conveyed, have been delivered by the VENDOR to the VENDEES, who have become its full-fledged owners in possession. The VENDOR covenants that the VENDEES shall be entitled to peaceful and quiet enjoyment of the aforesaid Residential Unit, without any let, hindrance, heme, | | interruption or disturbance from the VENDOR. The VENDEES may use and utilize the aforesaid Residential Unit in any manner deemed fit by them. It is clearly agreed by the parties that the VENDOR is, as part of the sale of the said Residential Unit, also hereby transferring to and conferring upon the VENDEES all their right and entitlement to all embedded fixtures and fittings and all the currently installed electricity and water connections and facilities in or related to the said Residential Unit whether in the name of the VENDOR and/or in any other name(s) and any and all other connections/ facilities installed at or related to the said Residential Unit. The VENDEES shall be at liberty to have the electricity and water connections and other connections/facilities related to the said Residential Unit transferred to themselves or their nominee(s) and the VENDEES shall also be entitled to all deposits and securities made by the VENDOR with the said designated Maintenance Agency, MCG, HUDA, DHBVNL, RWA or any other authority relating to electricity, water, sewage and/or other connections/ {faci That the maintenance charges or any other charges to be paid to Developer or RWA or their assignee(s), prior to this sale deed if any, and all Property tax/other taxes, cesses, dues or demands and penalties of whatsoever nature, if any, payable in respect of the said Residential Unit shali be paid/have been paid by the VENDOR up-to the date of registration of this Sale Deed and thereafter the VENDEES will be responsible for the payment of the same. In case, if any dues are found outstanding against the said Residential Unit, or if any demands are raised from Maintenance Agency, RWA, Municipal Corporation of Gurugram, etc. or any other concerned authority, regarding taxes, maintenance charges, or any other outstanding dues, for the period, prior to the registration of this Sale Deed, the same shall be paid/borne by the = Oh ie 10. Al 12 ‘That VENDOR has delivered and handed over all the original documents inchiding title deeds in his power and possession in respect of the said Residential Unit, to the VENDEES simultaneously with the signing of this Sale Deed. ‘That the VENDOR hereby declares and assures the VENDERS that the title hereby transferred/sold to the VENDEES is freehold and free from all/any sorts of encumbrances, claims, demands, dues, charges, liens, litigation, injunction, gifts, decrees, dispute, prior-sales, agreement to sell, mortgage, lease, attachment etc. and submits that the VENDOR has absolute rights, power and authority to transfer/sell the same to the VENDEES. That in the event of any defect being found in the title of the VENDOR to the said Residential Apartment or any portion thereof, or in the event of any claim being setup by any third party or person to all or any of the right, title and/or interests in the said Residential Apartment or to any portion thereof, or if the contents of these presents are found to be defective in any respect, and the whole or part of the property hereby conveyed, is taken away from the possession of the VENDEES, or the VENDEES suffer any loss and damages, as a result of such defect, the VENDOR shall be liable to make good the loss/ damages, thus suffered by the VENDEES and shall keep them indemnified against all demands, claims, suits, actions, proceedings, litigation, loss, damages, cost, expenses, etc. suffered by the VENDEES, That the VENDEES can get the said Residential Apartment transferred and mutated in their names in the records of concerned authorities on the basis of original Sale Deed or its Certified true copy and if required, the VENDOR, agrees and undertakes to sign and execute any required documents for transfer of ownership, title of the said Residential Apartment in favour of the Be 13. 14. The VENDEES shall be entitled to realize all the rents and profits of the said Residential Unit from the date of registration of this Sale Deed and the VENDOR shall not demand any amount from the VENDEES hereinafter. That the VENDOR hereby further assures, represents and covenants with the VENDEES as follows: a) That she has neither done nor been party to any act whereby her rights and title to the said Residential Unit may in any way be impaired or whereby she may be prevented from transferring the said Residential Unit or any part thereof. b) That the VENDOR has a good and marketable title to the said Residential Unit and none other than the VENDOR has any interest, right or title thereto. c} The VENDOR is competent to execute this Sale Deed and perform in terms hereof and that execution of this Sale Deed and performance in terms hereof shall not violate any law, rule, regulation, contract, order of any authority/court by which the VENDOR is bound. dj That the VENDOR has not entered into any Agreement (except with the VENDEES herein) in favour of any other person(s) for the sale of the said Residential Unit.
