DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This contract is made and executed by Dindo N. Escudero, with postal address
at Dao, Pilar, Sorsogon, hereinafter known as the SELLER and Jojit Jimenez with
postal address at San Rafael, Guinobatan, Albay hereinafter known as the BUYER.

Witnesseth:

That, for and in consideration of the amount of SIXTY THOUSAND PESOS (Php
60,000.00) Philippine currency, the seller hereby conveys, sell and transfer unto the
buyer the SUZUKI motorcycle without sidecar with the following description.

The seller hereby guarantees that the above motorcycle without sidecar subject
of the sale is free from all liens and encumbrances.
