Abstract of WPL and HBL Agreement

Webdnaworks (Pvt) Limited and Habib Bank Limited have signed an agreement to
enhance the footprint of off-site ATMs in Pakistan by utilizing Pakistan’s first-ever
White Label ATM Network, in line with the Financial Inclusion Initiative of State
Bank of Pakistan and under the White Label ATMs (WLAs) guidelines issued by State
Bank of Pakistan.

The aim is to increase the reach of banking services through WLAs in the untapped
areas across Pakistan.

HBL's role in this regard is limited to providing Cash and Cash Management Services
through their existing cash in transit vendor(s) with ATM fit notes / sorted cash
notes at the WLAs with predefined denominations as and when required from the
HBL’s designated branches.

In this regard, all the cash used in the WLAs or being used for replenishment shall
remain the exclusive property of HBL. Initially, HBL shall make available a Principal
Amount of Rs. 1,500,000/- per WLA, however, if required, the amount will be
revised with mutual consent. For these services of HBL, WPL will pay HBL Rs. 16/-
on each successful cash withdrawal transaction performed on these WLAs.

Under this agreement Webdnaworks shall be following:

1. Acquiring sites for WLAs,
2. Providing ATMs and all allied peripherals.
3. Connectivity, power and power backup,
4. Installation of security cameras,
5. Integration of ATMs with Webdnaworks ATM Switch,
6. Onboarding and managing of primary and disaster recovery data centers,
7. ATMs first and second-line maintenance (hardware and software),
8. Insurance of ATM and cash in the ATM safe,
9. Installation of dial free hotline,
10. ATM Network Monitoring,
11. Dispute resolution,
12. Daily settlement of transactions performed on WLAs. Also, Webdnaworks
shall be responsible for all regulatory requirements concerning the WLAs.
