PAYCENTRE

AMBASSADOR AGREEMENT
THIS AMBASSADOR AGREEMENT made this .............. day of .................................. , 2019.

BETWEEN

1. PARTIES

E-SETTLEMENT LIMITED a company incorporated in Nigeria with registration number RC. No:
1461681 whose business office is at 13, Hughes Avenue, Alagomeji, Yaba, Lagos State, (herein
referred to as "E-SL")

(herein referred to as the "Ambassador")

2. WHEREAS:

i. E-SL is a leading payment terminal application and software developer in Nigeria and also a
provider of mobile point of sale solutions and e-payments channels; and also provides
Financial inclusion/ Financial access via Agency Banking (PayCentre)
ii. The Ambassador is a Direct Sales Agent (DSA) for E-SL;
iii. E-SL is interested in engaging the Ambassador to expand its market-base and the
Ambassador is willing to drive ESL’s market expansion as contemplated under this
Agreement;
iv. Parties have agreed to provide for its obligations under this Agreement.

Now E-SL and the Ambassador agree as follows:

3. DEFINITIONS
In this Agreement, the following words shall have the following meanings:

“PayCentre” includes all locations where financial access is provided with the use of E-SL devices.
“COMMISSION” means amount percent per transaction to be paid to the Ambassador from E-
SL’s cut per transaction payable after every month’s accumulation.

“MANUALS” means any guidance and procedures in writing that may be provided from time to
time by E-SL to the Ambassador for marketing and use of the Devices.

“DEVICES” means PAYPAD Card reader device.

“PURPOSE” means acting as an Independent Ambassador of ESL for the purpose of


representing and selling the Paycentre solution by recruiting Agents to subscribe to the use of the
devices for their business and provision of financial access.

“CUSTOMERS” means any users of the PayCentre solution.

“TERRITORY” means Nigeria or any other circumscription that may be defined by ESL from
time to time.

4. DUTIES OF THE AMBASSADOR


The Ambassador shall:-

i. recruit other persons (“retail outlets”) and train any such retail outlets on how to
provide financial access with the Paycentre solution that will be provided by E-SL
ii. market, sell, attend exhibitions, trade fairs, marketing events or as may be notified by
E-SL and shall attend any such events by materials provided or specified by E-SL

iii. shall take all reasonable business endeavours and initiatives to perform his obligations

iv. include carrying out such marketing and selling activities as may be specified by E-SL
from time to time.

v. On no circumstance shall the Ambassador accept payment for device, marketing


material, etc.

5. CONDITIONS PRECENDENT TO RETAIN AMBASSADORSHIP.

i. The Ambassador shall within the first calendar month of his appointment as an
Ambassador (or at any other time consecutively) recruit not less than 10 (Ten)
Agent outlets and not less than 20 (Twenty) Agent outlets not later than 2 calendar
months from the date of his appointment or at any other time that may be decided
by E-SL.
ii. The Ambassador shall demonstrate compliance to his obligations as contained in
Clause

iii. The Ambassador shall be entitled to a monthly fee (subject to review) of 10% (10
percent) commission on E-SL’s cut on each transaction carried out on any of the
Ambassador’s PayCentre location.
