subject matter. Also, since Kwarantina has no knowledge of Ngovid’s action, she cannot be
deemed a buyer in bad faith. Having said that, the ownership of the subject matter will remain
to her.

2. No, because one of the essential elements of a contract of sale is Consensual. Since there is a
stipulation added into the contract which is the consideration of discount because of their
friendship, there should be an absolute acceptance from Bu for it to be a perfect contract of
sale.

3. No, because the requisites of the valid contract of sale are lacking, and it is not in writing. The
receipt doesn’t state the acknowledgement of both parties to the sale and lacks the agreed
purchase price of the car.
